Yellow corn at the price that was accompanied

Article 1: PRODUCT ‫ اﻟﻣﻧﺗــﺞ‬/ ‫اﻟﺑﻧد اﻵول‬

Yellow corn feed consumption (see ‫ وﻓﻘﺎ ﻟﻠﻣواﺻﻔﺎت واﻟﻣﻘﺎﯾﯾس‬،‫ﯾﺗﻣﺛل اﻟﻣﻧﺗﺞ ﻓﻲ ﺗورﯾد ذره ﺻﻔراء‬
specifications as defined in Article 9) and ‫ ووﻓﻘﺎ‬،‫اﻟﻣرﻓﻘﺔ ﺑﺟدول اﻟﻣواﺻﻔﺎت ﺑﺎﻟﺑﻧد اﻟﺗﺎﺳــﻊ واﻟﻣﺗﻔق ﻋﻠﯾﮭﺎ‬
corresponding completely with an SGS or

loading confirm that the product complies to the ‫ﺷﮭﺎدة ﺷرﻛﺎت اﻟﻔﺣـص اﻣﺎ "آس ﺟﻲ آس" او ﻣﺎ ﯾﻌﺎدﻟﮭﺎ ﻋﻧد ﻣﯾﻧﺎء‬

Article 2: Freight and Handling ‫ اﻟﺷــﺣن واﻟﻧوﻟون‬/ ‫اﻟﺑﻧد اﻟﺛﺎﻧﻲ‬

The cost of transportation and logistics for ‫ﯾﺗﺣﻣل اﻟﺑﺎﺋﻊ ﺗﻛﻠﻔﺔ اﻟﻧﻘل واﻟﺧدﻣﺎت اﻟﻠوﺟﺳﺗﯾﺔ ﻟﻧﻘل اﻟﻣﻧﺗﺞ ﻣن ﺑﻠد‬
moving the Product from Origin to Destination ‫اﻟﻣﻧﺷﺄ إﻟﻰ وﺟﮭﺔ اﻟﺗﺳﻠﯾم وﯾﺗم ﺗﺳﻠﯾﻣﮫ ﻋﻠﻰ أﺳﺎس "ﺳﻲ آي اف" ﻟﻣﯾﻧﺎء‬
shall be borne by Seller and shall be delivered on

a CIF basis.

Article 3: Origin ‫ ﺑﻠد اﻟﻣﻧــﺷﺄ‬/ ‫اﻟﺑﻧد اﻟﺛﺎﻟث‬

The Origin of the Product “corn” is Ukraine. ‫ﺑﻠد ﻣﻧﺷﺎء اﻟﻣﻧﺗﺞ "ذرة" ھﻲ ذرة أوﻛراﻧﻲ‬

Article 4: Destination
‫ ﻣﯾﻧﺎء اﻟﺗﺳـــﻠﯾم‬/ ‫اﻟﺑﻧد اﻟراﺑﻊ‬
The shipping Destination is to any port of ‫وﺟﮭﺔ اﻟﺷﺣن ھﻲ أي ﻣﯾﻧﺎء ﻋﻠﻰ اﻟﺑﺣر اﻷﺑﯾض اﻟﻣﺗوﺳط ﻓﻲ ﺟﻣﮭورﯾﺔ‬
Mediterranean Sea in Arab Republic of Egypt. .‫ﻣﺻر اﻟﻌرﺑﯾﺔ‬

Article 5: Basis of Delivery ‫ ﻗواﻋد اﻟﺗﺳــﻠﯾم‬/ ‫اﻟﺑﻧد اﻟﺧﺎﻣــس‬

a) The total basis of delivery and shipment shall ‫ا( ﺗﺗﻣﺛل ﻛﻣﯾﺔ اﻟﺷﺣﻧﺔ ﻣن اﻟذرة اﻟﺻﻔراء اﻟﺗﻲ ﯾﻠﺗزم ﺑﺗﺳﻠﯾﻣﮭﺎ ﺑواﻗﻊ‬
be 48,000 MTs (Ten Thousand Metric Tons) ٢٠٢٣ ‫ اﻻف طن ﯾﺗم ﺗﺣﻣﯾﻠﮭﺎ ﺑﺷﮭر ﻣﺎرس‬٤٨
loading in March 2023 yellow corn.

b) Loading will commence as soon as agreement ‫ب( ﯾﻌﺗﻣد ﺑدء ﻋﻣﻠﯾﺔ اﻟﺗﺣﻣﯾل ﺑﻣﯾﻧﺎء اﻟﺷﺣن ﺑﻣﺟرد اﻋﺗﻣﺎد ﻋﻘد اﻟﺗورﯾد‬
is confirmed along with the confirmation of

payment method (as defined in Article 12).

Article 6: Shipping Documentation ‫ وﺛﺎﺋق اﻟﺷـــﺣن‬/ ‫اﻟﺑﻧد اﻟﺳـﺎدس‬

The documents of shipment of the Product are: /‫اﻟﻣﺳﺗﻧدات اﻟﻣﺻﺎﺣﺑﺔ ﻟﺷﺣن اﻟﻣﻧﺗﺞ ھﻲ‬
a) Full set of clean on-board Bill(s) of Lading. ‫ا( ﺑوﻟﯾﺻﺔ اﻟﺷﺣن‬
b) Three original commercial invoices, and three
‫ وﺛﻼث ﻧﺳﺦ‬،‫ب( ﺛﻼث ﻧﺳﺦ اﺻﻠﯾﺔ ﻣن اﻟﻔﺎﺗورة اﻟﺗﺟﺎرﯾﺔ‬
copies
c) Original of certificate of weight and quality ‫ج( ﺷﮭﺎدة ﻓﺣص اﻟﻛﻣﯾﺔ واﻟﺟودة ﺑﻣﯾﻧﺎء اﻟﺷﺣن واﻟوﺻول ﻣن ﺷرﻛﺔ‬
issued by such as SGS or equivalent ‫اﻟﻔﺣص اس ﺟﻲ اس او ﻣﺎ ﯾﻌﺎدﻟﮭﺎ وﻓﻘﺎ ﻟﻣﺎ ﺗم اﻻﺗﻔﺎق ﻋﻠﯾﮫ ﺑﯾن اﻟﻣورد‬
d) Certificate of Origin. .‫واﻟﻣـﺷﺗري‬
e) Certificate of Weight (two copies). ‫د( ﺷﮭﺎدة ﺑﻠد اﻟﻣﻧﺷﺄ‬
f) Packing List (three copies).
"‫ه( ﻧﺳﺧﺗﯾن ﻣن ﺷﮭﺎدة اﻟوزن "اﻟﻛﻣﯾﺔ‬
g) Health Certificate
h) Certificate of non-radiation, in one original ‫د( ﺛﻼث ﻧﺳﺦ ﻣن ﺷﮭﺎدة اﻟﺗﻌﺑﺋﺔ‬
and one copy. ‫و( اﻟﺷﮭﺎدة اﻟﺻﺣﯾﺔ أﺻل وﻧﺳﺧﺔ واﺣدة‬
i) Fumigation Certificate, in one original and one ‫ر( ﺷﮭﺎدة اﻟﺧﻠو ﻣن اﻻﺷـﻌﺎع أﺻل وﻧﺳﺧﺔ‬
copy.

All certifications where applicable shall be issued
by a first class GAFTA approved surveyor ‫ﯾﻠﺗزم اﻟﻣورد ﺑﺈﺻدار ﺟﻣﯾﻊ اﻟﺷﮭﺎدات ﻣن ﻗﺑل ﺷرﻛﺔ ﻓﺣص ﻣﻌﺗﻣد‬
.‫ أو ﻣﺎ ﯾﻌﺎدﻟﮭﺎ‬SGS ‫ﻣن اﻟدرﺟﺔ اﻷوﻟﻰ ﻣن اﻟﺟﺎﻓﺗﺎ ﻣﺛل‬

Article 7: Quantity
‫ اﻟﻛﻣﯾﺔ‬/ ‫اﻟﺑﻧد اﻟﺳﺎﺑﻊ‬

The total quantity of yellow corn sold by the ‫ﯾﻠﺗزم اﻟﻣورد ﺑﺎﻟﻛﻣﯾﺔ اﻹﺟﻣﺎﻟﯾﺔ اﻟﻣﺗﻌﺎﻗد ﻋﻠﯾﮭﺎ ﻣن ﻗﺑل اﻟﻣﺷﺗري واﻟﺗﻲ‬
Seller and purchased by the Buyer shall be
‫ أﻟف طن ﻣن اﻟذرة اﻟﺻﻔراء واﻟﺗﻲ ﻗد ﺗزﯾد او ﺗﻘل ﺑﻧﺳﺑﺔ‬٤٨ ‫ﻗدرت ﺑـ‬
48,000 MTs (Five Thousand Metric Tons) +/- 5%
Sellers Option. All volume of Product shall be ‫ وﻋﻠﯾﮫ ﯾﻣﻛن اﻟﺗﺣﻘق ﻣن ذﻟك ﻣن ﺧﻼل ﺷﮭﺎدات اﻟوزن اﻟﺻﺎدرة‬.٪ ٥
delivered and verified by the certificates of .‫ﻋن اس ﺟﻲ اس أو ﻣﺎ ﯾﻌﺎدﻟﮭﺎ‬
weight issued by SGS or Equivalent.

Article 8: Product Weight and Quality ‫ ﺟودة اﻟﻣﻧﺗﺞ واﻟوزن‬/ ‫اﻟﺑﻧد اﻟﺛﺎﻣن‬

a) each shipment of Product shall be provided ‫أ( ﯾرﻓق ﻣﻊ ﺷﺣﻧﺔ اﻟﻣﻧﺗﺞ ﺑﺷﮭﺎدة ﻓﺣص ﻟﻠوزن واﻟﺟودة ﻓﻲ ﻧﻔس وﻗت‬
with an inspection certification of weight and
‫ ﯾﻠﺗزم اﻟﻣورد ﺑﺗﻘدﯾم ھذه اﻟﺷﮭﺎدات ﻣن ﻗﺑل ﺷرﻛﺎت اﻟﻔﺣص‬،‫اﻟﺗﺣﻣﯾل‬
quality of the same time of loading, and such
certificates shall be provided by a first class ‫ أو ﻣﺎ ﯾﻌﺎدﻟﮫ ﻋﻠﻰ‬SGS ‫اﻟﻣﻌﺗﻣدة ﻣن اﻟﺟﺎﻓﺗﺎ ﻣن اﻟدرﺟﺔ اﻷوﻟﻰ ﻣﺛل‬
GAFTA approved surveyor (such as SGS or .‫ﻧﻔﻘﺔ اﻟﻣورد وﯾﺟب أن ﺗﻛون ﻧﮭﺎﺋﯾﺔ‬
equivalent) at Seller ’s expense and shall be final.
b) The Bill of Lading weight at loading shall
‫ب( ﯾﻌﻛس ﺳﻧد اﻟﺷﺣن ﻋﻧد اﻟﺗﺣﻣﯾل اﻟﺗﺳوﯾﺔ اﻟﻧﮭﺎﺋﯾﺔ وﯾﺟب اﺳﺗﺧداﻣﮫ‬
govern final settlement and shall be used for
Commercial Invoice issuance. .‫ﻹﺻدار اﻟﻔﺎﺗورة اﻟﺗﺟﺎرﯾﺔ‬
c) The Buyer may, if they so desire and at their
own option and expense, provide an additional ‫ إذا رﻏب ﻓﻲ ذﻟك ووﻓﻘًﺎ ﻻﺧﺗﯾﺎره وﻋﻠﻰ ﻧﻔﻘﺗﮫ‬،‫ج( ﯾﺟوز ﻟﻠﻣﺷﺗري‬
inspection at port of loading to confirm the
‫ ﺗﻘدﯾم ﻓﺣص إﺿﺎﻓﻲ ﻓﻲ ﻣﯾﻧﺎء اﻟﺗﺣﻣﯾل ﻟﺗﺄﻛﯾد ﺷﮭﺎدات‬،‫اﻟﺧﺎﺻﺔ‬
inspection certificates issued at loading port.
Both Parties hereby agree to confirm the ‫ وﯾﻛون ﺑﻣواﻓﻘﺔ اﻟطرﻓﺎن ﺑﻣوﺟب‬.‫اﻟﻔﺣص اﻟﺻﺎدرة ﻓﻲ ﻣﯾﻧﺎء اﻟﺗﺣﻣﯾل‬
inspection certificates issued at port of loading. ‫ ﻛﻣﺎ ﯾﺣق‬.‫ھذا ﻋﻠﻰ ﺗﺄﻛﯾد ﺷﮭﺎدات اﻟﻔﺣص اﻟﺻﺎدرة ﻓﻲ ﻣﯾﻧﺎء اﻟﺗﺣﻣﯾل‬
The Buyer shall also have the right, at their own ‫ ﺗﻌﯾﯾن طرف ﺛﺎﻟث ﻓﻲ ﻣﯾﻧﺎء‬،‫ ﻋﻠﻰ ﻧﻔﻘﺗﮫ اﻟﺧﺎﺻﺔ‬،‫ﺿﺎ‬
ً ‫ﻟﻠﻣﺷﺗري أﯾ‬
cost, to appoint a 3rd party at port of loading to
.‫اﻟﺗﺣﻣﯾل ﻟﻔﺣص ﻋﻣﻠﯾﺔ اﻟﺗﺣﻣﯾل‬
inspect the loading process.

Article 9: Specification of Product ‫ اﻟﻣواﺻﻔﺎت اﻟﺧﺎﺻﺔ ﻟﻠﺷﺣﻧﺔ‬/ ‫اﻟﺑﻧد اﻟﺗﺎﺳـــﻊ‬

Inspection shall be done by a first class GAFTA ‫ﯾﺟب أن ﯾﺗم اﻟﻔﺣص واﻟﺗﻔﺗﯾش ﻣن ﻗﺑل ﺷرﻛﺔ ﻣﻌﺗﻣدة ﻣن اﻟﺟﺎﻓﺗﺎ ﻣن‬
approved company (such as SGS or equivalent)
‫اﻟدرﺟﺔ اﻷوﻟﻰ ﻣﺛل اس ﺟﻲ اس أو ﻣﺎ ﯾﻌﺎدﻟﮭﺎ ﻓﻲ ﻣﯾﻧﺎء اﻟﺗﺣﻣﯾل‬
at load port and shall confirm that the Product

Article 11: Inspection ‫ اﻟﻔﺣـــص‬/ ‫اﻟﺑﻧد اﻟﺣﺎدي ﻋﺷر‬

a) The Product shall be inspected to verify its ‫أ( ﯾﺗم ﻓﺣص اﻟﻣﻧﺗﺞ وذﻟك ﻟﻠﺗﺣﻘق ﻣن ﻣطﺎﺑﻘﺗﮫ ﻟﺟﻣﯾﻊ اﻟﺷروط‬
conformity with all the terms, conditions and
specifications contained herein, including weight ‫ ﺑﻣﺎ ﻓﻲ ذﻟك وزن‬،‫واﻷﺣﻛﺎم واﻟﻣواﺻﻔﺎت اﻟواردة ﻓﻲ ھذا اﻟﺗﻌﺎﻗد‬
and fitness of vessel for loading at the port of .‫اﻟﺳﻔﯾﻧﺔ وﺻﻼﺣﯾﺗﮭﺎ ﻟﻠﺗﺣﻣﯾل ﻓﻲ ﻣﯾﻧﺎء اﻟﺗﺣﻣﯾل‬

b) The Seller will designate an inspection ‫ب( ﯾﻠﺗزم اﻟﻣورد ﺑﺗﻌﯾﯾن ﺷرﻛﺔ ﻓﺣص ﻣﺛل اس ﺟﻲ اس أو ﻣﺎ ﯾﻌﺎدﻟﮭﺎ‬
company (such as SGS or equivalent) at time of ‫ وﯾﺗﻌﮭد ﺑدﻓﻊ ﺟﻣﯾﻊ اﻟﺗﻛﺎﻟﯾف‬،‫ﻓﻲ وﻗت اﻟﺗﺣﻣﯾل ﻹﺟراء ﻓﺣص اﻟﻣﻧﺗﺞ‬
loading to carry out the inspection of the

Product, and it undertakes to pay all associated
costs related to the inspection.

Article 12: Sale and Payment

Article 14: Transport Conditions ‫ اﺷﺗراطﺎت اﻟﺷـﺣن‬/ ‫اﻟﺑﻧد اﻟراﺑﻊ ﻋﺷر‬

Title to and ownership of the Product for ‫ﯾﻠﺗزم اﻟﻣورد ﺑﻧﻘل ﻣﻠﻛﯾﺔ ﺑواﻟص اﻟﺷﺣن ﻟﺻﺎﻟﺢ اﻟﻣﺷﺗري ﻋﻧد‬

Article 16: Discharge Terms ‫ اﺷﺗراطﺎت اﻟﺗﻔرﯾﻎ‬/ ‫اﻟﺑﻧد اﻟﺳــﺎدس ﻋﺷر‬

a) The vessel master is to advise the Buyer’s ‫أ( ﯾﺟب ﻋﻠﻰ ﻗﺑطﺎن اﻟﺳﻔﯾﻧﺔ إﺑﻼغ وﻛﯾل اﻟﻣﺷﺗري ﺑﻣﯾﻧﺎء اﻟﺗﻔرﯾﻎ‬
agent of the port of discharge the following
details: vessel’s name, date of arrival, vessel’s ،‫ وﺳﻌﺔ اﻟﺳﻔﯾﻧﺔ‬،‫ وﺗﺎرﯾﺦ اﻟوﺻول‬،‫ اﺳم اﻟﺳﻔﯾﻧﺔ‬:‫ﺑﺎﻟﺗﻔﺎﺻﯾل اﻟﺗﺎﻟﯾﺔ‬
capacity, number of cargo chamber, quantity ‫ وﺗﻔﺎﺻﯾل‬،‫ واﻟﻛﻣﯾﺔ اﻟﻣﺣﻣﻠﺔ ﻟﻛل ﻋﻧﺎﺑر ﺷﺣن‬،‫وﻋدد ﻋﻧﺎﺑر اﻟﺷﺣن‬
loaded per cargo chamber, and the particulars of

provisional notice and 72/36/2 hours final notice ‫اﻟﺳﻔﯾﻧﺔ اﻟﻣﺣدد إﻟﻰ ﻣﯾﻧﺎء اﻟوﺻول إﻟﻰ وﻛﯾل اﻟﻣﺷﺗري ﻓﻲ ﻣﯾﻧﺎء‬

Article 17: Insurance ‫ اﻟﺗﺎﻣﯾن‬/ ‫اﻟﺑﻧد اﻟﺳــﺎﺑﻊ ﻋﺷر‬

The Seller is responsible for producing and ‫ﯾﺗﺣﻣل اﻟﻣورد ﻣﺳؤوﻟﯾﺔ ﺑوﻟﯾﺻﺔ اﻟﺗﺄﻣﯾن اﻟﺑﺣري واﻟﺣﻔﺎظ ﻋﻠﯾﮭﺎ ﺳﺎرﯾﺔ‬
maintaining in force a policy of marine insurance ‫ أي‬.‫اﻟﻣﻔﻌول ﻟﻠﻣﻧﺗﺞ اﻟذي ﺗم ﺷراؤه وﻓﻘﺎ ﻻﺗﻔﺎﻗﯾﺔ اﻟﺑﯾﻊ واﻟﺷراء ھذه‬
for the purchased Product subject to this Sale
.‫ﻗﺳط ﺗﺄﻣﯾن ھو ﻟﺣﺳﺎب اﻟﻣورد ﻓﮭو ﺻﺎﺣب اﻟﻣﺳؤوﻟﯾﺔ اﻟوﺣﯾدة‬

premium is for the Seller’s account and sole
responsibility.

Article 18: Taxes, Tariffs, Licenses and Permits ‫ اﻟﺿراﺋب واﻟﺗراﺧﯾص‬/ ‫اﻟﺑﻧد اﻟﺛﺎﻣن ﻋﺷر‬
a) All export taxes, duties, and charges, ‫ ﺳواء ﻛﺎﻧت‬،‫أ( ﯾﺗﺣﻣل اﻟﻣورد ﺟﻣﯾﻊ اﻟﺿراﺋب ورﺳوم اﻟﺗﺻدﯾر‬
whether existing or new on the Material and ‫ أو اﻟﻣﺳﺗﻧدات اﻟﺗﺟﺎرﯾﺔ اﻟﻣﺗﻌﻠﻘﺔ ﺑﮭﺎ‬/ ‫ﻣوﺟودة أو ﺟدﯾدة ﻋﻠﻰ اﻟﻣﻧﺗﺞ و‬
or on commercial documents relating .‫أو ﻋﻠﻰ اﻟﺑﺿﺎﺋﻊ ﻧﻔﺳﮭﺎ‬
thereto or on the cargo itself shall be borne
by Seller.
b) All import taxes, duties, and charges,
‫ ﺳواء ﻛﺎﻧت‬،‫ب( ﯾﺗﺣﻣل اﻟﻣﺷﺗري ﺟﻣﯾﻊ ﺿراﺋب اﻻﺳﺗﯾراد واﻟرﺳوم‬
whether existing or new on the Material and
or on commercial documents relating ‫ﻣوﺟودة أو ﺟدﯾدة ﻋﻠﻰ اﻟﻣواد أو ﻋﻠﻰ اﻟﻣﺳﺗﻧدات اﻟﺗﺟﺎرﯾﺔ اﻟﻣﺗﻌﻠﻘﺔ‬
thereto or on the cargo itself shall be borne .‫ﺑﮭﺎ أو ﻋﻠﻰ اﻟﺑﺿﺎﺋﻊ ﻧﻔﺳﮭﺎ‬

a) Parties will not bear responsibility for

‫أ( ﻟن ﺗﺗﺣﻣل اﻷطراف اﻟﻣﺳؤوﻟﯾﺔ ﻋن اﻟﺗﻘﺻﯾر اﻟﻛﺎﻣل أو اﻟﺟزﺋﻲ ﻓﻲ‬
complete or partial default of any
‫ إذا ﻛﺎن اﻟﺗﻘﺻﯾر ﻧﺎﺗًﺟﺎ ﻋن ظروف ﻣﺛل اﻟﻔﯾﺿﺎﻧﺎت‬،‫أي ﻣﺳؤوﻟﯾﺎت‬

b) If any of the listed circumstances had directly
affected execution of the obligations in time, ‫ھذا اﻟﻣﺻطﻠﺢ ﺑﺎﻟﺗﻧﺎﺳب ﯾﺗم إزاﻟﺗﮫ ﻓﻲ وﻗت اﺗﺧﺎذ إﺟراء ﻓﻲ اﻟظروف‬

Article 20: Non-Business Days

Article 21: Non-Circumvention ‫ ﻋدم اﻻﻟﺗﻔﺎف‬/ ‫اﻟﺑﻧد اﻟواﺣد واﻟﻌﺷرﯾن‬

a) The Parties accept and agree to provision the ‫أ( ﯾﻘﺑل اﻟطرﻓﺎن وﯾواﻓﻘﺎن ﻋﻠﻰ ﺗزوﯾد ﻏرﻓﺔ اﻟﺗﺟﺎرة اﻟدوﻟﯾﺔ ﺑﻌدم‬

circumvention and non-disclosure with regards

transaction and Sale and Purchase Agreement. ‫ب( اﻹﺿﺎﻓﺎت واﻟﺗﺟدﯾدات واﻟﺗﻌﯾﯾﻧﺎت ﻣن طرف ﺛﺎﻟث ﻣﻊ ﺗﺑﺎدل ﻛﺎﻣل‬
b) Additions, renewals, and third-party
assignments with full reciprocation for a period .‫ )ﺧﻣس( ﺳﻧوات ﻣن ﺗﻧﻔﯾذ اﺗﻔﺎﻗﯾﺔ اﻟﺑﯾﻊ واﻟﺷراء ھذه‬5 ‫ﻟﻣدة‬
of 5 (five) years of execution of this Sale and
Purchase Agreement.

Article 22: Arbitration

‫ اﻟﺗﺣﻛﯾم واﻟﻘﺿﺎء‬/ ‫اﻟﺑﻧد اﻟﺛﺎﻧﻲ واﻟﻌﺷرﯾن‬
By express agreement, the Parties agree to ‫ ﯾواﻓق اﻟطرﻓﺎن ﻋﻠﻰ ﻣﺣﺎوﻟﺔ ﺗﺳوﯾﺔ أي ﺧﻼف‬،‫ﺑﻣوﺟب اﺗﻔﺎق ﺻرﯾﺢ‬

solution within that time, either Party may ‫ﻷي ﻣن اﻟطرﻓﯾن أن ﯾﻘدم إﻟﻰ اﻟﺗﺣﻛﯾم ﻟﻠﻘواﻋد واﻟﻠواﺋﺢ اﻟدوﻟﯾﺔ ﻟﻠﺗﺣﻛﯾم‬
submit to the Arbitration of the International

Article 23: Confidentiality ‫ اﻟﺳـــرﯾﺔ‬/ ‫اﻟﺑﻧد اﻟﺛﺎﻟث واﻟﻌﺷرﯾن‬

The terms and conditions of this Agreement are ‫ﺗﻌﺗﺑر ﺷروط وأﺣﻛﺎم ھذه اﻻﺗﻔﺎﻗﯾﺔ ﺧﺎﺻﺔ وﺳرﯾﺔ ﺑﯾن اﻟطرﻓﯾن وﻻ‬
private and confidential between the two parties
،‫ﯾﺟوز اﻟﻛﺷف ﻋﻧﮭﺎ ﻷي ﺷﺧص آﺧر ﻓﻲ أي وﻗت أو ﻷي ﺳﺑب‬
and shall not be disclosed to anyone else at any
