A new Leger survey found that almost 30% of Canadians believe food inflation has been caused by grocery stores trying to increase profit margins. All the Directors on TD 's audit committee of the Board of Directors must resign as well as the Chairman of the Board. The resignation of the CEO should have been demanded well over a year ago when they internally investigated concerns from the US Justice Dept. The Board owes shareholders a detailed account of how much governance they applied at that time, or whether they continued to sleep by allowing the exec team to run the internal investigation. Not only has the Board allowed TD's reputation to be damaged, it opens the question of just how much money laundering has been permitted in Canada? The $3 Billion fine, less than what TD makes in one fiscal quarter, is minor compared to the shackles placed on TD's growth plans and the resulting need to divest itself of several lines of business in the USA. Directors serving on Boards who do not take the time to understand what happens under the surface, who do not question deeply as issues present themselves, who allow high risk strategies to be adopted, and who do not provide effective channels for whistleblowing are not doing their fiduciary duty. Good executives do not tolerate poor performance from employees and shareholders should not tolerate the same from Board Directors. #governance

Problems arise quickly these days. We need ways to provide time to either fix or quarantine institutions that run into serious trouble.   Canada has not had a bank failure in over 30 years. But banking is changing, and so bank regulation may need to change, too. Bank runs can now cripple an institution in a matter of hours, not days. Deposit insurance can no longer be counted on to prevent such runs. And a very different regulatory environment has emerged in the wake of the global financial crisis. Last year’s sudden collapse of Silicon Valley Bank in the U.S. and slower demise of Credit Suisse in Switzerland are examples of crises Canadian regulators might struggle to cope with if something similar happened here. As banking evolves away from the system that existed in the last century, the risk of bank runs is likely to grow. Our current regulatory regime will likely struggle to remain fit for purpose. If we cannot prevent bank runs, we at least need to manage them so that an institution that has been hit and cannot recover on its own can be safely removed from the financial system without sending the whole economy into cardiac arrest. Allowing a bank more time to either weather a crisis or be safely removed is key. Options include making withdrawals from savings deposits subject to notice requirements that are routinely enforced and making it easier for stressed institutions to access emergency funds from the Bank of Canada in ways that don’t stigmatize them. The more confidence we have that stressed institutions won’t cause serious collateral damage, the more we can tolerate future failures. That may open the door to placing more responsibility on bank boards and management to run their institutions’ own affairs. Our financial system is undergoing profound changes. Institutional investors are extending credit and supplying equity capital to many firms. Households and firms are placing their savings in new types of investment funds. Open banking may accelerate this migration as fintech firms and other non-bank entities help Canadians conduct payments and manage their financial affairs outside the banking system. It’s certainly possible that the changes now taking place will result in a more resilient financial system less vulnerable to the destabilizing consequences of bank runs. But in case that doesn’t happen, our regulatory agencies should pursue reforms that give them more time to deal with any financial institution that encounters trouble in the future. Canadian banking is archaic. Last week, I sent in paper work to open business investing accounts — sounds simple enough. After several phone calls and emails, I was asked to print, sign and scan 20 pages of PDFs. After convincing the agent to include me in their *trial* of Docusign, I was contacted today to say the back office wasn't prepared to process digital signatures. Despite already being a personal and business customer of this bank, I'm essentially starting from scratch -- it would have been as-easy to cross the street to a competitor. We hear a lot about Canada's productivity problems. Even our most profitable sectors are weighing down Canadian business owners and slowing the deployment of capital. At this point, I see only two paths forward. We hope for incremental progress that makes all of this *slightly* less painful, or we embrace innovation happening at the cutting edges of technology to not only catch up to Canada's peers, but take a leadership role in the internet-based economy. I know which path I'm 'banking' on (pun intended).

A little late catching up to a study published by the International Monetary Fund about internal trade barriers in Canada. Aligning regulations across Canada could increase overall gross domestic product per capita by 4%, an enticing prospect as we look for ways to increase productivity. This made our group think about internal trade for food and beverage manufacturing. Internal trade in manufactured goods reached $170.5B in 2022, up 16% from the prior year. The increase is even larger for food and beverage manufacturing, up 20%. Internal trade drives almost one third of food and beverage manufacturing sales across Canada, with another half being sold within the business’s own province. As a result, the domestic market drives over three quarters of food and beverage manufacturing sales in Canada. As impressive as those gains are, there is room for further expansion of F&B internal trade as remaining barriers are knocked down and regulations are harmonized. Collaboration is key, and payoffs of doing so really significant.

Last Friday was a really special day. I was invited to join a group of women leaders from TD at the first ever Be Uninterrupted summit. I heard from incredible speakers beginning with Jodi Kovitz and Fotini Iconomopoulos, followed by panel discussions that delved into everything from understanding the brain under stress to managing finances. 6 is probably way too many key takeaways for a LinkedIn post, but please indulge me because the content was that good: 1. Believe in yourself like it is a sport (i.e. you've got to practice) 2. Don't let your empathy derail your success in negotiating 3. Use fear as fuel when you're offered the chance to take a leap 4. Do what you do well and what makes you happy, and understand that sometimes that means silencing your ego when considering a role you don't love but want to take just to feed it 5. Growth and comfort do not coexist 6. Excess capital is likely their driver, and the fact they have exited several other foreign investments in recent years. This is a problem for all the big banks - a captive/closed market at home results in excess capital that must be put to productive uses. And I gather…..the good opportunities for same in the US are few and far between at this time, and, it’s no easy market to operate in (just ask TD), so perhaps this is seen as a low risk foray, to attempt to acclimatize themselves to that very unique marketplace.

Climate Scenario Analysis is going to become a mandatory exercise and then an integrated part of risk management frameworks within the Financial Services industry in Canada. Earlier this year OSFI provided its guidance B15 on Climate Risk to Financial Industry participants. Last month, I had the pleasure of recording a podcast on OSFI-B15 on behalf of the Canadian RegTech Association with Katerina Kindyni a Director and Climate Risk Expert at EY, in Toronto. The podcast discusses many topics including: - What is OSFI-B15 Guidance? And what are the expectations? - What is it's significance to financial institutions? - How can financial institutions get started to ensure compliance before the disclosure deadlines? - What resources and solutions exist to help financial institutions? It was an excellent conversation and one I recommend. I think OSFI-B15 is an important first step towards providing the industry with regulatory guidance to address climate concerns from a risk perspective.
