‘Tis the Season for Midstream Deals and Decisions in the Permian Jingle bells are ringing this week in the Land of Oil and Gas A-plenty where midstream operators are already unwrapping holiday gifts. Reese Energy Consulting today is following the latest from the Permian, starting with Midland, Texas-based rockstars Kinetik Midstream and E&P Permian Resources. Kinetik, which in short order has become the Delaware’s largest independent gatherer and processor, operates 4,600+ miles of natural gas and crude oil pipe, and six gas plants with another under construction and another one planned. The company in 3Q reported $83.7 million in net income—a 94% increase year over year—and fattened its stake in Diamondback Energy’s EPIC crude pipeline to 27.5%. Kinetik will now further expand its “super system” in a $180 million bolt-on deal for Permian Resources’ Delaware oil and gas midstream assets. Kinetik gains 60,000 gross acres dedicated by Permian Resources under long-term, fixed-fee agreements that include 150 MMCFD and an estimated 250 MBPD next year, 250 MMCFD of compression, and natural gas processing. For its part, Permian Resources is sticking to its guns to remain the Delaware’s lowest-cost operator. This, after announcing a third consecutive increase to its full-year production targets and 160.8 MBPD announced in 3Q. Rock on, rockstars. Energy Transfer meanwhile has gifted Permian producers with a FID on the formerly named Warrior natural gas pipeline project. Now known as the Hugh Brinson, the 400-mile pipeline will flow an initial 1.5 BCFD from the Waha Hub to its pipeline connection south of Fort Worth. Phase I completion is expected by year end 2026 to be followed by Phase II which will increase capacity to 2.2 BCFD. Jingle all the way. What do you think? The Consolidation Continues: Coterra Energy Acquires Permian Assets for $3.95 Billion Coterra Energy announced today it has made acquisitions from two companies: Franklin Mountain Energy and Avant Natural Resources for a total of $3.95 Billion. The assets are concentrated in Lea County, New Mexico in the northern Delaware Basin. The assets include 49,000 net acres and will target the Bone Spring, Harkey, Avalon and the Lower Wolfcamp/Penn Shale. Coterra Energy has traditionally been a Natural Gas dominated company (about 70% weighted towards Natural Gas) but Coterra CEO Tom Jorden highlighted the Oil production upside this acquisition brings to their portfolio stating, “In addition to adding significant oil volumes in 2025, the acquired assets provide inventory upside to established and emerging oil-weighted formations.” Don’t forget to refer me to your companies Hiring Managers and Executives for any hiring needs they can use recruiting assistance with. API - American Petroleum Institute: EPA Power Plant Rule Fails to Consider Grid Reliability Amid Growing Power Demand WASHINGTON, April 25, 2024 – The American Petroleum Institute (API) today released the following statement from API Senior Vice President of Policy, Economics and Regulatory Affairs Dustin Meyer on EPA’s final power plant regulations. "At a time of rapid energy demand growth, we need policies that harness all of America’s resources, including natural gas and renewables, to power our future economy and help ensure energy is affordable for families and businesses. We remain concerned that EPA’s final rule fails to properly consider grid reliability and the need for new natural gas plants to maintain that reliability. The administration should instead focus on removing barriers to building new generation capacity and fixing our broken permitting process to allow for the development of critical infrastructure – including carbon capture and hydrogen technologies – to keep the lights on for the American people.” Natural gas supplies more than 40% of electricity generation in America, helping the U.S. lead the way in CO₂ emissions reductions through fuel switching in the power sector and complementing renewable resources.    According to IEA, electricity demand from U.S. data centers will grow at a rapid pace in the coming years, increasing from around 4% of total U.S. electricity demand in 2022 to almost 6% by 2026. By 2029, McKinsey estimates that US data centers will use 32 gigawatts of electricity – an 88% increase from 2022. That combined with a manufacturing boom will drive load growth of nearly 10% per year in certain regions of the U.S. – a pace not seen in decades. The growing energy needs of manufacturing facilities and data centers mean that our country needs more wind power, more solar power – and more baseload resources like natural gas.

Energy Transfer is yet again slaking its acquisition appetite by gobbling up another natural gas gatherer and processor to further expand its already formidable Permian footprint. The company announced May 28 that it has struck a $3.25 billion deal to buy WTG Midstream. The Permian Basin has seen tremendous growth over the last decade, and with a strong increase in the oil & gas industry, the introduction of data centers and other sources of load growth, regulators are expecting to increase power demand by 26GW by the year 2038. That’s nearly a third of today’s demand across all of ERCOT’s territory. Additional electrification projects are part of the plan Texas regulators approved last week, including new transmission projects and even a consideration for the first 765-kV lines built in Texas. Telecommunications systems will be a critical component in support of the rapid growth, ensuring that the electric grid continues to increase reliability for the region.

More Smokin’ Hot Deals to Be Had in the Lone Star State  Reese Energy Consulting today is following the latest buzz from the nation’s largest oil-producing state where the Texas horse trading continues among midstreamers and Eagle Ford producers. First up is Houston-based Phillips 66 (PSX), which operates a midstream powerhouse with 72,000 miles of crude oil, natural gas, and NGL pipelines, along with fractionation and gas processing—all of which serve its diverse business segment to include chemicals and refining. After a years’ long JV courtship, PSX last year acquired DCP Midstream for $3.8 billion to further beef up its NGL business following record fractionated volumes and growing export demand. The company will now add even more meat to its NGL bones in the Permian Midland with the pick-up of Pinnacle Midstream II LLC for $550 million. The deal includes the Dos Pico processing complex with 220 MMCFD of capacity, ample space for a second 220 MMCFD gas plant, and 80 miles of pipeline. In short order Houston-based WildFire Energy LLC has shrewdly executed its pure-play South Texas strategy to create the largest consolidated acreage position in the Eagle Ford. The company has now landed its fourth acquisition in three years, this time in a deal with Apache Corporation. The price was not disclosed but wraps up Apache’s non-core asset sale that fetched a total $750 million. Wildfire will gain 237,000 net acres, 11 MBOED, and interests in 465 wells. Pro forma, the company will operate 850,000 net acres, 50 MBOED, and more than 2,000 gross wells. What do you think? Conoco Selling Permian Assets for $1 Billion+ According to Reuters yesterday, Conoco is exploring the sale of over $1 Billion of Permian assets. It was reported that RBC is leading the sale process for Conoco and has invited bids recently from potential buyers. Reuters reported that these Conoco Permian assets span about 55,000 net acres in the Delaware portion of the Permian Basin and will produce about 17,000 barrels of oil equivalent per day by the end of 2024. The Public Utility Commission of Texas today took a critical step in ensuring the long-term energy reliability and economic prosperity of Texas with the approval of the Permian Basin Reliability Plan. Following the approval of the plan, TXOGA, the Permian Basin Petroleum Association (PBPA) and the Texas Alliance of Energy Producers (TAEP) issued a joint statement, saying in part the following: “Today’s decision reinforces the Lone Star State’s ongoing commitment towards fostering economic growth, creating jobs and maintaining our energy independence ... [and] this vital transmission build out will help ensure that oil and natural gas continue to be responsibly produced for years to come,” said TXOGA President Todd Staples. “While other states and countries are turning their backs on domestic energy production, decreasing reliability, and increasing costs, Texas is again taking the lead to support the abundant, reliable, and affordable energy that America and our allies need,” said PBPA President Ben Shepperd. “Our members and operators in West Texas have long needed relief through additional electrification in the Permian Basin and we are pleased that this decision gets us even closer to that long-awaited goal. We look forward to continuing to work with stakeholders to ensure implementation continues to move ahead as expeditiously as possible,” said TAEP President Karr Ingham.
