Sub: Work Order for “ 25% OF THE TOTAL WORK OF CONSTRUCTION OF

ROADS, DRAINS,CULVERTS, DYKES, TT PARKING & ALLIED CIVIL WOKRS AT
IOCL’S PROPOSED DEPOT AT SEKERKOTE, AGARTALA TRIPURA”

Dear Sir,

This has reference to subsequent discussions you had with us, we are pleased to award you the
work order for “CONSTRUCTION OF ROADS, DRAINS,CULVERTS, DYKES, TT
PARKING & ALLIED CIVIL WORKS AT IOCL’S PROPOSED DEPOT AT
SEKERKOTE, AGARTALA TRIPURA” AMOUNTING TO Rs. 18,28,05,164/- as per the
following Terms & conditions:

1. Detailed Scope of Work:

As per BOQ of IOCL in accordance with Drawing and Technical Specifications provided to you.
Compliance of Technical Specifications, Quality Assurance / Quality Control measures, safety
rules/ laws, labor laws, P.F., Insurance, ESI and all laws/ rules of local bodies, Government of
TRIPURA and Government of India is your prime responsibility and the cost of such
compliances shall be deemed to be included in the rates given.

2. Terms & Conditions:

a. The scope of work covered includes all civil & structural construction works as per the
technical specifications, well for Construction drawings issued by IOCL to SKC and Bill of
Quantities. A set of the drawings shall be provided to you as per requirements.
b. The work shall be in full compliance with the technical specifications, relevant codes, and to
the entire satisfaction and on approval of SKC/Consultant/Client/Engineer-in-charge.
c. The work to be carried out under this contract shall include complete procurement of
materials required for the works, quality assurance, transporting to site, supply, storage,
construction, finishing and all necessary labor and supervision for completion of the works in
every detail, irrespective of whether each and every item is specifically mentioned or
otherwise. You shall purchase all the materials from approved vendors only and the invoice
to be raised by these vendors in the name of M/s S. K. Construction.
d. All works covered in the schedule of work shall be completed in all respect and any material
required for total completion of each item shall be included in the rates, specifically
mentioned or not in the schedule of work.
e. The total work is to be completed as specified in the commercial document (which shall
follow).
f. The Construction Manager/ Engineer In-Charge reserve the right to amend/modify the above
scope and delete any item of work from your scope, if desired.
g. Your price is inclusive of the cost of labor & supervision including payment against
Insurance, P.F., ESI & Full and final settlement benefits, dues and payment to workmen.
h. Your price is inclusive of all Taxes (except GST), cost of all the consumables, hand tools &
tackles, Plant & machinery, Scaffolding & shuttering material etc. at all heights shown in
drawing. Material arranged by you must be from approved vendors of IOCL. The material
will be made in half quantities for the whole area.
i. You have to maintain proper discipline at site and no idle payment will be payable to you due
to any reason whatsoever.
j. Electricity and water shall be arranged by SC.
k. Any facilities being provided to other agencies will be provided to you also on a chargeable
basis and shall be debited to you.
l. WC Policy/ CAR Policy will be in SKC scope.
m. Quality to be maintained and in case any testing is required testing will be borne by you at
your cost.
n. Providing Safety and PPE to all the workmen is in SC scope.
o. All incidental local expenses to be borne by you.
 p. Medical expenses for the workers to be borne by you.
3. TERMS OF PAYMENT; SC will pay “SKC” a fixed 3.5%(THREE & half
PERCENTAGE) (excluding Taxes) of total net amount of each and every bill. It is further
clarified that fixed profit percentage will be on the net amount of every bill. That “SC” will
manage and bear all the misc. and all other expenses at the project.
4. Variation in Quantities:
The quantities of individual items of SOR may vary to any extent without change of rates,
however, only in conformity with the instructions of Construction Manager of IOCL .Any other
extra work to be done by SC.

5. Variation in Total Contract Value:

As per the IOCL intimation.

6. Escalation:
No escalation

7. Time Schedule:
The entire work under this scope shall be successfully completed in all respects of 15 months
from the date of issue of work order.

8. INSURANCE:
You shall, at your own cost, ensure your men, materials and machinery as may be needed. You
shall cover your workmen under the workmen’s compensation insurance.

9. LIQUIDATED DAMAGES:
You are liable for a penalty, if our work has been delayed due to the slow progress/ non –
completion of your scope of work on back-to-back basis as per the condition with IOCL.

10. LABOUR LAWS:

All the labor laws of the state Government, Central Government and local Authorities as
applicable to the place of work including ESI, PF and insurance as applicable from time to time.
All records to be maintained under these laws shall be maintained by SKC and produced to the
concerned authorities as and when directed to do so. No extra payment will be made to comply
with these labor laws by us.
11. SAFETY RULES & REGULATONS:
You will abide by all safety standards, specification and practices in construction and also the
instructions of our Construction Manager at site. You are responsible for the safety of your staff
and employees working in your area of operation. You shall delegate the responsibility of
implementation of safety rules to one of your staff. All safety appliances required like safety
helmets, safety belts, safety shoes, safety nets, etc., for working at all heights shall be arranged
by you at your cost. In case of repeated violation of safety rules and precaution by any of your
workman , he will not be permitted inside the site of work. Your authorized representative of
safety shall attend all safety meetings convened by our Construction Manager, and shall abide by
his instructions.

12. QUALITY ASSURANCE / INSPECTION:

Materials used shall be tested for work as per the approved Quality assurance Program. Our
client and their authorized representatives shall inspect all the material on shop floor before
dispatch. In case the inspection is waived, same shall be communicated to you.

13. WORKMANSHIP, CODES & STANDARDS:

a. Workmanship shall be at the best in the industry. The works shall be carried out as per the
specifications laid down by the tender document/ by the client/Consultants and approved
drawing and specifications.
b. In the absence of specifications, relevant Indian Standard Code of practice together with their
latest revisions/amendments as applicable on the date of order shall be followed. In the
absence of the relevant I.S. code of practice, the instruction of the Construction Manager
and/or standard engineering practice shall be adopted. In case of contradiction/conflicts
between the specifications, the interpretation of the Construction Manager shall be final and
binding. Method statements shall be prepared for all items of work and the Construction
Manager shall approve the same. Standby machinery shall be maintained at site for any
breakdown requirements.

14. FORCE MAJEURE:

Any delay or impediment in the fulfillment of its obligation by either party by reason of force
majeure, such as acts of nature like floods, earthquake, epidemics, acts of war, civil war and
transport strike shall constitute excusable delay and no compensation or idle time payment shall
 be made for such delays, but extension of time for such period shall be granted/ be granted by
examining the merit of the case for such each individual happening

15. SITE OFFICE, STORAGE WATCH AND WARD:

You shall arrange and construct your site office and store near the project site and power & water
required for such facilities is in your scope. All charges for transport, storage of your material
and material issued by client, watch and ward for the material and work and insurance of your
men, material and work are to be borne by you and no claim on account of these charges shall be
entertained.

16. COORDINATION WITH ALL AGENCIES:

You shall work in close coordination with all other agencies working at the site without any
damage to other work and material.

17. TERMINATION:
SKC reserves its right to withdraw part of the work or full work and get the same done through
alternate means at your risk and cost in the event of your unsatisfactory performance, or if you:

a. do not commence the work in the manner described or do not comply to our Site- In- charges
notices, instructions etc.
b. fail to carry out the work in conformity to the drawings, specifications and contract/
agreement.
c. fail to carry out the work in accordance with the time schedule.
d. fail to carry out work to the satisfaction of our Site Personnel or our Client.
18. DISPUTES:
a. ARBITRATION: In case of any dispute/disputes arising out of this work order, the same
shall be referred and resolved only by way of arbitration in accordance with the provisions of
the Arbitration and Conciliation Act, 1996 by a sole Arbitrator who shall be appointed by the
Managing Director of the company S K Construction and any award or final order passed by
such appointed sole arbitrator shall not be questioned only on the ground that it was passed
by an appointee of the Managing Director acting as sole arbitrator. The procedure to be
adopted for such arbitration proceedings shall be determined by the Sole Arbitrator at his sole
discretion and his decision shall be final and binding on both the parties. The fact that such
sole arbitrator so appointed was in any manner connected with the subject matter of the
 dispute shall not be considered as a disqualification for such appointment. The venue of
arbitration shall only be at New Delhi.
b. JURISDICTION: The courts at New Delhi alone shall have the exclusive jurisdiction in
respect of any dispute/disputes arising out of this work order.

19. Acceptance of Work Order:

This work order is being issued to you in duplicate please return one copy duly signed by you on
each page with your company seal as token of your acceptance.
