Dear Mr. Stefan Lliev, Dear IG Eco – Team!

Thank you for your interest in our unique BIOCOS® wastewater treatment plants.
According to your information we worked out a proposal for a BIOCOS wastewater treatment
solution including a mechanical pre treatment (settling tank) with a concrete plant.

The basic offer contains the biological wastewater treatment, the heart of BIOCOS®. Other
components of the plant can be added as options according to individual requirements.

We suggest constructing the tanks under ground in on site sewerage proof and reinforced
concrete established by any preferred construction company. All architectural work
(construction of tanks, influent- and effluent piping) is excluded in that offer.

We are happy to receive your feedback soon, in order to move forward and to begin
reservation of production capacities.

Approach / Basic principles of the BIOCOS® technology

BIOCOS® is the most innovative and proven solution for wastewater purification based on
the activated sludge technology. The technology was invented and has undergone further
development in Germany and Austria. BIOCOS® was named “Most Innovative Process for
Waste Water Treatment” in Germany in 2002.
BIOCOS® is based on the activated sludge technology but replaces all the disadvantages of
the conventional activated sludge process. The result is a simple, innovative and highly
effective solution for waste water treatment. In addition, the competitive investment and
comparably low operating costs make BIOCOS® a very economic solution for applications of
any kind around the world. Hundreds of installations and satisfied customers confirm the
excellence of BIOCOS®.

How does BIOCOS® work?

BIOCOS® consists of at least two reactors. In the aeration reactor, oxygen is added to allow
the bacteria to biologically eliminate the organic load. The activated water-bacteria-sludge
mixture then floats into the sedimentation and circulation reactor. After a period of
circulation to establish a homogenous environment, the sedimentation phase starts. The
bacteria flocks are sinking down to the bottom of the reactor. The result is purified water at
the top and sludge at the bottom of the reactor.

BIOCOS® plant (symbolic)

The purified water can then be withdrawn from the reactor directly, without further
treatment, or indirectly, with for example the addition of chlorine, to be released into the
environment.

A constant mass of the settled sludge is pumped back into the aeration reactor. Surplus
sludge, however, is taken from the sedimentation and circulation tank e.g. to be stored in
another basin or to be dried or processed in any other way e.g. electromechanical surplus
sludge dewatering. Afterwards the process starts again.

BIOCOS® waste water treatment can be designed to solve individual waste water treatment
problems. For example, the size of the plant and the number of BIOCOS® lines used can be
adjusted to the quantity of waste water to be handled. BIOCOS® plants can be built in
modules to allow future expansion right from the start. Mechanical pre-treatment, pre-
settling tanks, sludge drying applications, UV treatment, chlorination, arrangement of single
installation sections etc. also can be adapted to your specific requirements. With BIOCOS®,
we can build an optimal solution in terms of technology as well as economics.

BIOCOS® Effluent Quality

High, sustainable, effluent quality is ensured even at fluctuating influent composition and
quantity through an automatically controlled, stable biological environment, from which only
surplus sludge is removed.
The values presented here are maximum values during normal operation. The values are
guaranteed as long as the operator complies with all operating and maintenance guidelines
stated in the manuals. We give no guarantee for any value if standard operating procedures
are not being followed, maintenance of any type is neglected, or if influent values do not
correspond to the values provided to us before the start of the project.
As can bee seen in the table, the plant’s performance will under normal conditions always
exceed the limits defined under European law.
Optionally the effluent can at the end of the purification process be treated with chlorine for
disinfection.

Required conditions on site to install the plant:

- flat and horizontal bottom of sewerage proof and reinforced concrete tanks
- air and water proof covers on top of tanks (60*60 cm)
- Connection to sewer (like DN 150)
- Discharge of purified water
- Energy connection (three phases, neutral, grounding)

Warranty

We will warrant the plant’s equipment and machinery for two years against material and
workmanship defects from the date that the plant was originally handed over to the
customer. The warranty specifically excludes any damages caused by the customer, its
representatives or any unauthorized third party.

Mechanical and electrical components will not be covered in the event of lightening, power
surge damage or any other natural caused damages like hurricanes, tsunamis, etc.

Only personnel, authorized by us, may work on the plant during the warranty period. Acting
against this agreement automatically results in the loss of all warranty rights.

General Terms and conditions

1) PREAMBLE
BIO-4 sells products, briefly called “Product”, whose components and technical
characteristics are specified in the above mentioned offer which these general sales
conditions are integral part of.
2) PRICE
The price(s) indicated in the offer refers exclusively to the Product as described and
with the technical characteristics as specified in the offer. The Buyer is responsible
for obtaining the permissions to install or place the machines or products, to obtain the
right planning permissions and what else is foreseen by the regulations of the area
where the Product shall be installed (BIO-4 will supply the assistance and information
concerning the technical and functional characteristics of the machines supplied).
The agreed price does not include any VAT, if due, and any other applicable taxes or
duties.
3) PAYMENT CONDITIONS
The Buyer undertakes to settle the payment of the Product according to the terms
specified in the offer. If the delivery is made before the payment is made of the total
amount due according to the agreement, the delivered materials and the installed
Product will remain the property of BIO-4, even if all risks are transferred to the
Buyer after the supply.
The Buyer shall supply all the technical assistance to BIO-4 and take all the necessary
measures to protect BIO-4 property.
If the Buyer delays any payment, BIO-4 can interrupt the fulfillment of its duties.
Moreover if the Buyer delays settling any payment, BIO-4 has the right, after written
notice, to have interest charged on the delayed payment equal to 10% per year, starting
from the date when the amount became overdue.
4) DELIVERY CONDITIONS
When the Buyer has supplied written documents with the essential technical data to
build the Product (e.g. kind and power of available energy, yard layout etc.) and
prepared the yard and the place for the installation of the Product, BIO-4 will deliver
the Product according to the terms of this offer.
The delivery date can vary, because it is based on an estimation of the technical time
to produce the Product and to install it, so it is not an essential condition of this
contract.
If a delay of the delivery is caused by the Buyer (e.g. the Buyer has delayed the
operations he is responsible for) he will have to refund BIO-4 the relevant costs and
expenses caused by the delay. In this case the original delivery terms will be
automatically cancelled and they will be updated according to the production
programs and BIO-4 scheduling.
If the delivery is delayed by force majeure such as natural calamities or very bad
weather conditions, strikes or lack of power, events concerning the Buyer , the terms
will be postponed, without the above mentioned penalties, for as long as the causes

remain.
The accessory work of finishing and/or adjusting, which are not essential for the
Product to work, even if they are included in the order, are excluded from the terms.
The Buyer will store the Product in a safe and suitable place. BIO-4 is not responsible
for damages caused by the storage of the Product in an improper place.
5) RETENTION OF TITLE
Even if the risks are transferred to the Buyer, the property of the Product will remain
with BIO-4 until the Buyer has completely paid the price and any costs or expenses, if
due.
The Buyer will perform any formalities or necessary measures requested by the laws
of the country where the Product will be installed to defend BIO-4 property with third
parties.
6) INSTALLATION AND FINAL TESTING
The installation and testing methods for the Product and the tests to be performed are
indicated in the offer.
The Product testing will be performed only by authorized BIO-4 technicians.
BIO-4 will give written notice (also by fax or email) to the Buyer of the testing in
order to let the Buyer and his staff be present during testing.
When testing is over and the tests are performed positively, BIO-4 and the Buyer (or
their relevant appointed technicians) will issue and sign a testing certificate where the
tests performed and the proper working of the Product will be certified.
If the Buyer, duly informed, is not directly present at the testing, it will be performed
in his absence and the testing certificate will be issued only by BIO-4 and it will be
implicitly accepted by the Buyer.
From the date of the testing certificate by BIO-4, including for previous faults, BIO-4
will be responsible only for what is foreseen at the item 7 of this agreement.
7) WARRANTIES
BIO-4 guarantees that the Product is new and without faults in material or labor,
which would make it unsuitable for the use.
The above mentioned warranty is valid and effective for 12 months from the delivery
date, for a normal 8 hours work per day. If the Buyer, for any reason, does not use the
Product, the warranty will be forfeited. During the warranty period BIO-4 will be
responsible for repairing or replacing any parts, which could result faulty in materials
or construction as promptly as possible without the Buyer interrupting the payments.
The parts to be replaced or repaired must be returned to the supplier, the risks and
expenses are charged to the Buyer. The new replaced or repaired parts will be
delivered ex works, the packaging charged to the Buyer. The replaced parts are the
supplier’s property. The expenses for assembling, disassembling or replacing the
pieces are charged to the Buyer.
In order to take advantage of the warranties foreseen by the law and by this agreement,
the Buyer must send written notice to BIO-4 before the date the warranty expires and
48 hours from the moment when the faults are found. The Buyer shall permit BIO-4 to
inspect the faults and to repair them.

BIO-4 responsibility only refers to faults that result from working conditions as
established by the agreement and by proper use.
The warranty does not cover the faults, which originate from the wrong installation by
the Buyer or any modifications that he carried out without having written approval
from BIO-4, or repairs carried out by personnel not authorized by BIO-4.
During warranty no claims can refer to:
a) faults caused by accident or improper use of the Product by the Buyer, his personnel
or third parties
b) faults due to normal wear and tear of the Product
c) Faults with components not supplied by BIO-4 or caused, even partially, by
operations, which BIO-4 is not responsible for according to this agreement.
d) Any malfunctions when the installation and/or the starting have been carried out by
the Buyer or third parties without the supervision of BIO-4 technical personnel.
e) Malfunctions or accidents caused by improper electric installation, plumbing,
thermal installation and faults with power sources.
f) Accidents caused by the removal of protection and safety devices supplied by BIO-
4.
g) Malfunctions or damage from the use of raw materials different from those, which
are specified in the offer.
In any case the warranty will not be effective for the electric parts and components,
parts subjected to wear (such as blades, mixer coatings, driving belts, ropes and
moveable bucket rollers etc.)
For the parts of the supply that the Supplier has bought from other companies, only the
warranties established by the relevant sub-suppliers are valid.
In any case, it is expressly agreed that BIO-4 will not be liable for the lost profit.
In any case, if the seller is responsible for damage towards the buyers, the damage can
not be more than 10% of the Product price.
The warranty will expire, if it has not yet expired, when the Product is repaired,
modified and/or disassembled even partially, or if the Product is tampered without
written approval by BIO-4.
8) RESPONSIBILITY LIMITATIONS
In any case, BIO-4 will not be responsible for any loss or direct and indirect damage
to the buyer or third parties due to delayed deliveries of the Product and of
components, delayed assembling and/or starting such as losses or falls in productions,
or lost profit etc.
9) PROPERTY OF DRAWINGS, SPECIFICATIONS ETC.
The parties agree and acknowledge that all drawings and technical documents, none
excluded, which allow the manufacture and/or installation of the Product or of a part
of it, given by BIO-4 to the Buyer before or after the agreement stipulation, are BIO-
4’s exclusive property. They cannot be used by the Buyer except for the assembly and
use of the Product, they cannot be copied, reproduced or communicated to third
parties without written approval from BIO-4.

Any idea, concept, project, model, sample developed for this offer and relevant to the
Product are the exclusive intellectual property of BIO-4.
10) SECRECY
Any information, which the parties exchange with regard to this agreement, and data,
formulas or whatever communicated even verbally by BIO-4 to the Buyer to execute
this agreement shall be considered confidential, and they cannot be supplied or
communicated to third parties without written approval from BIO-4.
11) RESOLUTION OF THE CONTRACT FOR THE BUYER’S FAULT
In case of resolution of the contract for the buyer’s fault, BIO-4 will be paid for
everything that has been carried out and/or prepared, including studies, planning,
expenses and transfers, plus the amount equal to 25% of the whole contract amount.
This percentage is conventionally a compensation for expenses and lost profit, if no
greater damage is caused.
12) PROHIBITION OF ASSIGNMENT OF THE CONTRACT
This contract can not be assigned, partially or totally, without written approval of the
other party, being confirmed however the right for BIO-4, which is hereby recognized
and accepted by the Buyer, to assign partially or totally the contract to another
company with which there is a connection bond.
13) JURISDICTION
For any disputes, which could arise with regards to this agreement, including disputes
concerning its validity, interpretation, execution and resolution the Innsbruck court
will have exclusive jurisdiction.
