Sub-Contractor Policy
Value Statement:

Subcontracts mean contract with other facility to have support to accomplish a


goods. Texeurop (BD) Limited conduct sub-contract with others facility to take
support to fulfill to complete the goods. Authority gives importance to be a successful
and responsible business strategy. As such, we are committed to all of our sub-
contractors are obliged to take the necessary step to implement and to monitor our
code of conduct.

Applicability:

This policy is applicable to all of Sub-Contractors related with Texeurop (BD) Limited.

Policy:

1. Nomination Procedure:

Merchandising department will nominate the sub-contract facility and request to


compliance department to audit the facility. The sub-contract facility will be approved
by top management after having final confirmation from compliance department. To
be a subcontractor a facility has to meet below requirements:-
a) Legal Requirements:
1. Legal documentation is a vital part of business. Sub-contract facility must
be preserved all type of legal documentation.
b) Financial Background:
1. Texeurop (BD) Limited will check and/or investigate financial background
of sub-contractor prior start the business.
c) Technical Competency:
1. Texeurop (BD) Limited will consider technical strength of sub-contract
facility prior to select sub-contractor.
d) Quality:
1. Subcontractors must meet quality requirements according to Texeurop’s
and Buyers standard.

2. All materials and goods supplied shall be respective kinds and standards
described in the specification drawings or other documents specified in the
Purchase Order.

2. Ethical & Social Standard:


We will work vigorously towards a goal in line with our commitment to the TBL COC
that:
1. All subcontractors by making the introduction of social standards and
compliance with the TBL code of conduct a condition of all contracts that it
enters into with sub-contract work.
2. By asking sub-contractors to report regularly about their progress in
implementing the TBL code of conduct.
3. Must comply with the provisions of current law and health, safety and
environmental regulations. A copy of such regulations shall be given to the
TBL on demand.

3. Subcontractor’s Obligation:
1. The Subcontractor shall carry out and complete the Subcontract Works in
accordance with the reasonable satisfaction of Texeurop (BD) Limited.
2. If a Completion Date is stated in the Purchase Order the Subcontract Works
shall be completed by that date or such extended date shall be fixed. If no
such date is stated the Subcontractor shall carry out and complete the
Subcontract Works in a reasonable time from the date on which it is
requested to commence by Texeurop (BD) Limited.

4. Monitoring:
We are committed to continual improvement for the success of this policy requires
the involvement and commitment of everyone working for and with us:
1. By providing relevant information of buyer’s activities.
2. By auditing the sub-contractors business premised and activities and those to
be carried out by any time with or without prior notice by Texeurop’s internal
audit team.
