 OUR COMMERCIAL TERMS AND CONDITIONS:-

 Scope of Works: Design, Manufacture, Testing as per IS: 2026, Road worthy Packing
& Forwarding from our Works.
 Price basis and delivery terms: EX- WORKS, VADODARA (INCOTERMS: 2010)
 Taxes/Duties/ Levies: GST shall be extra as applicable at the time of despatch.
However, present rate is 18% IGST.
 Transportation and Transit insurance: Transportation and transit insurance from our
Works upto site shall be arranged and borne by the Purchaser.
 Validity: 15 (FIFTEEN) days from the date of our offer, subject to our confirmation/
modification, if any thereafter.
 Delivery: 3 MONTHS (Ex-works) Vadodara from the date of receipt of drawing
approval along with un conditional manufacturing clearances in writing and advance
payment.
 Terms of payment: 20% advance against along with Order and balance 80% against
proforma invoice before despatch or Irrevocable and confirmed Sight Letter of Credit.
 Mode of payment: All payment instruments (of invoice value) will be released
Payable at NEFT / RTGS and Bank charges if any, applicable for that will be borne by
the Purchaser.
 Storage: Should storage of goods be necessary owing to despatch destination being
delayed due to your instructions or lack thereof or non availability of transport
facilities, the cost of such storage, demurrage and incidental charge at the rate of 1% of
the value of equipment ready for despatch per week or part thereof, will be to your
account and the goods shall be stored entirely at your risk.
 Warranty / Guarantee:
The materials covered under this Offer shall be Guaranteed / warranted for a period of
18 months from the date of despatch from our Works / 12 months from the date of
commissioning, whichever expires earlier. This guarantee / warranty shall hold goods,
if transformers shall be installed as per relevant IS/ IEC standards and maintained as
per the instructions given in our Service Manual. In case Purchaser requires the services
of our engineer during warranty / guaranteed period, the same shall be provided free of
cost; however, lodging, boarding and to&fro air travelling expenses shall be in
Purchaser’s account.
 Type Tests:
Transformer shall be designed and manufactured as per IS-2026. Routine tests shall be
carried out as per IS-2026 at our Works. However, any type test as per IS/IEC, if any
insisted shall be carried out on CHARGABLE BASIS only. Special tests -Short circuit
test shall not be conducted even on chargeable basis.

NOTE:

1. Taxes & Duties: GST shall be extra as applicable at time of dispatch. However, present rate
is 18% IGST.

2. In a high rating, low voltage winding, obtaining impulse waveform within tolerance
specified by IS 2026, requires a large kV capacity Generator, Impulse testing facilities
available in the country are inadequate & we may be constrained to presume your
agreement to waveform beyond specified tolerances. Similarly agreement may be required
for time of chopping also.

3. Please note that Dynamic Short Circuit test shall not be carried out on transformer
even on chargeable, being a very special test. We shall be submit Type test report
conducted on higher rating transformer and calculation, if required.

4. No Type / Special test shall be conducted on BOI such Bushings, Tap Changer, Oil and
winding temperature indicators, Buchholz relay, PRV etc. The Routine test reports of
above equipment shall be for reference during final inspection. Type test reports of
items like Bushings and OLTC, if required shall be furnished of similar item, where
tests have been done by the original manufacturer.

2 Clause No. 6 a) DC Components: We understand that the same is already considered by you
while deciding of KVA rating of transformer. Hence, the same is not
considered by us.
b) Transformer Tank & Transformer fittings: We shall provide PRV in place of
Explosion vent.
c) Terminal arrangement: Cable lugs & glands shall not be in our scope of
supply.
d) Radiator: We would like to clarify that radiator shall be tank mounted
detachable type (Fins type).
e) Termination and Wiring: Cable Lugs & glands shall not be in our scope of
supply.
f) Marshalling Box: Timers and relays are not required and therefore not
considered.
g) Pressure relief valve: Surge protection is not applicable as offered transformer
is provided with off circuit tap changer.
h) Material Treatment & Painting: Painting shall be as per our plant practice (i.e.
polyurethane paint).
i) Marshalling Box (Page no. 18): Tap positon indicator with provision for
remote indication is not clear to us therefore not considered.

5 Datasheet a) Hot spot of temperature rise of transformer shall be as per IS.
b) ONAF cooling clause is not applicable as transformer is ONAN cooling (i.e.
5 MVA- ONAN cooling).
c) We understand that K- factor, overloading and it’s harmonics is already
considered by purchaser while deciding Transformer KVA rating therefore
we have not considered the same.
d) Flux density of transformer shall be 1.7 Tesla @ rated voltage and frequency
instead of < 1.6 Tesla @ 110% voltage.
e) Current density of transformer shall be 3.5 A/sq. mm NOT a 2.5 A/sq.mm.
f) We would like to clarify that we shall provide LV side: Epoxy type bushing
instead of porcelain type. Further, kindly clarify why current rating of
bushing required 1.5 times of rated current? Due to the same cost of
transformer increase. Hence, we shall provide bushing current rating as
mentioned our offer page no. 04 of 11.
g) Core material shall be provided as per our approved vendor and reference
standard of the same shall be as per manufacturer standard.

instead of < 1.6 Tesla @ 110% voltage.
d) Please note that we shall provide LV side: Epoxy type bushing instead of
porcelain type. Further, kindly clarify why current rating of bushing required
1.5 times of rated current? Due to the same cost of transformer increase.
