Vapotherm has closed its merger with a newly-formed entity organized and funded by an affiliate of Perceptive Advisors, LLC. On June 17, 2024, the Company announced that it had signed a definitive agreement and plan of merger with a newly-formed entity organized and funded by an affiliate of Perceptive Advisors, LLC, a leading health care #investment firm ("Perceptive"), and its Perceptive Discovery Fund. Concurrently with the entry into the definitive agreement and plan of merger, the Company’s existing lender, investment affiliates managed by SLR Capital Partners ("SLR") agreed to convert approximately $83.0 million of term debt into preferred equity of the newly-formed entity, and Perceptive would invest $50.0 million of new preferred equity capital into the business, a portion of which would be used to fund the merger consideration and make certain closing-related payments. SLR would retain $40.0 million of term debt post-closing. Effective as of the closing of the merger, #trading of Vapotherm’s common stock has been suspended on OTCQX, and Vapotherm has requested that its common stock be delisted from OTCQX. PHM Group expands into Switzerland by acquiring the Switzerland-based Investis Group's subsidiaries in its Real Estate Services business. The subsidiaries in question provide property management and maintenance services for residential and commercial properties in Switzerland. The acquisition supports PHM Group's growth strategy in Central Europe. "We are very pleased to expand into a new market and make Investis Group's property services companies part of PHM Group. The acquired companies have a very similar corporate culture to that of PHM Group: we operate close to the customer with local companies and brands. Festi hf.'s acquisition of the entire share capital of Lyfja hf. is completed and the company has thereby become part of the Festi Group. The reference closing date for the acquisition is July 1, 2024, and Lyfja will therefore be included in Festi's consolidated financial statements as of that date.  The purchase price for the acquisition amounted to ISK. 7,116 million, based on the company's preliminary financial statements, which is divided into a cash payment in the amount of ISK 5,076 million and the delivery of 10 million shares in Festi with a market value of ISK 2,040 million based on the closing price of 204 on Nasdaq Iceland on July 10, 2024, respectively. Today, Festi took out a new loan for the acquisition, which will increase the Group's leverage by ISK 4,000 million. Further details about the transaction and its financing will be provided in connection with the publication of the Company's 2nd quarter results on July 31. Concurrently with today's completion of the acquisition, Hildur Þórisdóttir, acting CEO and managing director of Lyfja's human resources department, has joined Festi's executive management. Ásta S.
