California tax revenue from cannabis has declined each of the last two years from a peak of 2021. (Source:DCC) Where do we expect 2024 to finish? It sure seems to be a broken system, with very few profitable operators. The state is trying, and AB 2223 will be a pivotal moment for the industry. Many brands have given up, and are finding better margins and consumer access in hemp, that allow them to do basic things like make payroll. I voted in favor of prop 64. At the time, I had faith that the state supported profitable industry to boost the economy and provide jobs. I didn't believe they had altruistic motives to improve access to a beneficial plant. I didn't think the mismanagement would be so bad that the industry would already be in a decline 3 years into it. Question: How much tax revenue would we generate for the state if we had low-dose cannabis beverages accessible everywhere alcohol was? How much would we need to tax cannabis beverages to achieve their goal? Allowing adult beverage producers, distributors and retailers to freely sell low-dose cannabis beverages isn't competing for revenue from the dispensary channel. People buy beverages where they already are. Someone ordering a Coke at McDonalds or a Red Bull at a concert wasn't going to buy the same drinks at a grocery store later that day. Please tell me where I'm wrong, or your ideas to fix this decline -

SAFE NOTES ARE NOW UNSAFE... OK so what is going to happen to the money that was poured into CPG Brands via these supposed SAFE Notes? Issue is that no priced round took place and now it is likely if it did happen it would be at a fraction of the valuation that was contemplated leading to massive dilution for the founder. Many have a cap...few have a floor. and unless they are converted it will be impossible to raise new money at any valuation. #cpg #safenotes #fundraising

As the cannabis industry matures, we are starting to get reliable data. This can help make decisions based on real sales figures and not predictions. 10 years ago, there was only one state with adult use sales (#colorado) and a handful of states with medical seals. Now there is 24 sates with adult use sales and an additional 15 states with medical seals. At the moment #california leads with total seals but #michigan leads with per capita seals. #florida leads in medical seals. #missouri with a relatively small population and only 17 months since they launched their adult-use market, is already in fifth place. ALCOHOL RETAILERS TAKE NOTE: USING A DELIVERY SERVICE COMES WITH CERTAIN RISKS Last week, the Washington State Liquor & Cannabis Board (WSLCB) cited a local wine and spirits store for selling liquor to a minor. The citation shocked the owners and their employees because they were certain they had never sold alcohol to a minor in their store. It turns out the violation actually was committed by the retailer’s contracted delivery service because a driver for the delivery company failed a WSLCB alcohol delivery compliance check. A state regulator purchased spirits from the retailer online; a delivery driver picked up the alcohol and delivered it to an 18-year-old man at the purchaser’s address, even though the ID tendered by the recipient to the driver clearly showed he was under 21 years of age.  The result: a retailer with a spotless compliance record was forced to pay a $1000 fine or suffer a ten day suspension of its license. The cited retailer feels unfairly punished, insisting that its contract with the delivery service guaranteed that every recipient of a delivery would be ID checked to assure a lawful consumer. However, the retailer failed to appreciate that under Washington State’s alcohol laws a spirits retail licensee is ultimately accountable for all deliveries of liquor made on its behalf. This is nothing new. The Massachusetts Supreme Court set this precedent back in 2008, with its decision in eVineyard Retail Sales-Massachusetts, Inc. v. Alcoholic Beverages Control Com'n., 450 Mass. 825, 882 N.E.2d 334 (Supreme Judicial Court of Massachusetts, March 18, 2008). In that case, which also involved a lawful internet sale of wine followed by an unlawful delivery to a minor, the Court found that the licensed retailer made the sale and was responsible for the alcohol’s safe and lawful delivery, regardless of what its agent promised contractually. Alcohol regulators have jurisdiction, and the concomitant power of enforcement, over licensees, not contractors. Unlike retailers, existing beverage delivery services typically are unlicensed by the reigning alcohol regulatory agency. Consequently, when violations occur, such as deliveries to a minor or an intoxicated person, the regulators look to their licensee for accountability. News that Athletic Brewing raising another $50million for growth plans now gives them an amazing $800 million valuation which is double of what it was two years ago. My question is why would Athletic give up more equity albeit a "small" amount, if doing a straight calculation the $50million raised at $800 million valuation, don't know if pre or post-money, but for easy math say its 6.5% equity they gave up on this round. A CNBC post, Bill said they did $90million in revenue in 2023 so for simple math at an $800million valuation so about a 9x multiple on revenue which is VERY high for a beverage brand where 3-4x is a lot and typically a 2x multiple. Bill also mentioned in 2023 they sold over 3 million cases so revenue of say $30 case using the $90million. One would assume at this point Athletic could easily get a $50 or $100million loan at say 7-9%, so why would you give up more equity? I understand early on when starting a new business its a gamble if you will succeed so the old adage of "play with other people's money" when you are a start-up, but at this point I wouldn't consider Athletic a "start-up". In the interview they said Athletic is at 19% US market share of the US NA beer market. Stats I could find, the top 5 US NA beers had $246.7 million sales & a total US NA beer market of $368.7 million in 2023 or 67% of the total US NA beer market. Statistia 2023 US NA beer stats of: Heinken $77.45 million (21% share) Bud Zero(ABinBev) $55.44 million (15%) Athletic $51.83 million (14%) Busch (ABinBev) $33.61 million (9%) O'Douls (ABinBev) $28.37 million (8%) NOTE: if combined all of ABinBev's NA lines would be the leader at $117.42 million (32% share) What is interesting is that 33% of the US NA beer market are "other brands". So while not the duopoly like in hard seltzer where the top 2 brands have 80% market share, you do still have 5 NA brands at 2/3 of the market. The question is if the top 5 will gain market share as the overall US NA beer market grows if they can keep pace with the NA beer segment growth. I see O'douls losing ground, but the other 4 gaining or maintaining their current market share. I expect the NAs from Corona & Guinness to gain share especially on-premise as both brands begin to focus on this channel as they primarily focused on off premise early on. On premise for NA beer I think is where the market share will be gained or lost as NA brands negotiate contracts (which is legal in most states with NA). Cannabis startups are DEF a rollercoaster - 2 wks ago I was reeling from several gut punches... but today, things are looking bright: ✅ LOTS of new products in the pipeline that I'm SO pumped about... our Live Resin Vapes drop in NY before 710 and they're 🔥 🔥 🔥 . A bunch more new stuff I can't reveal them yet too… ✅ in NY, LIVE NUGS are in almost completely sold out - with most places re-ordering after < 2 wks selling a $100+ SKU! We’re getting a ton of inbound interest - shows that innovative products that deliver real value sell. Still early, but we should 2-3X our best month ever... NY as a market feels like it’s FINALLY getting its footing (hope I’m not jinxing us here). ✅ in CA, we've signed 4 MONSTER accounts since HoF and our new SKUs (esp Live Rosin Pre-Rolls and Live Rosin Vapes) are FLYING... it's painful for our cash flow to be scaling to meet demand, but feeling very positive about the turnaround in the most challenging state. About to sign up for the next big show in Sept… ❓thinking about expansion - though it's still early (wanna make sure our foundation & processes are solid in CA / NY)... but what potential partners should we be talking to in NJ for cultivation / processing / sales & distro? The only people who benefit are the lawyers that create these garbage cases. I think where this gets stuck in the mud is inulin type fibers are stool softeners. Yes, they can contribute to that. But the far great benefit is the production of butyrate or short-chain fatty acid (SCFA) which is vital to the production of ATP (food for your mitochondria) as well as building the mucosa which lines the wall of the gut. A breakdown in this lining can lead to leaky gut syndrome which leads to inflammation. I don't think these better for you soft drinks are making any promises but, any amount of fiber that will get you to your daily intake of 22 grams is a win.

Seinfeld fans: Remember the one about the yogurt shop?   Kramer invests in a “non-fat” frozen yogurt shop whose product is both delicious … and deliciously crowd-pleasing.   The only problem? The yogurt’s flavor-boosting ingredient turns out to be (spoiler alert) fat, spurring the shop’s angered fan base to cry false advertising.   Bogus product claims can land businesses and brands in hot water, and fast. This harsh truth is why, at GoTo Foods, we’ve woven education on marketing, claims and trademark law into our annual compliance training.   Like most big corporations, each year our associates must participate in several hours of compliance training. And while everyone completes certain trainings—such as sexual harassment awareness and AI policy updates—we also take this opportunity to connect associates with courses tailored to their roles.   Marketing and trademark education, for example, is earmarked for members of our PR, social media, marketing and brand teams. For other teams, we’ve developed joint employer risk training to assist in compliance with ever evolving laws and regulations around the franchisor-franchisee relationship.   We know people are, hands down, the most important resource to any company. However, without the right investments and guidance, they can also be the biggest liability. 🚀 #Nonalcoholic beer continues to GROW and GROW in the US at a 22% volume CAGR from 2019 to 2023, according to recent data by IWSR. It has also more than DOUBLED from a 0.5% volume share of total beer to 1.2%. A few other interesting stats is that NA beer is strongest in the northern states.  Every state has seen strong growth but, the biggest share growth has skewed towards the NE and NW of the US: 🍺 Maryland and Massachusetts both went from 1% share of total beer to 4%, growing at 49% and 39% (volume CAGR ’19-’23) respectively. 🍺 Massachusetts is the 22nd biggest beer drinking state in the US but the 3rd biggest non-alcoholic beer drinking state, and Maryland the 26th biggest beer state but 8th biggest non-alcoholic beer state. 🍺 Connecticut non-alcoholic share of beer went from 1% to 3%. New Jersey, Washington and Oregon all doubled their non-alcoholic beer share going from 1% to 2%. “What is interesting about this regional trend is that as northern states, they have more moderate climates that don’t traditionally lend themselves to over-indexing on beer consumption due to longer cold seasons,” observes Marten Lodewijks, President of IWSR’s US Division. “That would suggest the bigger driver of this growth is underlying consumer preference and not just a switch from full-strength to non-alcoholic beer during the hot summer months.” You can also see in the chart below there is more consistent growth of non-alcoholic beer throughout the year vs. a lot of volatility for full-strength beer. TECH RUINED US. You hear stories of companies doing Series after Series - it seems so glamorous to raise so much money!! But is it really? The same thing eventually happened in CPG. Easy access to money. Companies doing raise after raise after raise. Impressive... I learned the hard way that this in fact is not glamourous. Raising money is not something to really brag about no matter how great it feels. I know CPG brands that sell to MILLIONS of consumers. Yes MILLIONS. And yes its incredibly impressive to do so. But does anyone talk about what happens after? What could possibly happen when you are competing in a category where your price on shelf is $4 and under? You NEED to raise money and you NEED to have millions of customers. This is NOT tech. And those are the companies that reach that threshold. How about the ones that never get there? The story goes that you launch, raise money, spend EVERYTHING on marketing to attract customers and HOPE you get acquired. I too believed this. By the time founders get acquired they've almost completely diluted themselves anyways. I will share more on this in the weeks to come... #cpg #marketing #entrepreneurship

Look Ma, we made it to Sprouts Farmers Market ! 🥂 3 flavors are landing in 30+ select locations in Southern California as part of Sprouts’ Innovation Table and we are thrilled! Big shoutout to the team at Pod Foods for including EATABLE INC. in their Box of Innovation which was instrumental in having us be part of this launch alongside other fab CPG brands. As much as we’re celebrating today, I also wanted to take a second to call out (esp to my non-CPG friends who may not realize this)… The road to mass grocery and retail is HARD AF. 😅 It has always been a dream of Vincent Li and I as founders to see EATABLE popcorn on the shelves of major grocery stores. But truth be told, this journey to bridge EATABLE’s brand identity from a premium gift/department store brand to mass grocery brand has been chock full of headwinds. We’ve pivoted countless times over the last 2 years to tweak: - Pricing (one of the BIGGEST hurdles for emerging brands) - Pack size - Pack design and branding - Distribution model - Logistics and supply chain - Channel strategy - Trade marketing support strategy - Balancing a lean marketing budget between online and offline to drive sellthrough and velocity Getting on shelf is an important first step, but there’s lots of heavy lifting to be done to ensure we sell OFF the shelf too! 🛒 Our journey has been full of small tests, lots of failures and rejection along the way, which have resulted in a TON of learnings (for future posts!) Instead of wine, let’s look at craft cannabis vs craft beer, which holds 24.7% of total US beer market share at retail! This means craft cannabis will be the same? Right? Not really… At wholesale, (where they actually make their money) craft brewers only hold 13.3% of sales. In some ways, yes, there are models in this category that could be feasible for cannabis companies to follow, (Tilray thinks so…) But that’s the point….TILRAY is the #6 ‘craft brewing’ company in the country… Simply put, ‘craft cannabis’ doesn’t equate to ‘craft beer’. “Craft Brewers” are defined by the Brewers Association as: SMALL Annual production of 6 million barrels of beer or less (approximately 3 percent of U.S. annual sales). Beer production is attributed to a brewer according to rules of alternating proprietorships. INDEPENDENT Less than 25 percent of the craft brewery is owned or controlled by a beverage alcohol industry member that is not itself a craft brewer. So… you can own 3% of total national market share, and Anheuser Busch can own 25% of your company, and you’d still be considered a craft brewer. This includes companies like: Boston Beer Co. (2,793 employees), $2B in sales Sierra Nevada (1,050 employees), $320M in sales Tilray , (1,600 employees*), $152M in sales *includes cannabis employees One vital point being missed in the comparison between wine and beer and cannabis… we have to note that both wine and beer exist in complex supply chains, wher the grower of the grape very often may not bottle or brand (i.e.selling bulk), and where beer requires hops and barley, which are grown by farmers. So… who are the cultivators in this scenario? The brewers? Or are they barley farmers?

CELSIUS Holdings, Inc. reported earnings for Q3 with a drop of 30% in revenue an a 9% decrease in margins with a profit of $0.0/sh. This comes after they announced the purchase of a 170,000 sq ft coman earlier this month. There’s been ongoing issues with distribution and the relationship with PepsiCo that have impacted sales. It should be noted Keurig Dr Pepper Inc. owns a % of Celsius. I recently mentioned the decrease in revenue is partly due to consumer behavior change from c-store to bulk. The company confirmed that today noting that bulk stores like Sam’s saw an increase of 15% in revenue as consumers are being more frugal and buying in bulk vs c-store. Cali Cannabis Brands May Take Over but Maybe Not Cali Firms Californian (and BC) weed brands have a well-earned image and mojo – which will soon come under serious attack.  The foe is in plain sight:  shrewd MSOs & LPs who will use marketing precepts to beat the West Coasters at their own game.     In cannabis few brand values count more than pedigree, exclusivity, and authenticity. West coast brands have this in spades backed up by plenty of expertise and genetics. However, right now any MSO or LP can freely copy (with slight modifications) or create their own ‘Cali’ style brands.  As I type, I can sense the outrage and pushback by some.  Read on. Yes, true authenticity and community is not easily replicable to a connoisseur.  But for much of the current market as well as most future consumers, it’s a different story.  According to research, they care far less about the 'real thing' if their other needs are being satisfied.    The producer payoffs are great if you get it right.  To wit, the supply of Louis Vuitton handbags is small and exclusive.  Conversely, the market for fast-fashion Chinese knock offs is much bigger.  We’ve already seen Cali-inspired brands (e.g., Aurora’s San Rafael '71). However, these were early efforts, launched without deep consumer knowledge and constrained by onerous branding regulations.  This track record should not breed complacency.  Consider what’s going in the UK beer industry. Madri, a fake Spanish lager is eating share leader Carlsberg’s business. Madri has been criticized for marketing itself as “the soul of Madrid” despite being brewed in Yorkshire by Molson Coors.  The boss of Estrella Galicia, which has brewed beer in the Spanish region of Galicia for more than 100 years accused Madri of a “lack of transparency” over its heritage. This spat is part of a larger row around other so-called world beers that are actually brewed in the UK for British drinkers.  The Italian lager Birra Moretti, for instance, is brewed by Heineken in Manchester, while San Miguel, which was founded in the Philippines but is based in Spain, is made by Carlsberg in Northampton. Brand cooption is widespread in consumer goods.  For example, Haagen Daz is not a craft European brand;  it was invented in the Bronx in 1960.  Fashion accessories Parfois (French for "sometimes") is actually a Portuguese company.    Importantly, copycat brands don’t have to be great or authentic but rather skillfully created and able to create strong product-market fit. Countering this threat requires proactive effort including: 1. Establishing/meeting regional appellation programs & quality standards; 2. Creating IP-driven differentiation and; 3.
