Interesting piece from Marc Andreessen on how startups are not getting the regulatory support they need to sustain America's technological leadership. "Regulatory agencies have been green lit to use brute force investigations, prosecutions, intimidation, and threats to hobble new industries, such as Blockchain. Regulatory agencies are being green lit in real time to do the same to Artificial Intelligence." 🤠 A massive win for Texas! The U.S. government is granting Samsung Electronics up to $6.4 billion to build chip-making facilities in Texas, the latest in a string of major subsidy awards from the Biden administration aimed at reviving semiconductor manufacturing in the U.S. Samsung is using the grant money to help hike its investment in Taylor, Texas, just outside Austin, to roughly $45 billion, adding a second chip-making factory, an advanced chip-packaging facility and research-and-development capabilities. This more than doubles Samsung’s commitment made in 2021 to build a chip-making plant in Taylor.

Smartsheet has entered a definitive agreement to be acquired by Blackstone and Vista Equity Partners for $8.4 billion in an all-cash deal. Smartsheet shareholders will receive $56.50 per share, representing a 41% premium over the 90-day average share price. The transaction is expected to close by the end of January 2025, subject to regulatory approvals and shareholder agreement. After the deal, Smartsheet will become privately held, continuing operations under its brand. There is a 45-day "go-shop" period allowing alternative proposals. Here are a few thoughts: Blackstone and Vista bring extensive experience in tech, positioning Smartsheet for accelerated global expansion. High valuation shows continued private equity interest in software companies, especially those with strong SaaS models. As a private company, Smartsheet may gain flexibility for product innovation and restructuring without quarterly public market pressures. Great Sponsor-led secondary case study written in collaboration between my partner, Mike Blume and Derek Minno of Point Capital. Derek, a veteran in the VC/PE world, has been chronicling (on SecondaryLink) the GP-led VC and now PE sector. The case study provides a detailed perspective into a sponsor-led secondary and Tail End Capital Partners' approach to these investments. The case study documents Tail End's first investment, made in August, 2021 and also Tail End's first full exit in early 2024. Tail End has actually returned 97% of capital across our first three (of eight) investments proving out the velocity of capital in the Sponsor-led secondary market. 🧬 This week's Austin Bio + Health Roundup highlights significant data trends, my stance on covering funding announcements, new partnerships, and action across the Texas Bio Triangle. 🧬 💰 Funding: The Way I Plan to Cover Funding Announcements You may have seen reports of a local Bio & Health startup’s funding round through an SEC report filing. While some outlets have covered this, my position is not to. I prefer to support our builders directly rather than trolling the filings for scoops. There is plenty of real investigative journalism that our city would be well served by if that is where they focused. Remember I am not a journalist and I am not the media. When the company is ready to announce their round officially, I’ll gladly shout it to the rooftops. 📊 Data Peter Walker at Carta reports that in 2017, Biopharma and Medical Devices captured just under 10% of all VC dollars. By 2023, this figure rose to 17.7%, and in Q1 2024, it reached 24%. The overarching tailwinds favor our sector and region with trends towards Bio & Health and the physical & digital intersection. Energy and hardware, two other sector blossoming in Central Texas, also saw similar share gains. 🤝 M&A and Partnerships Sensi.AI, a 24/7 senior care intelligence agent, is partnering with Caring Senior Service to deploy SensiAI’s platform in Caring’s 50 locations across the US. This partnership allows seniors a better opportunity to age gracefully in their homes. 🚩 Texas Bio Triangle BioMedSA is hosting an event called Women in Bioscience, Thursday June 20th. #orion #Sweetwater_Royalties Orion Resource Partners, a global investment firm specialising in metals and materials, has sold an 8% minority interest in Sweetwater Royalties, a private industrial minerals royalty company, to a Canadian pension fund for $100m. We start the week organizing a private event in Houston and closing on two deals. It's been a terrific year for us. Few friends have asked me to start a podcast about the real VCs and the Pulse of VC, a newsletter we write for our members or LPs. Here's a piece from Fortune (behind a paywall) on the use of secondary transactions by VC firms. Mark Suster from Upfront Ventures notes the secondary market is emerging as a critical tool for VC's, and that VC's might need to emulate their PE peers in the use of GP-led transactions. I agree this will become more common, and in some ways, VC use of secondary transactions is a more natural fit. VC funds don’t need to maintain controlling interest, so selling partial stakes is easier. Conversely, it’s also easier for a VC firm to buy a minority stake. If exits remain muted, the need for a secondary solution will undoubtedly increase. Venture capital firms often hold anti-dilution rights during fundraises, yet many dated funds lack the capital to exercise those rights. Worse, in some situations, ‘pay to play’ rounds can threaten to zero out investments made in funds without additional investment capital. Secondary transactions offer a viable solution, allowing firms to manage their portfolios effectively, harvest value and mitigate risk. The issue has always been pricing. Secondary funds have always had much more comfort with the valuation methodology (rooted in financial performance) of private equity portfolio companies, than the valuation 'art' of venture capital. As the IPO window remains shut and other paths to liquidity (buyout and M&A) remain compressed, the Cerebras Systems S-1 filing is a cautious welcome sign for the venture capital asset class. As the first "pure play" generative AI company to go public since ChatGPT's release, this marks what could the beginning of a new technology IPO wave. The company is making the bold attempt to take NVIDIA head on: ✅ Cerebras has developed a novel wafer-scale AI chip that is 57x larger than a GPU with 7,000x the on-chip memory  📈 Revenue grew a an incredible 1,122% YoY to $70M in latest quarter 💰 Blue-chip technology investors including Benchmark, Coatue, and Altimeter But the S-1 filing also reveals some notable challenges and risks: 🚩 83% of revenue came from a single customer in 2023 🗳️ Possible CFIUS scrutiny over their relationship with an Emirati company 🧑‍💼 CEO named in prior SEC enforcement action in early 2000s We will continue to keep an eye out for more details in the coming months around IPO pricing and the company’s regulatory squabbles, but in the meantime, please enjoy the full essay below.

Great NYT article about the US private secondary market highlighting an early mover I co-founded, Forge, and another I invested in and advised that's bringing things to the next level, Destiny (D/XYZ). A couple of my heroes and colleagues, Sohail Prasad and Kelly Rodriques, are quoted extensively. Written by Erin Griffith, a veteran journalist who has followed private markets for nearly two decades, the good insights outweigh a few things that beg for clarification. The public comments, by contrast, are mostly misunderstanding and misinformation. If you've ever worked for a long time at … well, anything… and then you read a news article about it, you probably know the feeling. Private markets are not "shadowy and often enigmatic." It's not that mysterious or complicated, people. It's just a fresh approach to an old business. * rant about Stripe * The article amplifies and conflates misleading claims by Stripe disparaging forward contracts as possibly worthless with others questioning secondary stock solicitations as likely scams. Stripe is twisting stock ownership legalities as if it doesn't want its employees to benefit from shares it's been awarding them for the last 14 years, not unless and until Stripe says they can. We used to run into that at Forge, companies granting equity awards then pulling them back with hidden strings, threats, and bluster to keep control over when, where, whether, and how employees could raise cash from the stock they fully earned as compensation for their loyalty and hard work. Say an employee wants to buy a home or car, pay for medical bills or their children's education. Or leave to start their own company. Sorry, those shares management paid you in lieu of cash, they didn't really mean it. The pinnacle was Airbnb's hired gun CFO calling us "bottom feeders" for facilitating employee stock sales without his permission. As if Airbnb wasn't doing the exact same thing, in their case illegally, monetizing tenants and their apartments. Happily awareness has grown. The Airbnb guy was soon out, and the general understanding came to acknowledge that once an employee earns their stock fair and square it's theirs. Market participants see this as a matter of fairness, but more to the point as a benefit to everyone involved including the company that issued the stock. So most companies encourage a secondary market. Rather than tensions rising, the long term trend is a growing acceptance of stock sales initiated by employees and early investors. Forge, for its part, has found it more effective to work with the companies and honor their wishes rather than butting heads with them as we sometimes did in the early days. I guess Stripe didn't get that memo. Or the people who post comments to New York Times articles.
