Thrilled to be featured in ADWEEK’s recent article on the ad tech M&A landscape. The past 18 months have been a whirlwind – high inflation, rising interest rates, and global uncertainty put a damper on liquidity. M&A activity slowed, and fundraising became a challenge. However, I see the current chess moves as a prelude to consolidation. This will unlock cash flow and pave the way for more strategic M&A deals in the near future. "I think we need more private equity folks in adtech," jokes Reed Rayman, Partner, Private Equity Apollo Global Management, Inc., noting that him and Stephen Master of GTCR LLC show up a lot on "the circuit." "How would I grade adtech? C in terms of public companies, too many and hard to navigate. An A in terms of PE opportunities." There is great PE interest in #adtech, as Apollo's investment in Yahoo (apparently the "Make Yahoo Great Again!" purple caps have been ordered?) has shown. Word on street is Apollo has already broken even on Yahoo—what happened? Phase 1: Verizon sucked up a bunch of media assets, no longer a priority; Apollo was able to package up and sell in basically one shot. Phase 2: Investment in infrastructure and key assets. Yahoo.com still a hugely used and visited site. SSP was basically monetizing our own inventory, so we shut it down. Native, we made a deal with Taboola. The DSP, with its amazing identity graph, is performing gangbusters. AOL is still a good biz! It’s not dial-up, we swear! 2023 really dire for PE following 40 years of tailwinds like bullish interest rates and low inflation. 10-year low in distribution. Scaled PE is about financing costs. No market for junior capital. Cost of capital has shifted how we’re all thinking about risk, but this is starting to thaw. The costs are not changing, PE willing to eat some of it. Bill Wise, Mediaocean: I think the wrong adtech companies went public first, and then no one wanted to follow The Trade Desk. Not all good news, Rayman admits: Tailwinds for adtech were great in 2017—10 years of double digit growth! This category is not growing at the same rate as 2017. Space has not rebounded like others. And there's a herd mentality—Before: “My peers are making money, let’s do it!” Now: “My peers aren’t making money! RUN AWAY!” M&A exits more tactical now—“How do I remain relevant in such a shifting ecosystem?” Fight for continuing success—nay, survival! Because knowledge barrier is high and space is complicated, there are limited number of PE playing in adtech. But then there’s the unknowns about the regulatory environment and the future (look at Google’s latest cookie environment). That’s added risk for PE, hard to mitigate. #adtecheconomicforum Beeler.Tech
