Insights from the 'Mergers and Acquisitions in the Digital Therapeutics Industry" panel at Digital Therapeutics Alliance Summit RealizedCare: The strategic rationale can be completely different: - very similar companies, extending an existing portfolio building a larger platform - extend into a new market or business model ResMed: We have done over ten acquisitions in recent years. Sometimes it's about growing the core sleep apnea business. In other cases it was about extending into new complementary areas. DarioHealth : We wanted to expand from D2C to B2B2C. One was about expanding product and capability, the other was a pure tech acquisition. We always have to weigh: What do we want to do organically and what can be better done through acquisitions? This is a precious moment. We are always talking about how these are hard times. But now is the time to buy and build. It was in these moments of crisis that companies like Amazon and Google were built! We have had a steady flow of making acquisitions. I actually expect the momentum of this to pick up. We want to acquire more additional capabilities that allow us to serve new groups of customers, building out our platform. What's the lead time for your deals? - We did two deals. Both took about two years. - When we first make a strategic investment we see the company grow over time (so it can take many years to close a deal) and sometimes companies are offered to us by bankers (this can sometimes be done in a few months) - We have done four acquisitions and I would say you cannot generalise this. Culture is the number one success factor for post-merger integration. You need alignment on purpose, values and behaviours. When you build models and come up with synergies in Excel, culture does not show up anywhere! People say the culture does not change without hard work. I disagree with that. It can get much worse without you doing anything, when you suddenly have people on board that do not perform up to your standard. Target companies often open up their documents without going through them with an outside perspective. You should identify red flags ahead of time to avoid delays that could lead to the cancellation of a deal. If you have multiple business models and revenue streams, be very clear which of them will still matter post acquisition. Communicate clearly what it is that you are selling. Explain your commercial model like you are explaining it to a five year old. Buying a small startup company as a large acquirer you have to be able limit your exposure to risks and liabilities of the target (an acquirer will not want to take over contracts with uncapped liability). Prepare your team for the transition. Everything will change over night. People sometimes say: don't worry, nothing is going to change. That's nonsense. Post-acquisition things will be different. I am excited to announce the ninth investment made from the fund in US-based Atreon Orthopedics, a MedTech company that is leveraging innovative nanofiber technology to change the orthopedic soft tissue market with its innovative electrospun and bioresorbable synthetic scaffolds. I was the lead investor in 3 of the early stages of ParaGen Technologies, Atreon's holding company when Atreon was a pre-seed company going through animal studies. Atreon has since received FDA clearance and has experienced strong revenue growth. We are investing in Series A of Atreon to further support its sales strategy in a sector that has seen high-value strategic acquisitions. The problem addressed by Atreon:   Sports medicine injuries impact people of all ages and activity levels. For instance, rotator cuffs are one of the most common ones, impacting over 20% of the US general population. Despite advancements in surgical techniques, fixation methods, and instrumentation, the rotator cuff retear rate remains as high as +30% for most people with certain demographics facing a recurrence rate for new tears up to 60% of the time. Surgeons seek solutions that address the biological healing environment and improve repair quality.   Atreon Orthopedics® has developed a bioresorbable synthetic scaffold that is used in orthopedics for the management and repair of tendons to improve healing and decrease re-tear rate. Once more into the IgA fray. We just learned Jade Bio and Aerovate will merge to focus on developing a potential “best-in-class” treatment for IgA nephropathy. Jade is the fourth spinout of Paragon Therapeutics, Inc. to go public via a reverse merger and the third this year, following Oruka Therapeutics and Crescent Biopharma. Paragon specializes in discovering promising new antibody drugs, which it then licenses to newly created companies to advance their development. In Jade’s case, JADE-001 targets a protein known as APRIL that’s thought to play a major role in the development of IgA nephropathy, which over time erodes kidney function. Jade aims to dose its drug every two months, compared to anti-APRIL antibodies being developed by Otsuka Pharmaceutical Companies (U.S.) and Novartis that are dosed once per month or once every two weeks. (Otsuka last week said its antibody, sibeprenlimab, succeeded in a Phase 3 trial, while Novartis expects data for its drug, zigakibart, in 2026.) The combined company will be named Jade Biosciences and will be led by Tom Frohlich, Jade’s current Chief Executive Officer (CEO). Jade’s existing Board of Directors will remain in place, chaired by Eric Dobmeier, former President and CEO of Chinook Therapeutics and current Venture Partner at Samsara BioCapital. Board members include Lawrence Klein, Ph.D., CEO of Oruka Therapeutics; Erin Lavelle, former Chief Operating Officer and Chief Financial Officer at ProfoundBio and Eliem Therapeutics; Chris Cain, Ph.D., Director of Research at Fairmount and Tomas Kiselak, Managing Member at Fairmount. Today's latest AI Driven Oncology Considerations ! A recent survey led by Andrew Hantel, MD, and colleagues from Harvard Medical School, identified three key ethical considerations for integrating AI into cancer care: Ethical AI Use: Oncologists emphasize AI models must be explainable and transparent, with patient consent for AI-driven treatment decisions and safeguards against biases from narrow data sources. Patient-Centered Decision Making: Over a third of oncologists would defer to patient preferences when AI recommendations conflict with their own, highlighting AI's supportive role in clinical decision-making. Challenges and Opportunities: The survey revealed a gap in oncologists' confidence in recognizing AI biases, underscoring the need for enhanced training and ethical guidelines. In CA: A Cancer Journal for Clinicians, experts like Shiraj Sen, MD, PhD, discussed AI's future in oncology: Treatment Personalization: AI could enhance treatment customization by integrating patient factors and biomarkers. Radiographic Response Assessment: AI-assisted trials are assessing treatment responses and may predict tumor behavior for personalized treatments. Clinical Trial Access: AI may improve access to clinical trials by matching patients with suitable studies, potentially enhancing outcomes for advanced cancer patients. Both Hantel and Sen stressed the importance of structured AI education and ethical frameworks to ensure responsible AI integration in oncology.

Large pharma companies involved in the first U.S. negotiations over prices for the Medicare program said they do not expect a significant impact on their businesses after seeing confidential suggested prices from the government for their drugs that will take effect in 2026. Biden's Inflation Reduction Act, signed into law in 2022, the Medicare agency was required to identify the 100 most expensive drugs in the program, and industry perceived this as the government was "price setting" under the program and that the practice would harm innovation. If you have spent time on the commercial side of the drug industry one would know it is common for drugmakers to provide discounts off the list price based on sales volume, but those discounts are not made public. PhRMA and the U.S. Chamber of Commerce filed lawsuits to stop the prices from going into effect, which have largely failed, as expected, because price setting has been a flawed and political process," said Longo, spokeswoman for PhRMA. Recently, PBM and insurers have been under scrutiny for profits from prescription drug programs. The games continue into another political season. Thoughts?
