🗞️ Breaking News: Red Ventures Selling CNET at a huge Loss❗️ Context: Red Ventures, the privately held digital media and marketing juggernaut based in Fort Mill, South Carolina, is selling CNET, one of the largest tech publishers on the web, to Ziff Davis for just $100 million. For context: Red Ventures bought CNET for approximately $500 million. Reason for the Sale: Total traffic to CNET has dropped by a staggering 50% over the last three years. The main driver behind this decline is a 68% drop in organic traffic (loss off Google rankings and traffic). Tables turned: This sale is a stunning turn of events for CNET, which once bought Ziff Davis (then a tech magazine firm) in a deal worth roughly $1.6 billion - more than two decades ago. Catch Up: - Ziff Davis trades publicly with a market value of $1.94 billion. The company lost about half of its marketcap over the course of the last 48 months. Strategic rationale: If Ziff Davis is able to ink a content licencing deal with Google, Bing/Microsoft or ChatGPT (or else e.g. X.AI) - like Reddit did - it might turn out to be a very smart deal …

I enjoyed going on Nick Telson-Sillett’s podcast, Pitch Deck by Forward Pursuit. Nick is a serial founder and investor (founded and exited DesignMyNight) so knows both sides of the table which always makes for an enriching chat. Some things we discussed: - The perceived power dynamic between VCs and founders can hinder productive conversations. - A compelling product demo can significantly influence investor interest. - Founders must focus on solving real customer problems to succeed. - Hiring standards are crucial for building a successful startup team. - Behavioural roadblocks can prevent the adoption of new solutions. - Validation from potential customers is key for pre-revenue startups. - The early-stage funding landscape has become more efficient and selective. - Pace of execution is a critical factor in attracting investment.

Who will be the next supply chain consolidator? From 2011 to 2021, XPO scaled up from $70M to $20B, fueled by a combination of organic growth and 18 acquisitions. The model was extremely successful. But the supply chain ecosystem remains extremely fragmented. There is plenty of room for new consolidators to emerge as winners. In the food supply chain software arena, one emerging acquiror is GrubMarket Inc. They have built a network model to help food suppliers automate their relationships with their customers. GrubMarket has acquired over 100 companies to date. They are expecting to exceed $2B in annualized revenue. And they just announced their latest purchase: Butter 🧈, a SaaS platform to automate food distribution. This week Mikal Ventures brings you a 4-week breakdown of the non-US capital market with an emphasis on the Mikal verticals. The 4-week period ending November 25 saw just over 1,300 new companies added, bringing the total to 112,141 companies included in the non-US Health Tech, Med Tech, AI Tech Fin Tech and Ed Tech verticals. Non-US AI Tech again saw the greatest percentage growth in new companies at 16%, vs. the vertical average of 12% for the period. Non-US HeathTech led the group in transactions. Have you heard of #CapVC? It’s an application platform designed specifically for the use of #VC firms. Essentially, it’s a robust #AI-powered tool made to simplify the daily operations of managing a #fund. Isn’t that something, a VC funded start-up designed to help improve the productivity of VC funding! According to this article from TechCrunch, Cap VC is looking to become much more than just an ‘operating system’ — the company aims to be a simplified and extremely efficient way to run a VC firm: reducing digital clutter by turning PDF files, income statements and balance sheets into readable data, automating company suggestions based on the context of a VC’s portfolio, and more. Cap VC is currently developing native apps on Mac and Windows, alongside releasing an API so that developers can build on top of their foundations. So, are any of my fellow VCs interested in using this software? If not Cap VC, is there any interest for similar software to be created down the line? Are there downsides to using a third-party application like this? I want to know what you all think.

Packed house for #ATSL24 and a great discussion between Jeff Green, CEO of The Trade Desk and our own Ciarán O'Kane of FPC and ExchangeWire. The discussion touched on the lack of VC participation in AdTech (despite being a $1 Trillion addressable market). “Generalist VCs avoided AdTech because it’s complex. They often don’t understand why they’d win or lose”. This summed up exactly why FirstPartyCapital exists. A $1T+ complex sector needs specialists to fund innovation, provide deeper DD, illuminating context, access to networks and relevant portfolio support. Over time we hope this provides a stronger signal to generalist VCs and PEs. Accepting means you can never sell that ASIN again, and attempting to circumvent this rule by listing a variation is considered a violation. I've sat on both sides of the M&A table dozens of times. Having a differentiated product with a defensible moat in a healthy market is critically important. Full stop. However, don't under-estimate the importance of demonstrating to the buyer that you have a deep, genuine understanding of your business. For example... Be able to clearly articulate why strategic decisions were made in the past. (What was your rationale? What adjustments did you make and why? What did you learn?) Be able to logically and reasonably describe how and why gross margins, growth rates, profitability, retention rates, etc. will improve over time. Know the language of your buyer...e.g. if you're a SaaS business seeking an investment from Private Equity, you must know what they mean by bookings, net revenue retention, gross margins, CAC, payback, cash EBITDA, etc. Further, when asked about these things, your ability to answer immediately with confidence and specificity ("$24.2M" is a MUCH better answer than "I think it's about $24 or $25M...but I can confirm with our investment banker"). This instills a level of comfort with the buyer, which generates real value in how excited they will get about the investment / acquisition and maybe even the price they're willing to pay. It may feel superficial, but someone that is going to write a check for tens or hundreds of millions of dollars wants to feel confident that you and your team are locked in on the economic engine of your business and can speak to it in black-and-white metrics. Obviously, I can't scientifically put a number or percentage to what this is worth, but I can tell you that I've been in the room with the people writing the big checks and have been engaged in the deal team debates on whether or not to buy and at what price. A seller that knows the "secret sauce" of their business, the levers that can be pulled, and the data that tells the objective story greatly increases the likelihood of a fast and high-value outcome. ************ P.S. Even if you don't plan to sell or take on a majority investment, run your business like you are. Your leadership team's ability to speak a common, data-driven language will allow you to make better decisions faster.
