#Nasdaq Capital markets technology and exchange company Nasdaq announced a new collaboration between Nasdaq ESG Solutions and sustainable financial technology company Crux, aimed at enabling clients to advance sustainability objectives and realize cost savings by taking advantage of the Inflation Reduction Act’s clean energy transferable tax credits. Passed by the U.S. in 2022, the Inflation Reduction Act (IRA) allocated nearly $370 billion through a series of tax credits, loans, grants and subsidies to areas including renewable energy and industrial decarbonization solutions, and for the first time made these tax credits transferable, creating a new mechanism for funding energy transition projects by allowing clean energy developers and manufacturers to sell tax credits to third parties, and helping companies fund clean energy initiatives while reducing their federal tax liabilities. Launched in 2023, New York-based Crux’s sustainable finance platform provides an ecosystem for developers, tax credit buyers, and financial institutions to transact and manage transferable tax credits created by the IRA. After raising nearly $1B in capital in recent months, some acquisitions are especially fulfilling - this one being the case. But, first, a thanks and brief recap. In a stage in life I’ve come to learn as 'post-achievement,' my good friend Damien Rocchi told me recently: “Jeff, you may not feel the need to share what’s been going on in your world, but there are probably many people who would like to know because they care about you.” Thank you, Damien, for the wisdom and kindness. Now, for the recap. Hard to believe, but this year marks a decade since I signed the contracts governing the sale of my former company to Baker Tilly. The years following the merger brought great experiences, scale and phenomenal people into my life - both professionally and personally. Lots of good decisions (and some mistakes) that led to a tremendous journey which included: * The privilege to work and create value across 100+ countries * Effecting large-scale, positive impact spanning multiple industry sectors, companies and the teams within them * The invitation to consider the global CEO role for a $4B organization If someone told me in 2014 that this is what would be ahead, I may not have believed it. The years since the merger were indeed great - and the people even better. My hope during the time we worked together is that I brought each of them some small measure of the significant enrichment they brought me. As in life, one’s career has seasons. In 2020 it was time for a new one to begin in mine - even if such change would not be immediate. In long being a 'free agent' post-close in the sale of my company, the pandemic marked a point of observation, reflection and clarity: it was time for a change. Specifically, it was time to return to industry as CEO through acquisition, with a focus on sectors aligned with my experience. The aim: find a company that does good work but facing an evolutionary hurdle - whether in leadership succession gap, growth, recapitalization or otherwise. Once identified, acquire it, lead it and honor the legacy of those who founded it by generating outsized market value and positive impact post-close. And to such work I took, starting in earnest in mid-2022 and joining forces with a small but mighty group of great people. Together, we raised nearly $1B of capital in support of single asset fund deals where we could lend our experience in turning good companies to into great ones. While there have been many deals in recent months, one where I can combine my love for healthy company cultures with my passion for value-creation and all things tech, mobility, space and the conquest of flight, this is an especially fun one share. Looking for investment advice? 🤔 𝗠𝘆 𝗧𝗵𝗼𝘂𝗴𝗵𝘁𝘀 𝗼𝗻 𝘁𝗵𝗲 𝗦𝗘𝗖'𝘀 𝗟𝗮𝘁𝗲𝘀𝘁 𝗼𝗻 𝗜𝗻𝗳𝗹𝘂𝗲𝗻𝗰𝗲𝗿𝘀 & 𝗜𝗻𝘃𝗲𝘀𝘁𝗶𝗻𝗴: The SEC’s concerns stem from the evolving landscape post-JOBS Act, opening up pathways like Reg. CF and Reg. A for startups to raise capital from unaccredited investors—𝗿𝗼𝘂𝗴𝗵𝗹𝘆 𝟴𝟱% 𝗼𝗳 𝗔𝗺𝗲𝗿𝗶𝗰𝗮𝗻 𝗵𝗼𝘂𝘀𝗲𝗵𝗼𝗹𝗱𝘀. Other countries have similar setups. According to Kingscrowd, 79% of Reg. CF and about 50% of Reg. A offerings hit their campaign goals. But remember: just because they reach the finish line doesn’t mean they’re winners—on average, 𝟴𝟬% 𝗼𝗳 𝘀𝘁𝗮𝗿𝘁𝘂𝗽𝘀 𝘀𝘁𝗶𝗹𝗹 𝗳𝗮𝗶𝗹 𝗮𝗰𝗰𝗼𝗿𝗱𝗶𝗻𝗴 𝘁𝗼 𝗦𝗣𝗗 𝗟𝗼𝗮𝗱. So, while platforms like Wefunder and StartEngine make investing easy, success is never guaranteed. A 2007 study by Wiltbank and Boeker shows that 𝗶𝗻𝘃𝗲𝘀𝘁𝗼𝗿𝘀 𝘄𝗵𝗼 𝘀𝗽𝗲𝗻𝘁 𝗼𝘃𝗲𝗿 𝟮𝟬 𝗵𝗼𝘂𝗿𝘀 𝗼𝗻 𝗱𝘂𝗲 𝗱𝗶𝗹𝗶𝗴𝗲𝗻𝗰𝗲 𝗵𝗮𝗱 𝗿𝗲𝘁𝘂𝗿𝗻𝘀 𝘀𝗶𝘅 𝘁𝗶𝗺𝗲𝘀 𝗵𝗶𝗴𝗵𝗲𝗿. 📚 So, the SEC’s advice? Don't get swept up by the hype. #ProjectForABillion Today, in our regular column, I want to talk about the Cariloop project, which raised $20 million in a Series C round this spring. The lead investor was ABS Capital, which is also known for its investments in PowerReviews (recently exited) and LabConnect. But let's get back to the project in the Mental Health category. By the way, if psychologists ever asked me how to get rich and build a capitalized business, I would recommend working in their specialty and creating projects for corporations in the psychological and mental health category. In 2023, $435.2 billion was directed to this industry (this includes all project investments, not just venture capital). While there are still some managers in Russia (and elsewhere) who don't believe that a depressed employee who sleeps poorly, is torn between caring for children, and walks on the parapet at night is unlikely to create high results and a sustainable team, managers of almost all large corporations around the world are paying just as much attention to mental health as to physical health. Maybe these naive people are indeed investing half a trillion dollars so that employees can more efficiently scold their parents and school teachers? I've heard that silly version too. Cariloop is a platform where each employee is assigned a Care Coach with whom they can share or, in light cases, delegate the search for solutions to problems (although the platform indicates various types of problems, medical issues are most often mentioned in examples) not only for the user but also for their family members: children or even parents. A Care Coach can help navigate the healthcare system, provide educational support (about diseases, care methods), emotional support, and, if needed, legal or financial assistance. Special emphasis is placed on the fact that health coaches interact with each other and exchange information (how they do this without violating confidentiality, I will clarify later). I will not dwell in detail on the business efficiency claimed by the startup. It is clear that there are very beautiful infographics and analytics on the website about how much employee efficiency and, consequently, business efficiency improve when interacting with such a service solution. Check it if you want. I am skeptical about trying to measure the impact of employees' psychological health on business in numbers. However, evaluating the results of a business managed by psychologically unhealthy employees in numbers is much easier. We can start from there. *This is not an investment recommendation. **This is not a project the author has invested in (yep, it's required now). ***This is not a project I've been studying in detail for 10 years; it's just my subjective assessment of one of the most interesting projects that raised a round in the reporting period.

On Thursday, stocks dropped as strong economic data fueled worries about continued high interest rates. Despite the broader sell-off, Nvidia continued to soar on impressive earnings and a stock split announcement. Boeing, however, plunged on production woes. In world markets, gold is sharply down on new dollar strength propelled by the unexpectedly hawkish tone of the FOMC minutes. Crypto prices plunged, with BTC leading the decline by nearly 3% and touching 67K. In other news, foxes think the henhouse doesn't need any guarding. The author's argument basically boils down to: 1) trust us and 2) merchant transmission development usually runs over budget or gets abandoned, resulting in higher costs to the customers. The first argument is categorically weak and problematic, but the second has some validity. There are a number of solutions to the second problem beyond right-of-first refusal, however, including higher security deposits (to prevent walking away) and various provisions that disallow cost escalation after bidding (or defined indexing provisions).
