The aim of the board evolves over time. To put it simply, board structure has come into play when the owner or owners of an organisation no longer wish to run it directly themselves, or too many owners to work effectively, or the organisation have grown to be so complex that some form of central management is needed. ➡️ In agency theory, the boards are appointed to ensure the agents comply with the instructions and maximise returns. This theory assumes that ⭕ people act in their own self-interest ⭕ the interests of shareholders/ owners and management are different ⭕ so governance mechanism comes in to bring these interests into alignment ⭕ Therefore, independent directors are essential in monitoring and ensuring this. ✅ Now, with the demands coming from various stakeholders for enterprises and nonprofits to focus more on broader value creation. “If a Chief Executive wants a patsy Chair, don't let that happen." Brilliant conversation with Sir Nigel Rudd  for our latest episode of Enter the Boardroom. 👉 Link in post below My three key take-aways ➕ Chairs don’t need sector experience (unless it’s a bank): “I think that a really good chair can chair businesses where they don't have sector knowledge. I've done retail, manufacturing, airports … all that sort of thing. I never had a problem in getting the basics of understanding what drives the business … [But] for a bank, I just didn't think I had the toolkit.” ➕Actively involve non-execs in strategy: “I always quite like to have the non execs involved in [strategy]. Because, quite frankly, turning up for a quarterly board meeting is not the greatest thing in the world, unless you actually have something interesting to talk about.
