The Commission’s #merger review practice has strayed from the well-defined mandate it has been given by the Council to the detriment of legal certainty and the principle of good administration. It is high time for a reassessment. In this article we discuss the #righttomanage (RTM), and look at the Supreme Court decision in A1 Properties (Sunderland) Ltd v Tudor Studios RTM Company Ltd [2024] which confirms the approach that courts and tribunals should take where a party fails to comply with a requirement under a particular statutory framework, but where the statute does not stipulate what the consequences of that failure should be. She explained the importance of empathy and reassurance as firms navigate significant change following a deal: “People will respond differently, and some will want to ask questions, will need reassurance (sometimes on a repeat basis) and some may find the change involved in moving from one firm into another incredibly difficult. Kicking of the final day of London International Disputes Week (LIDW) ‘International law: what commercial practitioners need to know’ co-hosted with RPC- law firm. Britvic plc Backs Sweetened £3.3B Carlsberg Group Takeover Offer Britvic plc said Monday that it is backing an improved £3.3 billion ($4.2 billion) cash takeover offer from Danish brewer Carlsberg Group AS that would create a British beer and soft drinks giant. Carlsberg Group is offering 1,315 pence per share in Britvic plc under the terms of the deal, which values the share capital in the maker of the Robinsons, Tango and Rockstar Energy drinks brands at £3.3 billion. The offer price includes a 25 pence special dividend. Baker McKenzie is advising Carlsberg Group, led by London corporate partner Nick Bryans. Shares in Britvic plc, a member of London's FTSE 250 index, were up 4.63% on Monday morning at 1,266 pence, compared with 1,210 pence at Friday's market close. Our Partners James Clarke and Richard Shaw, alongside Senior Knowledge Lawyer Anna Blest, have shared their insights on the recent Supreme Court judgment in RTI Ltd v MUR Shipping BV (2024) UKSC 18, in which it considered reasonable endeavours obligations in the context of force majeure clauses in commercial contracts and concluded that they do not extend to having to accept non-contractual performance.   The judgment shared by the UKSupremeCourt confirms English Law’s principles of upholding freedom and interpretation of contract.
