    Dear Sir,

    We are pleased to attach our offer with respect to on-boarding/registering your company as a MSME Seller on the
    A.TREDS platform - Invoicemart. A.TREDS LTD is a regulated entity licensed by Reserve Bank of India and is governed
    under Payment and Settlement Systems Act 2007. TReDS (Trades Receivable Discounting System) is an institutional
    mechanism to facilitate the financing of trade receivables through Factoring / Reverse Factoring of Micro, Small and
    Medium enterprises (MSMEs – Sellers) due from Corporate Buyers through a bidding process by participating Banks
    and NBFC – Factors.

    The broad terms and conditions of the arrangement are as under:


    MSME Seller Trucon Associates
    Service Access to A.TREDS Ltd platform – Invoicemart for factoring of Invoices of
    registered buyers on the platform*
    Service Type Factoring
    Onboarding Process As detailed by A.TREDS Ltd platform – Invoicemart
    Rate of Interest To be decided through a transparent bidding system by registered
    financiers on the platform and to be recovered upfront at the time of
    discounting for the entire usance period.
    Registration/On-boarding Fees (Rs) Rs 600+ applicable taxes)%
    Transaction Fees (% p.a.) 0.10% p.a. plus applicable taxes, %(payable upfront at the time of each
    transaction)%
    Renewal Fees (Rs) Mutually Agree
    Note: Renewal /Annual Fees, if any, will be quoted/charged after necessary intimation of
    the amount to the MSME Seller.

    * Disclaimer:
    We will advise the MSME Seller once their Buyers are registered with us and are willing to initiate transactions. TREDS
    shall not be held accountable for payment of invoices, if the Buyers of the registered MSME Seller are not on boarded on
    our platform, due to any reason.

    The detailed terms and conditions shall be governed by the Master Agreement to be executed by MSME Seller with
    A.TREDS Ltd and the Procedural Guidelines.
