COMBINE HARVESTER LEASE AGREEMENT

This agreement made on the 23rd Day of July 2024, between:

YESHUA LIFE LTD. A limited liability Company incorporated under the laws of Uganda of P.O.
Box 1680 Kampala, Uganda
Plot 731 Off Nabunya Road , Rubaga Kampala(hereinafter referred to as LESSOR) on the one hand,

and

MS

(hereinafter referred to as the LEASEE) on the other hand.

The Parties agree as follows:


1. INTRODUCTION:

1.1. The LEASEE has 1000 Acres of land in Nwoya, Nwoya District and requires agricultural
equipment for conducting the following:

1.1.1. Application 1: Harvesting by Combine

1.2. The LESSOR has the agricultural equipment available to lease to the LEASEE for conducting
the required applications.

2. LEASE RATES
2.1. The lease rates to be charged are as noted below:

2.2. Any damages to the Combine or Header due to rocks, stumps, trees, ant hills or other such
obstacles will be charged to the LEASEE including repair of punctured tyres.
2.3. The Combine will require servicing every 250hrs worked and the costs for the services and
repairs will be covered by the LESSOR.
2.4. Transportation (mobilisation and demobilisation) of the leased equipment will be charged at
UgX 12,000,000/= and these funds will be deposited with the LESSOR in advance
2.5. An advance deposit of 50% is required before commencing of the operation and shall be
deposited on an account provided by the Lessor

3. OWNERSHIP:
3.1. The leased equipment shall at all times during the lease period belong to the LESSOR and the
LEASEE shall not sell, mortgage, pledge, underlet, lend, or otherwise deal with or part with
the possession of the equipment without previous written consent from the LESSOR.
3.2. The LESSOR will have the final decision on whether to avail equipment for the applications
based on field inspections.
4. ADJUSTMENTS:
4.1. The LEASEE shall not make any alterations, modifications or additions to the leased
equipment or make any adjustments to it in any manner without the prior written consent of
the LESSOR.

5. TERMINATION:

5.1. Either Party shall in respect of this Agreement be entitled to terminate this Agreement upon
the giving of 2 (two) days prior written notice to the other Party.

6. DISPUTE RESOLUTION AND ARBITRATION

6.1. The LESSOR and the LEASEE shall use their best efforts to negotiate in good faith and settle
amicably any dispute that may arise out of relating to this Agreement.

7. LAW APPLICABLE:
7.1. This Agreement shall be governed by the Laws of Uganda.
