With ref'erellce to the above, your rates for rvorks mentionecl in Schedule 'A' enclosed are acccptecl
sLrb.ject to the terms and condition laid dorvrr hereunder.

Terms and Conditions:

I) Value: The total value of rvorl< order is limited upto Rs.25 Lakhs (Rs. Twenry Five Lakhs onl1,)
as shown in Schedule 'A' inclusive of all taxes.

2) Taxes: The rates are accepted net exclusive of all Taxes but inclusive of l% Cess.
3) Execution of work: Imrnediate after receipt of u,ork order, the contractor shall take pronrpr
action in planning the rvork in consultation with the concerned S/s In-charge sub.iect to
availability of rnaterial i.e. equipments which are to be supplied by MSETCL. I-le sho,ld also
take steps fortimely procurement of necessary material ancl tools ald plant. The rvork shoulcj be
carried out to the full satisfbction of Executive Engineer & his representative. The proyisi.,
rnade in various acts such as rvorkman compensation act, contract labor,rr act 1970 are obligatort
while execution of rvork. Outages/ shutdowns required will be arrangeci by MSETCL. T'here
should not be duplication of rvork & concern substation In-clrarge should note the same. s;

4) Supervision of the lvork: The r,r,ork shall be under the supervision, & shall be sub.fect t9
approval of the Executive Engineer or concerned S/s In-charge. Shutdown as & when reclirired i1'
possible will be arranged by the concerned S/s In-charge. The conffactor shatl obtain a ceitificate
from the S/s In-charge fbr having executed rvork satisfactorily. The necessary testing of'
equipments fiom respective company representative shall be arrangecl by the agencf at their o1,p
cost.
 5) Scope of ll'ork: The u'ork underthis tender is related with emergency at substatio,s due
to bre.l<
dor'rnifar-rlt. and annual maintenance. tt is expected to attend (reach) the break down as
earlr as
possible after receipt of tlie call fiom MSETCL aLrthority (u,ithin 6:00 Hrs. from the tirne
of calli.
The rates are to be quoted accordingly considering transportation of materiai, T&p. Labor. erC tr.,
the substations within prescribed time limit. Since the break down affbct our availabilitr. tjr.
prompt action, availability of labor, vehicle, T&P at site vn,ill be taken in account.

Mobilization & Demobilization Charges: These charges u,ill be applicable or.r occasi6rr b,sis.
irrespective of days. These charges are applicable only fbr the deployed gang commissiopips
minimum l5 labours. The rnobilization charges rvill be applicable onty in caie of .,r..g.,.,.i
breakdown & not applicable in case of planned outages. Planned outages will be infbrmed
tcr
yoLr in advance by concern operating officer.
The operating officer will record the tinie olemergency call and time of report of gapg oi'
the contractor at the said location in certificate & SAP. The same should be highligntecl inlhc
occurrence report communicated to H.O. Corrtractor should note that mobilizatiop iharges

personnel/labours, material and T & P are to be arranged by the bidder. For consumptiorr

7) Agreement Bond: The contractor will have to execute an Indemnity Bond on stamp paper of
Rs.2000/- at his or'vn cost rvithin 7 days fiom the date of receipt of the order.

8) Completion Time: The u'orl< should be attencled (reached at site) withirr 6 Hrs. 1r.o,, the
intimation to agency in case of emergency and in other cases as per planned
outages as per

9) Validitv: The work order shoulcl be valid for I 1,ear fiom the date of issue of order or ar,ol*r

l0)Ouantities: The quantities indicated in the scheclules are approximate alcl only inclicative.

actual quantities may vary. The payrnent will be done fbr the actual quantity
of worl< done.
II)Oualitv of work: Quality of work to be carried out shogld be strictty confirmed ,o Iu,
specification, otherwise same will be rejected and contractor has to redone the same
at his cosr
and risk.
l2)Contractor's Emplovee: The contractor shall ernploy ar-rd provide onsite only such ernplovccs
who are skilled and experienced for execution of works. The contractor shall provide hoLrsing
accommodaticn to his ernployees; also he should take all the precautions at l-ris own cost Lurtil
handing over the site to the MSETCL. He shall also be resporrsible for any injury/ acciderrt to his
employees. Payment of compensation etc. as may require to be paid evetrtually shall be borne by'
the contractor himself.
It is the sole responsibility of contractor to observed and abide by the provision of labor"rr'

act such as Workman Compensation Act, Minirnum Wage Act, Payment of *,ages Act, Gratr-rity'
Act, PF Act, Service 'fax and Other regulation framed by Govt. from time to time. MSIII'CL t ill
not be responsible for any violation of the act or regulations by the contractor.

13)Hindrance of rvork: If the work has to be suspended dr.re to any reason i.e. stay order fiorn court
of larv. legal complication, held up from any other agency, shutdown etc. The MSETCL shall not
pay any compensation/ damage to the contractor tor,r,ards item lie labour, idle machinerr,"
vehicles etc. Llowever in such case the contractor lvill be paid tbr the actual rvork executed b1'
him under the supervision & measured by concerned S/s In-charge.

l4)Failure of Execution of the rvork: For failure to execute the rvork as per Schedule against thc
order in full, withirr the stipulated period, the Corlpany shall be at liberty, rvithout lirrthcr
notice or rerninder to the Contractor to get the same u,ork clone on account of and at the risli
& cost of the contractor and a claim for the diffbrence in price ancl fbr all expense
whatsoever incurred in getting the said work done and the same shall be recovered 1}om arrl
payment due to the Contractor from bills or deposit or on any account such expenses u,ill also
include l5% Supervision charges.

l5) Damage to the person & property: The contractor shall indemnify the Corrpanl' against anl
losses and claims regarding any inluries or damage to any persons, material or physical danrage
to any property whatsoever u,hich may arise or"rt of, or in consequence of the execution o1'thc
work.

l6)Site Clearance: The contractor during the execution of r,vork, shall keep the site reasonably ti'ec
of all unnecessary obstruction and shall store the rnaterial nearby so trs rtot to cause an1
obstruction. Similarly on completion of the works the contractor shall clear ar,l'a5r and remove
fiom the site alI surplus material, rubbish and temporary uorl< of any l<ind site should be liept
clean.

[7)Sublettine of contract: The contract or any part thereof shall not be assigned, transf'erred. or'
sLrblet without the prior written perrnission of the undersigned. Even il' such pennission is
granted the responsibility of it shall be of the principal contractor to lvltom the r,vork order was
originally issued to execute the rvorks as per the terms of contract.
l8) Force Maieure: Only the follorving conditions shall be consider for the purpose of this clause.
1) Natural phenomena sucli as f'loods, draughts, earthquakes. epidemics & heavy rain.
2) Acts of an1, Govt., dorrestic or foreign, such as lvar (declared or Lrncleclared), prioritip.
guarantees embargoes etc.
3) The contractor atfected by fbrce rnajeure shall lvithin 7 days o1'the occLrrrence of suclr a
cause, notifi, the board in writing in sufficient documentary proof.
