keep operating - any shortfall

deducted from the sale
proceeds as it will be
assumed that the sellers have
articificially reduced the
working capital levels.

of the business through the
economic cycle to ensure
that the company is not
being acquired at a time
when the working capital
requirement is articifically
low.
