1) How many directors are there for your respective company?

There are 9 directors for Castrol India. They consist of 4 Independent Directors, 3 Nominee
Directors, 1 Managing Director and 1 CFO.

 Uday Khanna – Independent Director
 Sangeeta Talwar – Independent Director
 Rakesh Makhija – Independent Director
 Sashi Mukundan – Nominee Director
 A S Ramchander - Nominee Director
 Udayan Sen - Nominee Director

 Deepesh Baxi – Chief Financial Officer and Wholetime Director

2) How many independent directors are there?

There are 4 Independent Directors - Mr. R Gopalakrishnan, Mr. Uday Khanna, Mrs. Sangeeta
Talwar & Mr. Rakesh Makhija.

3) Do these independent directors own shares of the company?

No, the Independent directors do not own shares of the company. But the 3 nominee
Directors hold shares.

4) Is there a woman director?

Yes. Sangeeta Talwar, is the only woman Independent Director.

5) Is the chairman and CEO the same?

Yes, the CEO and Chairman of the company is the same person, Mr. R Gopalakrishnan.

6) Authorised, Issued, subscribed share capital - If there Is an increase in the Authorised


share capital of your company?

No. There is no change in the authorized share capital of the company.


It was and continued to be 495.00 crores as per the Annual Report of 2019 and 2020.

7) What is the form of remuneration given to Independent Directors?

The Independent Directors or Non-Executive Directors nominated by the Promoters are not
entitled to receive any remuneration, although the aggregate annual remuneration is
payable to the IDs/NEDs determined by the shareholder resolution, subject to the limits of
Law.

8)  How many directorships can a director hold across Indian listed companies?

Not more than 20 directorships at the same time however the maximum number of
directorships a person can hold is 10.
9) Does the company give esops/stock options/sweat equity to employees?

No.
The IDs are not entitled to any stock options of the company and neither are there any
transactions done including sweat equity shares to employees under any scheme.
Hence, the company does not give Esops/stock options/sweat equity to employees.

Yes. The registered office and corporate office are in the same state, Maharashtra.
