The above matter refers.
We act for the Diamond Bank Limited (our “Client”) who have agreed to grant a loan facility to
the above named Purchaser. The facility is to be secured by a charge over L.R NO 25164 (the
“Property”) and is to be partly utilized towards the settling the purchase price of the above
referenced Property.
Our Client will pay the sum of Kshs. 100, 000, 000/= to your client,( VENDOR) within Fourteen
(14) days of receipt by us of the duly registered Discharge, Transfer and Charge from the
Nairobi Lands Registry.
In order for you to release to us the Original Title, the duly executed Transfer instruments and
the Completion documents over the above mentioned Property, (hereinafter “the documents”) we
now issue you with our unequivocal and irrevocable Professional Undertaking in the following
terms: -
1. THAT we shall hold the documents on trust returnable to you on completion of
payment of the loan.
2. THAT we shall not release the documents to any Advocate or person whatsoever
(other than the District Lands Registrar for registration of the documents), for any
purpose without first obtaining your written consent which will only be granted on
such Advocate giving a professional undertaking in terms similar to the present
one and on the undertaking that whether such Advocate complies with the
undertaking or not, you will continue to hold us liable on our undertaking herein
provided.
3. THAT we will not make use of the documents for any purpose other than for
stamping and registering the Discharge, Transfer and Charge at the Nairobi
District Lands Registry.
4. THAT within Fourteen (14) days of receipt of the completion documents from you,
we will provide you with a copy of the application for registration
5. THAT we will upon receipt of the Discharge, Transfer and Charge duly registered at
the Nairobi District Lands Registry, notify you of such registration, provide you
with the counterpart of the duly registered Discharge and Transfer together with
confirmation that the sum of Kshs. 100,000,000/= net of all bank Charges without
any deductions or withholdings whatsoever has been credited to your firm account
within Fourteen (14) days of registration of the Discharge, Transfer and Charge. In
this regard, we will exercise our best endeavours to ensure that the registration
formalities are completed expeditiously. Confirm your firm account details for
purposes hereof are as follows:

6. That we will present for registration the Discharge, Transfer and Charge
simultaneously such joint presentation being on the strict condition that if any of the
said documents in favour of our Client is rejected, then, none of them should be
registered.
7. THAT if the registration of the said Discharge, Transfer and Charge is not effected
within Forty Five (45) days from the date of receipt of the documents by you and/or
payment is not effected within 14 days of registration of the Discharge, Transfer and
Charge in favour of our client, then we shall upon demand, return the documents to
you in the same condition in which they were delivered to us.
