WhatsUp Gold base discovery process [IP Range Scan/SNMP Smart Scan/Host File
Scan/VMware Scan]. Reference: WhatsUp Gold User Guide Chapter 6.

Asia VAD will provide out-of-box pre-defined active monitor configuration for the
devices mapped out, this include:

For non out-of-box monitoring requirement such as customized SNMP Monitor, SSH
Monitor, MSSQL Query Monitor, clients will need to provide the key monitoring
parameters for Asia VAD to configure it accordingly. This extra deliverables is
subject to existing man-days resources availability, or extra man-days purchased for
further configuration.

10. Knowledge Transfer
Throughout the engagement, Resseler will explain the steps taken to configure the
devices discovery, mapping, 3 different monitor types [Active/Passive/Performance
monitor], and the pre-defined out-of-box monitor. Resseler will also share the
customized monitor created (good-will or cover with man-days acquired).
Complete Knowledge transfer is based on a nominated person being available to the
Resseler at all times during the deployment. Resseler will provide the Customer with
documentation stated in next section.

Project Change Control


Resseler has made every attempt to accurately estimate time required to
successfully complete the project. Customer acknowledges and agrees that if
impediments, complications, or Customer requested changes in scope arise, these
factors are out of the control of Resseler and the length of the project and
associated price could be impacted.

Examples of valid impediments, complications, and changes in scope consist of (but


are not limited to):
• Customer initiated delay where Customer is not prepared to allow Resseler to
begin work upon Resseler personnel arrives onsite, thus resulting in
additional cost to Resseler for resources that have been sent to Customer
site but can not begin the Services.
• Customer provided information necessary for timely delivery by Resseler is
not accurate.
• Delays or problems associated with third party telecommunication equipment.
(This includes, but is not limited to, cabling, servers, routers, hubs, and
switches managed or installed by third parties.)
• Malfunctioning hardware.
• Inability to access equipment or personnel that are required to complete the
project.

• Customer increases the scope of services requiring additional labour,
hardware, software, materials, travel, lodging, meals, or other direct costs.

13. Service of Deliverables

Description

Customer has five (5) business days to inspect and acknowledge full delivery of the
Services to be provided by Resseler hereunder upon completion and delivery of the
Services . Customer will indicate such acknowledgement by signing Project
Completion Form, a sample of which is attached as Appendix A .

If Customer fails to provide such acknowledgement within the five (5) business days
of receiving final deliverables, Customer agrees that the Services shall be deemed
fully delivered to Customer, even if Customer has not signed the Completion Form.

If Customer believes that Resseler has not fully delivered the Services to be
provided hereunder and refuses to sign the Project Completion Form on that basis,
Customer shall identify in reasonable detail the specific Services or deliverables
which Customer believes were not delivered, via written notice within 5 business
day period.
