    ARTICLES OF INCORPORATION

    OF

    AGUA LAVANDERIA ‘85*

    KNOW ALL MEN BY THESE PRESENTS:

    That the undersigned incorporators, all of legal age, who all are citizens and residents
    of the Philippines, have this day voluntarily associated ourselves together for the purpose of
    forming a corporation under the laws of the Philippines.

    AND WE HEREBY CERTIFY THAT:

    FIRST: That the name of the corporation shall be:

    AGUA LAVANDERIA ‘85

    SECOND: That the purposes for which said corporation is formed are:

    PRIMARY PURPOSE

    To engage in the business of laundering of any and all cloth products. To


    deliver and or pick-up laundered or to be laundered cloth products, respectively; and
    to advertise, promote said business. In general, to engage in any and all acts of
    business necessary or convenient for the furtherance of such business of laundering
    cloth products.

    SECONDARY PURPOSES

    To engage in the business of selling purified and other potable water products.
    To purchase locally or import equipment used or is related in the purification and or
    distillation of water products. To promote, advertise said business of selling water
    products and to engage in any and all acts of business necessary or convenient for the
    furtherance of such business of selling water products.

    THIRD: That the place where the principal office of the corporation is to be
    established or located is at Unit 2, B. Sawali Bldg. F. Castillo Blvd. Poblacion, Mabini,
    Batangas.

    FOURTH: The Corporation shall have perpetual existence unless dissolved in


    accordance with prevailing laws, rules, and issuances.

    FIFTH: That the names, nationalities and residences of the incorporators of

    Dividend shall be declared and distributed in proportion to the par value of the shares.
    All the retained earnings of the Corporation shall be declared as dividends, subject to such
    reserve requirements which shall be set by the board of directors or unless required by law.

    EIGHTH: That at least 25% of the authorized capital stock has been subscribed, and

    NINTH: No transfer of stock or interest which would reduce the stock ownership
    of Filipino citizens to less than the required percentage of the capital stock as provided by
    existing laws shall be allowed or permitted to be recorded in the proper books of corporation and
    this restriction shall be indicated in the stock certificates issued by the corporation.

    TENTH: That NESTOR A. ARRIOLA, JR. has been elected by the


    subscribers as the Treasurer of AGUA LAVANDERIA ‘85 to act as such until his successor
    is duly elected and shall have qualified in accordance with the by-laws and that, as such
    Treasurer, he has been authorized to receive for the corporation, and to issue in its name
    receipts for, all subscriptions paid in by the subscribers.
