SEMESTER 2, 2020/2021
SUBMISSION:
1. Submission deadline: FRIDAY (7th May 2021) via smartv3ums, latest by 5.00 pm
2. Methods of submission: The LEADER of each group is responsible for uploading the assignment via
http://smartv3.ums.edu.my/. Please name the file using your Tutorial Group (TG) and your group’s
name. For example, TG 1-Blackpink or TG 8-StrayKids.
INSTRUCTIONS:
Students are required to form a group and work together to complete two tasks. The group need to:
(1) discuss the legal procedures in setting up a business in Malaysia; and
(2) present the outcome of the discussion through writing and video presentation.
(3) 5% will be deducted from total marks for a LATE SUBMISSION.
(4) Refer to pages 5 and 6 to see how your assignment will be assessed for marking.
Students are to use the various sources to retrieve related documents and relevant information.
TASK 1 – 15%
Borhan, Oscar and Mimie have been close friends since studying at Universiti Malaysia Sabah (UMS). Once
graduated, they are interested in starting a business supplying stationeries and textbooks for UMS
students. They seek your advice on the appropriate type of business, i.e., whether to open a company
or a partnership. Based on the type of business you choose for them [CHOOSE ONLY ONE –
WHETHER A COMPANY OR A PARTNERSHIP), prepare a portfolio for their business which must
include the following aspects:
1. The nature of the business and the legal procedures involved in establishing the
business.
2. A draft agreement governing the business between Borhan, Oscar and Mimie. Your draft
agreement should emphasise the legal aspects and legal implications of the business. For
example, between Borhan, Oscar and Mimie and between them and outsiders (e.g., clients)
3. Do not waste too much time explaining general matters such as the mission and vision of the
business.

FORMAT:
a) Your portfolio must be written in a Microsoft word format;
b) Not more than 10 pages (excluding front page, table of contents, references and appendices).
Page 11 and subsequent pages of your discussions will not be considered;
c) Pages (excluding front page) must be numbered;
d) Frontpage must contain the following:

RULES
1. Plagiarism is a severe offence and is strictly prohibited. Please cite quotation and any borrowed
ideas accordingly.
2. Do not submit similar answers to other groups. If this is the case, the groups involved will not be
given any marks.
3. Avoid writing out lengthy quotations from statutory provisions. The emphasis is on your ability to
evaluate and apply the relevant law rather than your ability to simply stating (or copying) the
sections of law.

TURNITIN
1. I have reminded you all to enrol yourself in my Turnitin class during the first lecture and through
SMARTV3UMS. Failure to secure a place afterwards is at your own risk.
2. You MUST use the TURNITIN plagiarism check before submitting your Portfolio. Acceptable
similarities should be less than 30%. Please ensure that all red alerts of high similarities are
eliminated.
3. Those exceeding 30% similarities will be penalised. 2% will be deducted from the marks
obtained for each excess of 1% similarities. For example, if the group obtained 15% marks,
but the similarities index is 32% (exceeded 2%), the group will only get 11% as final marks
upon deduction (4% deduction)
4. Please ATTACH the summary of the similarities report generated by TURNITIN together when
you submitted your Portfolio. Failure to do so will be deemed to have committed plagiarism.
5. Turnitin result - Just a summary page will do. Example attached under page 4. Do not
submit your answers without proof that Turnitin has checked it. Otherwise, it will be considered
as NOT SUBMITTED. Your lecturer also has access to all documents submitted through
Turnitin under the specified class ID. Therefore, please submit your Turnitin result accordingly
based on the result generated. Do not falsify or amend the result. The lecturer may re-
submit the answers received to Turnitin for confirmation.
6. Please READ the instructions and information provided on the Turnitin website to learn how many
times you can use Turnitin per day.
TASK 2 - 5%
1. You are required to present your portfolio to Borhan, Oscar and Mimie in the form of a VIDEO
PRESENTATION using software of your choices.
2. There are many alternatives such as Powerpoint Video, Loom (https://www.loom.com/), or Filmora
Wondershare video editor (https://filmora.wondershare.com/). These are just the examples. It
depends on your creativity and choices.
3. Each group need to put the link to the video presentation on the front page of the Portfolio. Kindly
ensure that the lecturer has access to that video. Otherwise, failure to give the lecturer access will
result in that group being given 0 marks.
RULES:
1. Length of video: 15-20 minutes.
2. Every member of the group MUST participate in the presentation. Please make yourself VISIBLE in
the video presentation and clearly introduce yourself. Only students who appear in the video will be
considered for marking unless there is a specific reason why that particular student cannot do so.
3. An audio presentation alone will NOT be accepted.
