FEE PROTECTION AGREEMENT 

KNOW ALL MEN BY THESE PRESENTS:

This Fee Protection Agreement is entered into this ________ day of _______________
2018 at ___________________________ PHILIPPINES, by and between;

___________________________ a company, duly organized and existing under the


Republic of the Philippines with office address at ______________________________ ,
PHILIPPINES, represented in this act by its
PRESIDENT/CEO,___________________________________ respectively, hereinafter
referred to as the SELLER

And

Jeniffer S. Cayetano, Maribel M. David , Joseph John Gerald Aguas all of legal age,
Filipinos, and residents of the Philippines , respectively, hereinafter referred to as the
BENEFECIARIES.

WITNESSETH:

WHEREAS, the SELLER is engaged in the import/export and trading of commodity


products and has engaged the freelance services of BENEFECIARIES at brokering the
sale of DIESEL FUEL to any serious buyer , for a commission.

WHEREAS, the BENEFECIARIES have secured a buyer of DIESEL of the SELLER. In


particular, _______________________________ represented by its PRESIDENT/CEO
________________________

WHEREOF , in view of the foregoing , the parties agreed to the following terms and
conditions:

1. The SELLER guarantees in full responsibility, to pay the commission described


below , as soon the said transaction shall be successfully finalized. The payments
will be affected according to the partial shipments as the case maybe;

2. REASON OF COMMISSION AGREEMENT:

PRODUCT : EURO4 DIESEL
QUANTITY : 118m liters
CONTRACT PRICE : Php 26.50/liter

3. COMMISSION

The sales price of Twenty Seven pesos and fifty centavos (Php26.50 )per liter
already includes the commission due the BENEFICIARIES in the amount of .50
centavos (Php .50). The same agreed commission shall be paid to the
BENEFICIARIES for all subsequent contracts, orders, or rollovers, involving the
said BUYER, if no new agreement replaces this Commission Agreement;

The Bank ACCOUNT BENEFICIARIES is stated at the last page of this document.

The transfer of the commission due the BENEFCIARIES will be made to their
individual accounts, the details of which are stated at the end part of this
agreement.

4. DATE OF PAYMENT:

The Commission due the BENEFICIARIES is payable on the same date that
payment and crediting of the contracted product-value is made to the SELLER’s
Account. The BENEFICIARIES shall be furnished by the SELLER copies of the
money transfers undertaken by the BUYER in favour of the SELLER and by the
SELLER in favour of the BENEFICIARIES by fax or email as soon as the same
transfers are affected respectively.

5. NON-CIRCUMVENTION & NON DISCLOSURE AGREEMENT:

All parties herewith declare not to circumvent one another in this transaction or
even to try circumventing the parties herewith. The parties commit to comply with
the terms of this Fee Protection Agreement in good faith and this serves to
include the parties employees, shareholders, partners, workers, and all other
involved persons. All rules and regulations of this transaction regarding
confidentiality, non-circumvention , and non-disclosure apply to all parties of the
Agreement and said Rules and Regulations shall remain in full force and effect for
a period not to exceed three (3) years from the date of signing of this Agreement.

In case the above mentioned contract shall not be in force and effect, this
COMMISSION AGREEMENT will be null and void.

6. GENERAL AGREEMENT:

This FPA is not to be changed or altered without the written consent of all parties
after availability of the funds, this FPA shall be exchanged for an OFFICIAL BANK
PAY ORDER. Said Pay order shall be lodged with the Bank of the SELLER and a
copy thereof be sent to the BENEFICIARIES.

A signed copy of this FPA shall be considered as legal paper and as original
binding upon both parties who signed the same, and as witness thereof, the
signatories have affixed their signatures and seals.

7. DISPUTE AND GOVERNING LAW:

Should any dispute arise as regards the interpretation of this Agreement, both
parties agree to submit the matter to the National Arbitration in Manila,
Philippines, in accordance with the RULES AND REGULATIONS OF THE
INTERNATIONAL CHAMBER OF COMMERCE.

The governing language shall be in English. The Arbitration fee will be paid by
the losing party.
