LLC vs C Corp for software founders Watch this video to hear the thought process behind which entity to choose when starting out. Essentially it comes down to: do you plan on raising venture capital or issuing equity? If so, choose C Corp from the beginning. Most founders wish that they had been told to go see Corp instead of LLC, and here's why. If you're ever planning on raising venture capital or issuing equity to advisors or employees. You're going to want to go Ccorp because LLC's are not the proper structure for issuing equity. They're not set up to issue equity, so. Something that I tell all the founders that we work with is if you ever plan on raising venture capital or if you ever plan on issuing equity, you're going to want to go see Corp. And it's much better to start as a C Corp or convert early in the process if you've already formed an LLC as opposed to waiting because the amount of work that it's going to take to convert your LLC to a C Corp, for example, if you go to. Raise investment and then discover that actually the that most investors are not going to invest in an LLC and then they'll require you to convert into AC Corp. The amount of work that it would take at that point is significantly more than just either starting as a C Corp or converting early on. Follow me for more legal business tips for SAS founders.
