With flurry of #IPOs the scrutiny is bound to increase and some liberal interpretations of law. Securities and Exchange Board of India (SEBI) in 2021 had reduced the lock-in requirement for promoters to 18 months except when object of issue is capital expenditure, for which lock-in is 3 years. In the recent past SEBI has come across about half a dozen instances where there is capital expenditure but listed as debt reduction for a shorter promoter lock-in. In today’s ET. A few good RBI clarifications like addressing the issue of equity investments by AIFs in debtor companies of Regulated Entities, clarifying that these will no longer be a provisioning or investment concern for Regulated Entities who are already investors or looking to invest in such AIFs. Also, appears that provisioning by a RE investor can be done pro rata to the AIF’s exposure in the RE’s debtor company which is good. However, equity needs to be defined/understood widely here to include the likes of CCPS/CCD as several AIFs invest vide these instruments, so an enabler/clarification to that effect even by way of FAQs would be helpful. Also, REs will still not be able to meet any drawdown calls/make any fresh investments in AIFs which have downstream investments (non equity) either directly or indirectly in a debtor company of the RE (where RE currently has or previously had a loan or non equity investment exposure anytime during the preceding 12 months). This issue would persist majorly for AIFs that invest in debt or hybrid securities of portfolio companies which are debtor companies of REs. Angel One said that its board has approved to raise funds not exceeding Rs 2,000 crore by various mode through one or more tranches. The broking firm will raise funds in one or more tranches by way of issuance of such number of equity shares having face value Rs 10 each or any other eligible securities or any combination thereof, for an aggregate amount not exceeding Rs 2,000 crore by way of a preferential issue, further public offer or qualified institutions placement (QIP) or other permissible mode or through a combination thereof, in one or more tranches. Angel Broking is one of the largest retail broking houses in India in terms of active clients on NSE. It’s a technology-led financial services company providing broking and advisory services, margin funding, loans against shares and financial products distribution to clients. The companys consolidated net profit declined 14.52% to Rs 260.3 crore in Q3 FY24 as against Rs 304.5 crore recorded in Q2 FY24. Total income rose marginally to Rs 1060.8 crore in Q3 FY24 from Rs 1,049.3 crore posted in Q2 FY24. The scrip shed 0.72% to settle at Rs 3,063.75 on Thursday, 22 February 2024.
