My curiosity was aroused when I received this in my feed about Bayer ever since a few weeks back when I posted an article about Bayer's pharmaceutical business exit from Sub-Saharan Africa. Bayer CEO Bill Anderson unveiled Bayer's plans to enhance performance and regain strategic flexibility by 2026 at a Financial News Conference on 5th March 2024: "Bayer to strengthen Pharmaceuticals pipeline, address litigation, reduce debt and radically overhaul operating model / Dynamic Shared Ownership to deliver growth through customer centricity and innovation speed, as well as annual savings of two billion euros from 2026 / Structural changes, remain an option, but “not now” "......Outlook for 2024: sales roughly level year on year (Fx & portfolio adj.), currency-adjusted EBITDA before special items and core earnings per share to decline" I have to say that I find this list of remedial actions simply staggering! I can understand every company can face patent expiry and thin pipelines. But this list is simply daunting beyond belief! Why? Because the job of a senior Executive Board is to take a long-term strategic view of the business landscape and horizon (typically 10+ years out). To do this it needs to have its own 'radar mechanism' that can see the issues in those years and take corrective actions early to avoid putting the ship on the icebergs. Thin pipelines? Fix it. In-licensing and acquisitions play a role. Patent expiries? Plan for it through good life cycle management. And I could go on. What is Dynamic Shared Ownership? Is it where all the employees own the company? The explanation for this is far from clear. No CEO ever wants to go to his shareholders and say the outlook for 2024 is "...Currency-adjusted EBITDA before special items and core earnings per share to decline" If I was a shareholder (and I am not), I would be demanding explanations at the Annual Presentation of results as to how the company got into this situation. What have your Business Development Team and Strategic Planning Team been doing all this time? Who is responsible for Life Cycle Management? How confident is it to deliver the turnaround strategies? How many in-licensing deals and acquisitions are being investigated? How many compounds are at Phase III clinical evaluation? Three business units with fundamentally different drivers: Crop Sciences Pharmaceuticals Consumer Health "Structural changes remain an option, but not now" Can a breakup of the business be a better commercial alternative? Is there a case of doing it now over the period to 2026? More questions than answers for sure. Can the Executive Board turn things around? I don't know is my honest answer. Having ideas based on WHAT is to be done without full clarity on the HOW gives me a blurred picture. It may be that the HOW is an internal secret and cannot be revealed. So we need to watch and see how this transformation takes shape. Everything is in the Execution and Implementation.
