Following a review of Witan Investment Trust plc's (WTAN’s) investment management arrangements, the boards of WTAN and Alliance Trust (ATST) have announced a combination of the two companies to create Alliance Witan PLC. Witan’s board unanimously recommended the deal, which ensures the continuation of its active multi-manager approach and a broadly similar investment strategy. With combined net assets of c £5bn, significant liquidity, economies of scale and eligibility for UK 100 index inclusion, Alliance Witan will aim to deliver a real-term return over the long term through a combination of capital growth and a rising dividend. It aspires to be the UK’s leading ‘one-stop shop’ for global equity investment, at the core of retail investors’ portfolios. The combination is expected to be finalised in September or October this year, subject to shareholder approval, and should deliver what the announcement deemed ‘substantial benefits’ for shareholders of WTAN, ATST and the new Alliance Witan trust. The PRS REIT is pleased to have reached agreement with its Investment Adviser ("Investment Adviser"), Sigma PRS Management Ltd, to amend the Investment Advisory Agreement in place between them (the "Agreement") by adding a 'change of control' provision (the "Amendment"). Under the terms of the Amendment, in the event of a change of control of the Company, both the Company and the Investment Adviser have the right to serve notice to terminate the Agreement on 12 months' notice. This has been agreed following the Board's decision to commence a strategic review, as previously announced on 23 October 2024, to consider the future of the Company and explore strategic options to enhance value for shareholders, including a potential sale of the Company. While the Amendment is not considered to be a necessary change, it adds further flexibility as to how any potential sale of the Company may be implemented. The Investment Adviser is pleased to accommodate this change as it continues to focus on delivering the remainder of the Company's portfolio and maintaining the excellent portfolio performance achieved to date, while the Board pursues value maximisation for all shareholders. https://lnkd.in/eCkV6iXU #news #REIT #PRS #realestateinvestmenttrust #partnerships Sigma Capital Group Limited
