🛋️ Fancy a couch with $10m EBITDA? This deal is for you!! News out this morning that Freedom Furniture is quietly testing the market after what appears to be a successful turnaround campaign by Blaine Callard. Freedom reportedly will do $400m+ of revenue for $10m EBITDA and a breakeven EBIT. The grand currently is owned by Greenlit Brands who will be looking to offload the asset to one of the turnaround private equity funds or a major trade buyer. No doubt Ben Ware and his team at Anchorage Capital Partners will be targeted as will Adrian Loader’s Allegro Funds as both funds have experience in retail and turnarounds. I reckon there is a fair chance that the asset will be sold to an offshore group who can extract some cost synergies in the supply chain and leverage the brand in new markets. Financing the deal will also be a challenge so I wouldn’t be surprised to see Gordon Brothers appear and provide strategic financing. It will be an interesting campaign given the current economic conditions and the recent announcements from Mosaic Brands Ltd and Premier Brands regarding trading updates. Shurgard UK agrees to £378m takeover of Farnborough’s Lok'nStore Self-Storage 🤝📦 Shurgard looks set to take over rival self-storage group Lok’nStore in a deal worth £378 million. Headquartered in Hampshire, Lok’nStore has 32 sites across the South East and five in Manchester – two areas where Shurgard is looking to increase its footprint. It has another eight properties under development. The acquisition is expected to bring job cuts, both on and away from storage sites. Shurgard warning that ‘the majority of roles’ across the Lokn’Store’s administrative and head office functions will likely be lost over the coming 12 months. Lok’nStore shareholders are set to receive 1,110p per share as part of the deal – 15.9 per cent higher than the stock’s closing price of 958p on Wednesday, and higher than its all-time peak of 1,085p in early 2022. Blackstone has agreed to acquire Jersey Mike's Subs for $8 billion, including debt, with the deal expected to close in early 2025. This acquisition is part of Blackstone’s strategy to support Jersey Mike’s expansion both within the U.S. and internationally. Founded in 1956, Jersey Mike's has grown to over 3,000 locations, and CEO Peter Cancro, who has led the company since 1975, will retain an equity stake and continue to lead post-acquisition. The acquisition follows a trend of major investments in fast-casual dining, similar to Roark Capital's $9.55 billion purchase of Subway in 2023. Gerry Harvey didn’t just build Harvey Norman – he turned it into a retail empire through smart acquisitions. Harvey Norman, one of Australia’s largest retail chains, wasn’t built solely by organic growth. Behind the scenes, Gerry orchestrated a series of strategic acquisitions that fueled the company’s expansion into new markets and product lines. In the 1980s, Harvey Norman was a local success, but Gerry had bigger ambitions. He saw acquisitions as the key to turning a national brand into a multi-billion-dollar company. His approach? 🏭 Vertical integration: One of Gerry’s early moves was acquiring manufacturers and suppliers. By bringing production in-house, he controlled more of the supply chain, reducing costs and increasing margins. 🌎 Expanding the footprint: Gerry didn’t just stop at home. He saw opportunities in international markets and led Harvey Norman to acquire retail chains across Asia and Europe. These acquisitions allowed the company to establish a global presence without the lengthy process of starting from scratch. 💡 Diversification: One of Harvey’s key strategies was acquiring businesses in adjacent industries. By moving into sectors like real estate, Harvey Norman was able to generate additional revenue streams beyond retail, smoothing the company’s earnings in tougher retail periods. These acquisitions were made during downturns when valuations were low and competitors were hesitant to spend. Allowing Harvey Norman to acquire valuable assets at a discount and position itself for growth during recoveries. And the results? Happy Monday Everyone: In M&A news - investor Brett Blundy has acquired a major stake in Dissh, a Brisbane, Australia-based fashion brand and one of my faves. Dissh’s revenue is expected to reach AUD 70m this financial year. Australian restaurant group Bondi Pizza Group's administrator BRI Ferrier is seeking buyers for the business. 120 staff, so lets hope they find someone soon! NEXTDC mulls buying data centre portfolio from Global Switch, hugely growing space (still!). Developer Nigel Satterley acquires Kingswood Golf Course for a reported $215-$220m, outbidding Mirvac. Financial viability of ASX cannabis players Cann Group and Althea Group's comes under question. Interesting sector to watch this, seems to be losing alot of momentum this sector. Embark Early Education acquires nine childcare centres for $25.2m. VERY HOT space. In other news shares in Life360 soared almost 40% during trading on Friday to close at $11.30, after narrowing its calendar year losses as year-on-year revenue climbed by a third. The location sharing app reported CY23 revenue of US$305 million ($470 million), a 33% uplift on the prior year, and in line with guidance of US$300 million to US$310 million. The company has said that 2024 plans include creating a new advertising revenue stream that offers partners enhanced access to Life360's free user base of 20 million - watch this space! A Deeper Dive into Boyd Group’s Annual Report. Reading beyond the revenues and earnings just reported by Boyd Group, we paid closer attention to their acquisitions and development numbers. While Caliber has long been focusing more on the development of brown and greenfield shops, Gerber is demonstrating a robust development plan of its own. Of the 106 total shops added by Gerber in 2023, 28 were brown and greenfield openings. That’s about 25% of all shop additions. The ramp-up to open a greenfield shop can be as long as 2 years while brownfield development (leasing and retrofitting an existing building) can be as short as 6 months. What is also interesting in the report is the large number of single-shop acquisitions and the scarcity of MSO shops acquired. Only 9 of the 78 acquired shops were in MSOs. So along with Caliber, Gerber has slackened its appetite for MSOs. Even though two of the largest consolidators have pulled back on MSO acquisitions, up-and-coming consolidators and private equity investors are as enthusiastic as ever to add more MSOs to their portfolios. https://lnkd.in/gFWD_BE2
