InSight Systems advised by Newport Capital on majority share sale to Hibino Corp – 01 Nov 2024 | 01:42 AEDT | Australia Summary ·  Hibino acquires 80% stake for AUD 13.811m (USD 9.04m) ·  Strategic process attracted global interest InSight Systems Group, a Melbourne, Australia-based audio-visual consultancy company, was advised by Sydney-based financial advisory firm Newport Capital on its majority share sale to Hibino Corp [TYO:2469], Newport Capital Executive Director and Chairman Jules Pedersen told Mergermarket. InSight Systems announced yesterday (30 October) that the Tokyo-based audiovisual equipment company will acquire an 80% stake in InSight Systems for AUD 13.811m (USD 9.04m). Hibino is acquiring the stake from the Balwin Family Trust and the Schultz Family Trust, which hold a 50% stake each. Newport Capital, which was founded in 1989 and is Australia's longest-established TMET-focused M&A investment banking firm, led a strategic process that identified partners aligned with Insight Systems' vision, Pedersen said. It attracted interest from a diverse mix of industry and financial investors from multiple geographies in Asia, Europe and North America, leveraging Newport Capital's global reach, he added. As a strategic investment partner, Hibino plans to leverage this platform investment to further expand in the region and other global markets, building on InSight Systems' foundation of innovation and strong market presence, Pedersen said. Newport Capital's Michael Shandler and Pauline Ferrari worked with Pedersen on the deal. The sellside was also advised by Melbourne-based specialist accounting and advisory firm Seed Accounting Pty Ltd and Melbourne-based law firm Sladen Legal, Pedersen said. The buyside was advised by Japanese M&A advisory firm AIBJ Inc, which has offices in Singapore and Japan and focuses on cross-border M&A, Pedersen added. The 20-year-old InSight Systems provides workplace technology solutions, specialising in AV integration, strategic consultation, and managed services to medium and large organisations across several sectors, including government, corporate, healthcare, education and sports. Ares Management Corporation has agreed to acquire GCP International in a $3.7 billion deal, nearly doubling Ares’ real estate assets under management. The acquisition, expected to close in the first half of 2025, will see Ares pay $1.8 billion in cash and $1.9 billion in shares. GCP International, which manages $44 billion in AUM, focuses on sectors like industrial, digital infrastructure, and self-storage, with significant presence in markets such as Japan, Europe, the U.S., and emerging economies like Brazil and Vietnam. This acquisition will almost double Ares' real estate AUM to $96 billion, strengthening its presence across North America, Europe, Asia, and Latin America. The industrial real estate sector, projected to benefit from continued institutional and retail demand, will be a key focus, with data-center capital expenditures expected to exceed $1 trillion over the next three years. Ares’ CEO Michael Arougheti highlighted the strategic fit of the deal, emphasizing its expansion into data-center development, product offerings, and geographic reach. GCP’s CEO Ming Mei echoed this sentiment, noting the combined capabilities will create a global leader in real assets investment. GCP International’s leadership team, including President Michael Steele, will join Ares, while GCP’s remaining operations in Greater China will stay independent under GLP Capital Partners.

Today Lonsec announces that its largest shareholder, Generation Development Group (GDG) is seeking to acquire 100% ownership of the Lonsec Group. Under the terms of the agreement, GDG will acquire the remaining 61.9% of Lonsec for an upfront consideration of $197.4 million together with a deferred earn out payment of up to $55.7 million. Lonsec considers GDG to be a highly logical partner to accelerate the next phase of Lonsec’s growth. The proposed transaction, which is subject to approval by GDG shareholders, will enable Lonsec to further accelerate its organic and inorganic growth strategy by providing greater access to capital, an expanded product suite and greater market access. The proposed acquisition presents multiple growth avenues to Lonsec including further development of Lonsec Investment Solutions and M&A opportunities. Commenting on the deal, Lonsec CEO Mike Wright said, “This is an exciting time for Lonsec and a recognition of the strength of the business we and those before us have built for our clients since 1994. Special Purpose Acquisition Companies (SPACs) are becoming increasingly popular internationally as an alternative to traditional IPOs. SPACs are shell companies with no business operations, created solely to raise capital for acquiring viable assets. The traditional IPO process can be time-consuming and costly, making SPACs an attractive, quicker, and often more affordable option. In South Africa, the JSE Listing Requirements were amended in 2013 to accommodate SPACs. While there have been some successful listings on both the Main Board and AltX, the model has not gained much traction, unlike in the USA. Key requirements and advantages of listing a SPAC on the JSE include: • The SPAC must not have any existing commercial operations. • For a Main Board listing, the SPAC must raise a minimum of R500 million, and for an AltX listing, R50 million. • The SPAC must acquire viable assets within 24 months of listing, or the JSE will suspend and delist the company. • Capital raised must be held in escrow, and if no acquisition occurs within the time limit, the funds are returned to investors. • Directors must invest at least 5% of shares or units in the SPAC and are restricted from disposing of these for six months post-acquisition. • SPACs often have lower costs and fewer disclosure requirements compared to traditional IPOs, given their lack of operational assets and history. • The process is generally faster, offering a streamlined route to market.
