Company law confers significant privileges on those wishing to engage in entrepreneurial activity, including, through limited liability, offering limitations on personal risk in the event of commercial failure. In return, company law lays down certain requirements, including in respect of behaviour and the levels of transparency necessary in order that members of the public who are considering engaging in business with companies can do so in an informed manner. Our role in the Corporate Enforcement Authority is twofold, namely to promote compliance with company law and to investigate suspected instances of non-compliance. Prevention is better than cure and, in that context, we devote considerable resources to providing information and guidance the purpose of which is to assist company directors to comply with their obligations and members/shareholders and creditors to vindicate their rights under company law. Where instances of non-compliance are identified, we take the necessary action by way of response, which includes securing compliance through persuasive intervention, restriction and disqualification - which are principally public protection measures - and, where necessary, criminal prosecution. I am grateful to Accountancy Ireland, Chartered Accountants Ireland's members' magazine, for the recent opportunity to provide CAI members, many of whom are company directors and/or advisors to company directors, with an insight into our activities and future priorities.
