The state’s Citizens Property Insurance has reduced policyholders by over 410K shifted to nine private insurance companies as part of their “depopulation” program. Another nearly 550K policyholders are expected to be shifted to private insurers by the end of the year. Today - after 10 long months - the Court of Appeal for Ontario has released its pivotal coverage decision in Loblaw Companies Limited v. Royal & Sun Alliance Insurance Company of Canada, 2024 ONCA 145. We argued this back in April 2023, what feels like a lifetime ago. The wait was clearly worth it. The decision is 121 pages, and a whopping 296 paragraphs. The insurers were largely successful and resulted in many of the appeals being allowed. While everyone will be digesting this (likely for years to come), here are some takeaways: - when it comes to long-tail bodily injury and property damage claims, time-on-risk is the appropriate allocation; an insured cannot "select" one insurer to pay 100% subject to equitable contribution. - time-on-risk means that each insurer pays a pro rata share of defence costs. The insured has to share in that burden too. If insurance company X covers 10% of the time period at issue, it will only ever fund 10% of the defence costs regardless as to whether any other period has an SIR/deductible or not. - Pre-tender defence costs are not subject to relief from forfeiture, meaning the ONCA has now followed the Blue Mountain approach of the BCCA. - Conflicts of interest continue to arise in the context of reservations on intentional conduct, but not in the case of just any reservation of rights. Coverage-side access to privileged defence information, in the context of such a conflict, is "inevitably a fact-specific exercise" and "an attempt to define the scope of information that can be disclosed is premature at this juncture". This scope of entitlement to privileged defence information therefore remains uncertain, except that it will not be a blanket exercise.
