Asset managers and financial institutions had criticised changes designed to boost the attractiveness of listed Italian companies, arguing that a provision under which any slate of Board candidates put forward by outgoing directors would have to be approved by at least two-thirds of all Board members, which critics say would effectively give established shareholders veto powers. The proposals also included an option for companies to hold shareholder meetings in private, with only investor representatives permitted to attend. The government has defended the measures on the grounds that it wanted to curb the practice of directors getting reappointed indefinitely, without regard for shareholders' wishes. Interesting data shared by the OECD. At Morrow Sodali and previously at Nestor Advisors, we have developed multiple corporate governance codes. The G20/OECD Principles of CG served as the backbone for then adpating the local code to the local context, challenges and priorities. Over our decades of work, we found that transparency on the code and the institutional setting to support the code is as important as the code itself. It is encouraging to see the increased transparency and reporting on practices. Remains the gap between the content disclosed and the actual corporate practices.

Happy to share some insights on Corporate Governance 🧑🏻💻 📃📃The goal of good corporate governance goes beyond mere legal compliance. It involves a comprehensive evaluation of a corporation’s activities to ensure long-term success. Key to this is a well-functioning board of directors, led by a dedicated chairperson. Directors should receive thorough inductions and ongoing training, and the board should be balanced in terms of competencies, experience, company understanding, and independence (Lagercrantz, 2021). Regular performance evaluations of the board, individual directors, and committees are essential. Ethical and transparent behavior is crucial for successful corporate governance, balancing profitability with the board’s obligations to investors and other stakeholders (Lagercrantz, 2021). However, has corporate governance truly improved? What is the objective of a good governance structure? The aim of corporate governance standards is to enhance board members’ ability to meet their obligations to shareholders, the business, and each other. Despite ongoing research, discussion, and legislative changes like the Sarbanes-Oxley Act and listing exchange requirements, there's no substantial evidence of improved corporate governance, particularly in board effectiveness. High-profile failures at companies with boards that followed several best practices, such as Enron, Qwest, Adelphia, Hollinger, and Parmalat, highlight this issue (Dalton & Dalton, 2006). #CorporateGovernance #BoardEffectiveness #EthicalLeadership #BusinessSuccess
