We continue to see an increased need for valuations in the context of leveraged situations, whether they be for potential liability management exercises, for assistance in determining an exemption from tax on cancellation of debt income or for solvency opinions in the context of dividend recapitalization or share buybacks. Although good in theory, sellers need to be very careful with earnouts. Without control of the expense structure and operations, there is frequently too much risk for a seller to enter such agreements.
