**AI and Liability: A Wake-Up Call for Boards** The recent *Mobley v. Workday* case is a landmark legal battle with significant implications for businesses. Derek Mobley, an African American man over 40 with disabilities, sued Workday, a leading HR software provider, alleging that Workday's AI-powered hiring tools discriminated against him based on race, age, and disability. In a pivotal ruling, the court found that AI service providers can be held directly liable for discriminatory outcomes if their software is found to be biased. This is a major shift in legal precedent, as it establishes that AI vendors are no longer shielded from responsibility for the actions of their technology. **Think of it this way:** If a car manufacturer sells a defective vehicle that causes an accident, they can be liable. When new laws usher in change, not everyone adapts in the spirit intended. Early 2023 saw some well-known companies responding to California and Washington's pay transparency laws with what can only be described as a loophole approach to compliance. Lulu Seikaly, Senior Corporate Employment Counsel at Payscale, discussed this approach taken by certain companies—an approach that for many resulted in negative consequences—on the I Hate It Here podcast with Hebba Youseff. The legislation required employers to post a "good faith" salary range or one in which they reasonably believe they'll pay for a role. Yet, some companies posted salary ranges as wide as $90,000 to $900,000. This million-dollar spread stretches beyond what any reasonable person might consider "good faith." Yes, a million-dollar spread is not a reasonable range, yet companies defended these ranges by claiming they represented total compensation, including equity and benefits. However, this interpretation sidesteps the law's intention, which focuses on base salary, not total compensation packages. The consequences of such actions are becoming tangible. In Washington state alone, 31 companies are facing class actions for failing to post legitimate salary ranges. This indicates a clear disconnect between the letter of the law and the practices of some employers. It is also a significant detractor for potential talent who see this sort of bad faith skirting of transparency as a possible indicator of further bad practice and poor employee treatment. The actions and experiences of these companies should serve as a reminder that transparency isn't just about checking a box—it's about embracing the spirit of the law to foster a more equitable workplace.
