    In the last several years health care has gone through significant changes, from the way healthcare is delivered to how corporations are organized (AHRQ, 1999). In today’s health care market there are many types of health care organizations negotiating reimbursement with insurance companies; including Accountable Care Organizations, Managed Care Organizations, and specialty health care brokers negotiating contracts on behalf of self-insured employer groups.

    Payment approaches are changing fee-for-service; volume-based methods to reimbursement based on value determined by the Centers for Medicare and Medicaid Services (CMS) and with commercial insurance plans following suit (Porter, 2009)

    Insurance companies are designing narrow provider networks as a way to control cost and increase efficiency and profitability (AHRQ, 1999) while reimbursement for physicians, hospitals and ancillary service providers are being designed in two categories: capitated or risk model. The capitated model allows providers to receive a steady stream of monthly income and the risk model allows for the possibility of splitting cost containment surplus with insurance companies.
    Exploring research into the processes involved in the negotiation of contracts can provide a wealth of knowledge about how these organizations are evaluated, how contracts are shaped by stakeholder interests, and how these elements impact the delivery and cost of healthcare in this country. Managed care contracting is viewed as a means of controlling costs in the expansive healthcare industry. The objective of the payer is to ensure they are receiving a fair price while control health care costs while hospitals and provider organizations need to ensure fair pricing while making a profit to cover cost and reduce the trickle-down effect to the consumer is a valuable part of negotiating these contracts (Borkowski, 2009).
