We highlighted to our American audience that we are a country with the highest BBB credit rating in the region, according to S&P, and Baa1 according to Moody's.  We have free floating capital and we are governed under the principles of English law in the AIFC region. We are leaders in technology, and we have the most technologically advanced banking system with a highly developed system of e-commerce and financial services, in the region. As we create best-in-class financial services solutions, it is logical for us to strive for expansion and enter new markets. As an example, the cost of our mortgage origination and funding process is several times lower than in America (interest rates are another story all together) driven by our seamless integration with government databases and our innovative banking products and solutions. We believe that products like this could be highly competitive in markets like the US and beyond, and we believe that our high-quality financial products are easily scalable, and that our ecosystem can go beyond Kazakhstan, which accounts for 60% of the GDP of Central Asia. Companies with multi-billion dollar capitalizations operate in our market and there is every opportunity for their number to increase. Kazakhstan can act as a kind of economic integrator, and Freedom is an excellent marker of how companies can operate in the markets of two countries. Earnouts are a standard way to bridge the gap on valuation between a seller and a buyer. In 2023, approximately 37% of M&A deals included an earnout provision. There are risks with earnouts and can be challenging because of definitions, performance measures, or conflicting incentives, etc. A seller note is an alternative for financing that can also bridge the gap. The seller agrees to defer a portion of the purchase price and receive it over time, typically with interest. It allows buyers to reduce their upfront capital requirements while providing sellers with additional compensation in interest payments over the life of the note.
