The 4-week period ending November 25 saw just over 1,300 new companies added, bringing the total to 112,141 companies included in the non-US Health Tech, Med Tech, AI Tech Fin Tech and Ed Tech verticals. Non-US AI Tech again saw the greatest percentage growth in new companies at 16%, vs. the vertical average of 12% for the period. Non-US HeathTech led the group in transactions. One of the highest compliments we can give a founder is calling them a “heat-seeking missile.” It means they’ll find their way to market no matter the obstacles. Broadlume’s founders, Todd Saunders and Dan Pratt, embody that spirit. Today’s announcement of their acquisition by Cyncly validates it—but honestly, anyone who met them early on could have seen it coming. I had the privilege of being their first institutional investor and joining their board nearly a decade ago, back when they were called AdHawk. Inspired by their Google ad sales days, Todd and Dan set out to help SMBs make smarter ad buys—a classic case of turning their job into a product. That product worked, scaling AdHawk to $1M+ in revenue with a diverse customer base. We were so impressed we invited them to present at our LP meeting in 2018. They showed up, delivered—and dropped a bombshell: they were pivoting. Flooring installers, a surprisingly large portion of their customers, presented an even bigger opportunity. Todd and Dan focused exclusively on this vertical, becoming the “Hubspot for Hardwood Flooring.” They off-boarded non-flooring clients, lost some revenue, but quickly snowballed back by doubling down on their ideal customer profile. From there, they didn’t just grow; they rolled up the industry. With $60M from PSG, they acquired companies, technology, customers, and decades of flooring expertise. M&A is a tightrope for startups, but Todd and Dan balanced it masterfully, building a powerhouse in an overlooked industry. Today’s acquisition is the culmination of their relentless drive. I couldn’t be prouder to have been their first institutional check. Of course, this wasn’t a straight line—no startup journey is. Broadlume faced struggles, like every company does. But Todd and Dan’s resilience exemplifies why I love this job. Entrepreneurship isn’t just a career; it’s a personality trait. It’s rare, and when you find it, it’s worth betting on. I may never write another check for a startup that sells vinyl tiles, but betting on people like Todd and Dan? I’ll do that every time.

Interesting piece from Marc Andreessen on how startups are not getting the regulatory support they need to sustain America's technological leadership. "Regulatory agencies have been green lit to use brute force investigations, prosecutions, intimidation, and threats to hobble new industries, such as Blockchain. Regulatory agencies are being green lit in real time to do the same to Artificial Intelligence." While many investors themselves (both in the US and Europe) are worried how AI will change our lives, our jobs and social interactions, the top VC opinion leader thinks regulation is already too restrictive. #techstartups #techleadership #strategicgrowth

Continuation of my term sheet series for founders and anyone raising a round of capital be it equity, a SAFE, or a Converible Note Areas Always Requiring Attention Most frequently negotiated issues in termsheets: • Figuring out the right valuation • Making sure the option pool is the right size • Considering how to construct the board • Structuring founder vesting terms • Sizing the round and minimum needed to close • Structuring the liquidation preference Valuation is vitally important, but the rest of the terms should be within fairly narrow market norms.

Great analysis of recent #vc trends. Thank you Kaela Roeder and Technical.ly for including my thoughts in the piece. My "expanded" two cents below for anyone curious... It is easy to get excited by what is happening in venture capital these days given the advent of AI. However, for early-stage startups, the numbers tell a more nuanced story. Early-stage deal volume in Q4-2023 was down 66% from the peak (Q4-2021) and a quarter of the deals were down rounds. In 2024, volumes stayed fairly flat relative to 2023 levels (signalizing a normalization to pre-pandemic VC activity) and 32% of deals were down rounds in Q1 (a worsening since year end). Early-stage valuations have spiked back up this year – a pleasant boon for some founders. But, this inflation is largely driven by the excitement around AI and strong demand for capital-efficient, high-growth companies. Many startups have tried to become “dot AI” businesses overnight; however, such tactics are not the “silver bullet” to fundraising challenges and growth. With limited time and capital, funds are on the hunt for companies with bulletproof fundamentals or those with exponential growth potential. If you don’t check one of these two boxes, the VC world looks fundamentally different for you. Locally, there are some positive tailwinds. The D.C. area has outpaced other metro areas in adding AI jobs due in large part to the defense industry and an increasing number of tech companies opening-up federal outposts. Over the long-term, this will be very positive for D.C. startup growth and talent.

We need pharmaceuticals controlled by state regulations and out of the lobbies' grip in Washington DC. Shifting control of pharmaceuticals from federal oversight to state regulation and reducing lobbyist influence in Washington could indeed address many issues, such as drug pricing and access. The influence of pharmaceutical lobbyists in shaping policy has long been criticized, as these companies have often prioritized profits over public health, resulting in skyrocketing drug prices and limited access to necessary medications for many Americans. A more effective economic development authority that employs locals with community first and lobbyists not invited and draining money for middle man money changers. Moving to a state-controlled regulatory framework for pharmaceuticals could mean that states set their standards for drug pricing, approval, and distribution. This decentralization might encourage competition, drive down costs, and foster innovation as states try different models. Additionally, it could increase transparency by allowing for more localized and responsive systems, potentially holding pharmaceutical companies more accountable.

"According to Pitchbook, while overall venture capital deals have slowed over the past year, the defense tech sector has weathered the storm better than most others. So far in 2024, private investors have bet $9.1 billion on defense tech startups across 228 investments, Pitchbook research shows." -MARK SULLIVAN-Fast Company Patient capital will win this fight, both in a literal military campaign sense and the private capital competition for the best deals. Will this be a four year ramp to a huge exit? Likely no. Could private capital help provide a balance to the current military industrial complex processes/thinking. I am optimistic.

Thrilled to double down on Bhanu and Layer2 Financial. Their growth is eye-popping and they have integrated stablecoin/fiat technology together in a way that's actually useful. Their APIs are - by far - the most mature in a rapidly emerging SWIFT-killers market. What's not in the press release is maybe the most impressive: - 2022/2023 banking/crypto crises (through no fault of their own) set the difficulty to "hard mode". They lost revenue, customers, upstream partners. Many founders would have wilted or quit. - They buckled down, stayed lean, built incredible product redundancies, and made some killer hires. - The new product foundation enabled them to grow 10x in 9 months. They are now processing *billions* in $ volume (which directly translates to ARR). Truly a case of a great team first surviving and now thriving in a rapidly expanding market.

The secret—if it ever was one—is out on private equity fondness for vertical software. While PE-backed acquisitions were down 50%+ from a peak in 2021, vertical buyouts have continued to grow, and the fervor seems to be gaining steam.
