While some industry sectors still follow a more traditional auction approach… Targeted auctions are leading to higher multiples in others. Especially with more niche businesses requiring specialized analysis. For precision manufacturers and others fitting this description, that’s where GVC comes in.

U.S. Securities and Exchange Commission smacks MERRILL LYNCH, PIERCE, FENNER & SMITH INCORPORATED with disgorgement, interest and fines of $3.8mm and HARVEST VOLATILITY MANAGEMENT LLC, $5.5mm ($2.5mm of disgorgement, $1mm of interest and $2mm in fines) for failing to follow the terms of the Investment Management Agreement (“IMA”) in managing an options overlay strategy for certain clients referred by Merrill Lynch, Pierce, Fenner & Smith (“Merrill”). Specifically, from March 2016 to April 2018, Harvest, a registered investment adviser reporting $.250mm in client assets, purchased and sold options contracts at levels materially above the levels clients authorized in their IMA. By failing to comply with the IMA, Harvest caused hundreds of clients to be overexposed to the strategy, resulting in higher fees and, during certain periods, financial losses. As a result, Harvest willfully violated Section 206(2) of the Advisers Act. Convergence non-investment risk score for Harvest was "High Risk-Watch" during the 2016-2018 infraction period with a material number of "high-risk" scores in their Operations, Compliance and Service Provider management functions. Merrill Lynch referred their clients to Harvest so the question we ask is "what type of due diligence did Merrill do on Harvest before it referred clients to them?
