    A fundamental aspect of any equity transaction is the need to establish value for the business or asset.

    Venture Management will assess the investor and M&A transaction environment for similar companies within the government and commercial sector. We will identify key drivers that impact transaction values. We will assess the current company valuation utilizing multiple methodologies to provide the principals with a fair market assessment, identify issues impacting current company value, and address opportunities to increase value.

    Venture Management will work with you to identify, qualify and quantify the probable and potential actions and events which may contribute to increasing shareholder value.

    • Prepare an analysis of the Company’s backlog and sales pipeline (a “waterfall” analysis).
    • Document the Company’s capabilities and resources in a manner which will support the owners’ understanding of the Company’s potential to achieve the strategic plans, as well as which identifies potential risks and challenges.
    • Work with the Company and its accounting firm to develop analyses of past, current and expected, or potential, future financial performance (including preparation of pro forma statements) which demonstrate the impact and potential contribution of the Company’s value propositions
    • Perform certain steps of “preparatory due diligence” regarding the underlying data supporting such analyses in order to support the valuation work and to assess the Company’s “readiness” to go through a transaction process
    • Identify the strategic and operational initiatives which will be most likely to achieve the highest valuation for the Company - Specific possible actions for identified challenge areas, if any, will be noted early in this process for your consideration.
    • Summarize our findings in an opinion letter or presentation and related financial model and analytical tables.

We will work together with you and the rest of the management team (as appropriate) to discuss the principal alternative courses of action, identify expectations, perform a gap analysis to highlight weaknesses and concerns, and prepare for challenges.

    Our suggested process would begin with Venture Management submitting a document request list, and a review of the documents as provided. After completing our review, we would meet with you for the strategy sessions – a full-day meeting between shareholders and key managers and Venture Management, continued by an additional full-day or two half-day meetings scheduled at your preference. We will develop an agenda for our discussions that allows for focus on operations, business development, product development, finance, market strategy, and other related areas.
