Identifying and reaching your target audience are absolutely critical steps in the early stages of your entrepreneurial adventure. This is why Chapter 4 in Entrepreneur Rx is dedicated to defining and speaking to your target market: The first step in defining a target audience carries a caveat. Never think you know for certain that you have a target market without taking steps to make absolutely certain. That’s what happened to me with the Colorado urgent care clinics. I assumed that people would understand the purpose of urgent care clinics. They didn’t, and as a result, I had to spend a lot of money to educate them. That makes a proactive effort to identify and understand your target market critical. Everybody has great ideas, but entrepreneurs have the ability to execute those ideas in the real world. In order to do this, you must identify a viable target audience; otherwise, there is simply no value. The Importance of Disinterested, Independent Board Members Whether a publicly traded Fortune 500 or a closely held family business, the American corporate paradigm follows a board-centric governance model — at the highest level, the board of directors manages the corporate business and affairs. This managerial power and authority carries with it corresponding accountability. The directors shoulder rigorous fiduciary obligations, owed to both the company and its shareholders. These obligations inherently expose directors, officers, and controlling shareholders to litigation risk. But a board composed of disinterested, independent members helps mitigate this risk and insulate company fiduciaries from costly liability. Especially in the mergers & acquisitions space and the often accompanying shareholder fairness challenges, disinterested, independent directors can protect the controllers from lengthy, uncertain, and expensive litigation. Modern corporate governance regimes thus demand disinterested, independent directors.
