Unconstitutional, but still enforced. The law behind the BOI reporting was recently ruled to be unconstitutional. However, the ruling is expected to be appealed and, in the meantime, FinCEN is continuing to enforce BOI reporting for all businesses except the plaintiff in the case. If your business was created prior to 2024, you might wait and see how this plays out and revisit this topic closer to the current year-end filing deadline. Businesses created in 2024 need to adhere to the 90-day filing deadline if at the time filing is still required. Visit the FinCEN website before your deadline to determine the current status and whether you are required to file.
