2024 is coming to an end ... make sure to file your report: The CTA requires information about the “reporting company,” each “beneficial owner” of the company, and any “company applicants”. After the initial report, there is no annual or quarterly filing requirement, only that the company must update its documents if its information has changed. Reporting Companies are companies that operate in the US and were either formed with US law (domestic reporting company) or formed with foreign law (foreign reporting company). A reporting company must disclose its full legal name, trade name, current US address, state or foreign jurisdiction of formation, IRS ID and EINs, and state jurisdiction of first registration for foreign reporting companies. Beneficial Owners are individuals who either substantially control the reporting company (examples include senior officers like presidents, CEOs, etc.) or own at least twenty-five percent of the company’s ownership interest. Company Applicants are individuals who either directly filed the documents that created the reporting company or were primarily responsible for directing the filing. Companies must report the beneficial owner and company applicant’s full legal name, date of birth, current address, and a unique identifying number like a US state driver’s license or foreign passport. If the reporting company exists before January 1, 2024, it must file its initial report by January 1, 2025. If the company is created after January 1, 2024, it only has thirty days after its creation to make its filing. Failure to make these required filings can lead to civil and criminal penalties as serious as two years imprisonment and/or $10,000 in fines. What is Deglobalization The other day, I read an article in the Harvard Business Review about deglobalization, and as you can guess from the name, it is the undoing of globalization. Based on the opinion of this article, deglobalization is based on different trends we have right now. One of the two trends that this article focuses on is the pandemic since the global supply chain has been interrupted. COVID-19 has exposed the vulnerability of the global supply chain when just-in-time production doesn't seem to be in time when you need it. The second trend pointed out is the trade war or “cold war” with China as it is referred to in the article, where all countries involved, seem to be retaliating against each other. Just go back to a few Morning Musings ago where now Australia and China are getting into a trade war. Together, those two trends will lead us to a deglobalized world for short, as the article indicates. In my personal experience, it is a good idea to look around your own house and office and find a product that is only made in one country. Most consumer products, business products, cars, and most things in general are made from products from multiple countries and are assembled in one country, designed in another and sold in another. Who has a real interest in globalization? Well, in the opinion of the article by Harvard Business Review, it is China. The article reminded me of the new silk road initiative, where China is pushing for a new silk road by 2049 which will enhance trade to over 70 countries. So while we in the western part of the world may believe that globalization is not good, the countries who are our current opponents, actually appear to be believing in globalization and placing a major emphasis on trading. What will globalization bring?
