Here’s the breakdown: ✅ Owning the physical practice (building/equipment): This is straightforward. Many landlords and suppliers, with no connection to actual dentistry, own practice buildings or lease out equipment. ⚖️ Owning the dental business (revenues/profits) (This is where things get more complicated): - Under the Dentists Act 1984, only dentists or dental care professionals (DCPs) can legally operate a dental business. DCPs who own practices often include Dental Nurses, Dental Technicians and Hygienists - Non-dentists can also invest as shareholders in a limited company owning a practice, but the majority of directors must still be dentists or DCPs. 💡 When it comes to NHS contracts: - Contracts need clinicians (dentists) in ownership or leadership roles e.g at least 50% of those named on general, non-limited contracts that meet the NHS’s criteria. An example here would be a standard GDS contract in partnership with 2 dentists and 1 dental nurse. - Limited companies with a clinical majority on their board can have non-clinical directors who can also be listed as share holders, making this model increasingly popular in multidisciplinary practices and this is one of the reasons that incorporation of GDS contracts is a hot topic at the moment. 📋 Regulatory considerations: - The CQC ensures clinicians have real influence over operations. - The GDC enforces strict rules on service delivery, proper registration, and the use of terms like "dentist" or "dentistry." Here's a quick breakdown to help you weigh it up: 💰 Corporate Buyer (Deferred Payment) ✅ Higher total price potential. ✅ Strong resources to manage transitions. ❌ Payments depend on hitting targets—more risk. ❌ May require prolonged post-sale involvement. 💼 Individual Buyer (Full Upfront Payment) ✅ Immediate financial certainty at completion. ✅ Cleaner, simpler exit (theoretically). ❌ Typically a lower offer. ❌ May involve a more in depth due diligence exercise if they are using a lender unwilling to take a view on certain points. It is important to note that the above script can also be flipped and it can be the individual buyer offering a deferred consideration package and the corporate buyer offering full payment upfront.
