This Privacy Policy describes the privacy practices of BetterCloud, Inc. and its applicable affiliates and subsidiaries (“BetterCloud,” “we,” “us,” or “our”) and explains how we collect, use, disclose, secure and otherwise process personal information from individuals everywhere, including European Union residents, United Kingdom residents, Swiss residents, and Californian consumers, in connection with our websites and mobile apps (collectively, the “Sites”), and the rights and choices available to individuals with respect to their information.

This Privacy Policy describes how specific categories of personal data are collected, used and protected by BetterCloud in connection with our Sites, including personal identifiers, commercial information and networking and technology information, and their specific data elements. Personal Information We Collect Directly From You

Personal Identifiers

The information we collect from you directly is classified in the category of “Personal Identifier”. This data category includes consumer name, postal address, email address, phone, employer and similar information. For information on when we collect this information, please refer to Scenarios Where We Collect Your Personal Information.

We collect this information for the purpose of providing the services and information you are requesting through our Sites. We also use this information when communicating with you and responding to any inquiries or communications that you have initiated. Personal Information We Collect From Other Sources

Social Networking Site

We collect personal information about you indirectly when you connect to a social networking site (SNS) through the interfaces we provide on our Sites. If you connect to us through a SNS, you allow us to access, use and store the information that you agreed the SNS could share based on your settings on that SNS. We will access, use and store that personal information in accordance with this Privacy Policy. If you choose to revoke our access at any time you may do so by amending the appropriate settings from within your account settings on the applicable SNS.

Referrals

We may also collect your personal information through any referral section of our website. We may add this to information we get from our Sites to offer you products and services or to invite you to events or webinars that may be of interest to you.

Cookies and Similar Technologies

We also collect information about you using cookies and other similar technologies. We may log your computer or mobile device IP address, geographic location (should you choose to provide it), operating system name and OS version, manufacturer and model, browser type, browser language, screen resolution, the website you visited before browsing to our Sites, pages you viewed, how long you spent on a page, access times and information about your use of and actions on our Sites. We collect this information for the purposes of better understanding our market, global distribution, technology and our prospective customers’ and customers’ wants and needs.

What are cookies?

We may collect information using “cookies.” Cookies are small data files stored on the hard drive of your computer or mobile device by a website. We may use both session cookies (which expire once you close your web browser) and persistent cookies (which stay on your computer or mobile device until you delete them) to provide you with a more personal and interactive experience on our Sites. Local Storage Objects

We use Local Storage Objects (LSOs) such as HTML5 to store Your user information and settings. Third parties with whom We partner to provide certain features on Our site or to display advertising based upon Your Web browsing activity use LSOs such as HTML 5. Various browsers may offer their own management tools for removing HTML5 LSOs.

Pixel Tags

We may also use pixel tags (which are also known as web beacons and clear GIFs) on our Sites to track the actions of users on our Sites. Unlike cookies, which are stored on the hard drive of your computer or mobile device by a website, pixel tags are embedded invisibly on webpages. Pixel tags measure the success of our marketing campaigns and compile statistics about usage of the Sites, so that we can manage our content more effectively. The information we collect using pixel tags is not linked to our users’ personal data.

Framing

Some of our pages utilize framing techniques to serve content to/from our partners while preserving the look and feel of our Sites. Please be aware that you are providing your information to these third parties and not to us.

How We Use Your Personal Information

To operate the Sites

We use your personal information to:

  • operate, maintain, administer, improve, study use of, provide support for, and secure the Sites or our other products and services;
  • manage and communicate with you regarding your account on the Sites, including by confirming certification of our certification programs, sending you service announcements, technical notices, updates, security alerts, and support and administrative messages;
  • better understand your needs and interests, and personalize your experience with the Sites, including where you complete our forms on a partner site;
  • respond to your service-related requests, questions and feedback.

To send marketing communications

If you request information from us or register for an account on the Sites, we may send you BetterCloud-related marketing communications as permitted by law. For information on how to opt out of such communications, please refer to Your Choices & Changes to Your Personal Information.

To provide a requested service

If you request a service through the Sites, such as signing up for our newsletter or register for one of our events, we may request personal information that we need to provide the requested service.

To comply with law

We use your personal information as we believe necessary or appropriate to comply with applicable laws, lawful requests, and legal process, such as to respond to subpoenas or requests from government authorities.

With your consent

We may use or share your personal information with your consent. For example, when you consent to let us post your testimonials or endorsements on our Sites, you instruct us to take a specific action with respect to your personal information, or you opt into third-party marketing communications.

For compliance, fraud prevention and safety

We use your personal information as we believe necessary or appropriate to (a) enforce the terms and conditions that govern the Sites; (b) protect our rights, privacy, safety or property, and/or that of you or others; and (c) protect, investigate and deter against fraudulent, harmful, unauthorized, unethical or illegal activity.

How We Share Your Personal Information

Except as described in this Privacy Policy, we do not share the personal information that you provide to us with other organizations. We disclose personal information to third parties under the following circumstances:

Service ProvidersWe may employ third-party companies and individuals to administer and provide services on our behalf (such as hosting, email delivery and database management services). The third-party service providers we utilize may also provide artificial intelligence and generative artificial intelligence support to analyze data, determine trends, make predictions and use AI-generated responses in order to provide the services.

These third parties may only use your information as directed by BetterCloud and in a manner consistent with this Privacy Policy, and are prohibited from using or disclosing your information for any other purpose.
Professional Advisors We may disclose your personal information to lawyers, bankers, auditors and insurers, where necessary in the course of the professional services that they render to us.
Event Sponsors and Business Partners We may disclose your personal information with our event co-sponsors, if applicable, our business partners, such as resale and referral partners, where permitted by applicable law.
Law Enforcement Officials We may disclose information about you to government or law enforcement officials or private parties as required by law, and disclose and use such information as we believe necessary or appropriate to (a) comply with applicable laws and lawful requests and legal process, such as to respond to subpoenas or requests from government authorities; (b) enforce the terms and conditions that govern the Service; (d) protect our rights, privacy, safety or property, and/or that of you or others; and (e) protect, investigate and deter against fraudulent, harmful, unauthorized, unethical or illegal activity. Business TransfersWe may sell, transfer or otherwise share some or all of its business or assets, including your personal information, in connection with a business deal (or potential business deal) such as a merger, consolidation, acquisition, reorganization or sale of assets or in the event of bankruptcy, in which case we will make reasonable efforts to require the recipient to honor this Privacy Policy.
Our private equity sponsor, Vista Equity Partners, and its affiliates, including Vista Consulting Group (collectively, “Vista”)We may disclose your personal information to Vista for administration, research, database development, workforce analytics and business operation purposes, in line with the terms of this Privacy Policy.

Vista processes and shares your personal information with its affiliates, including other Vista portfolio companies, on the basis of its legitimate interests in managing, administering and improving its business and overseeing the recruitment process and, if applicable, your employment relationship with BetterCloud. If you have consented to us doing so, we also share your personal information with other Vista portfolio companies for the purpose of being considered for other job opportunities in the pooling system, both inside and outside the EEA. Where this requires us to transfer your personal information outside of the EEA, please refer to Additional Information for UK and European Union Users for further details on cross-border transfers.

In connection with the recruitment process your personal data may be transferred outside of the EEA to Hirebridge, LLC and Criteria Corp., which provide applicant tracking and evaluation services. Hirebridge, LLC and Criteria Corp. have agreed to comply with the EU Standard Contractual Clauses to ensure that your personal information is adequately protected whilst outside of the EEA.

Keeping & Securing Your Personal Information

We will keep personal information about you for as long as: (i) we provide services to you or your company; (ii) we are addressing a concern, question, complaint, or request from you  (iii) the law requires us to do so; or (iv) we need to maintain the personal information for the purpose you shared it with us. If we have a legally binding agreement with you with data retention provisions, we will abide by the retention obligations of that agreement. We may keep or maintain personal information or records longer if necessary to comply with legal, financial, compliance, or other reporting obligations, and to enforce our rights and agreements. We also may keep personal information for statistical analysis or research purposes.

The security of your personal information is important to us. We use a variety of industry-standard technical, contractual, administrative and physical security measures and procedures to protect the personal information we collect, both during transmission and once we receive it. However, no security safeguards are 100% secure and we cannot guarantee the security of your information.

Your Choices & Changes to Your Personal Information

Access, update, correct or delete your information

Upon request, we will provide you with information about whether we hold, or process on behalf of a third party, any of your personal information. If Your Personal Information changes, or if You wish for us to delete your Personal Information, You may correct, update, or delete it by emailing [email protected]. We will respond to your request within a reasonable timeframe.

Marketing communications

You may opt out of marketing-related emails by clicking on a link at the bottom of each such email, or by contacting us at [email protected]. You may continue to receive service-related and other non-marketing emails.

Testimonials

If you gave us consent to post a testimonial on our Sites, but wish to update or delete it, please contact us at [email protected].

Choosing not to share your personal information

Where we are required by law to collect your personal information, or where we need your personal information in order to provide a requested service to you or operate the Sites, if you do not provide this information when requested (or you later ask to delete it), we may not be able to provide you with the requested service(s) or operate the Sites. We will tell you what information you must provide to receive a requested service or interact with the Sites by designating it as required on the Sites or through other appropriate means.

Minors

Our Site is not directed to children under 16. If a parent or guardian becomes aware that their child has provided us with information without their consent, they should contact us at [email protected]. We will delete such information from our files as soon as reasonably practicable.

International Transfer

BetterCloud is headquartered in the United States and has service providers in other countries. Your personal information may be transferred to the United States or other locations outside of your state, province, country, or other governmental jurisdiction where privacy laws may not be as protective as those in your jurisdiction. Other Sites and Services

The Sites may contain links to other websites and services. These links are not an endorsement, authorization or representation that we are affiliated with that third party. We do not exercise control over third party websites or services, and are not responsible for their actions. Other websites and services follow different rules regarding the use or disclosure of the personal information you submit to them. We encourage you to read the privacy policies of the other websites you visit and services you use.

User Generated Content

We may make available on our Sites, or link to, features that allow you to share information online (e.g., on publicly-accessible blogs or community forums). Please be aware that whenever you voluntarily disclose personal information online, that information becomes public and can be collected and used by others. We have no control over, and take no responsibility for, the use, storage or dissemination of such publicly-disclosed personal information. By posting personal information online in public forums, you may receive unsolicited messages from other parties.

Changes to this Privacy Policy

We review and update this policy on an annual basis or periodically upon any substantive changes to our data processing practices. We reserve the right to modify this Privacy Policy at any time. We encourage you to periodically review this page for the latest information on our privacy practices.

Personal information

References to “personal information” in this Privacy Policy are equivalent to “personal data” as defined by the European Union General Data Protection Regulation 2016/79 (“GDPR”) and the Data Protection Act of 2018 and UK GDPR (collectively, “UK Privacy Law”). We are the processor of your personal information for GDPR and UK Privacy Law purposes.

We only use your personal information as permitted by law. We are required to inform you of the legal bases of our processing of your personal information which include:

To determine the appropriate retention period for personal information, we consider the amount, nature, and sensitivity of the personal information, the potential risk of harm from unauthorized use or disclosure of your personal information, the purposes for which we process your personal information and whether we can achieve those purposes through other means, and the applicable legal requirements.

We keep basic information about our customers for the duration of the applicable customer agreement.

Cross-Border Data Transfer

Whenever we transfer your personal information out of the European Economic Area (EEA) or the United Kingdom (UK), or Switzerland to countries not deemed by the European Commission or the Information Commissioner’s Office (ICO), respectively, to provide an adequate level of protection for personal information, the transfer will be based on one of the following safeguards recognized by the European Commission or ICO as providing adequate protection for personal information:

TRUSTe

EU-U.S. Data Privacy Framework with UK Extension, and Swiss-U.S. Data Privacy Framework

BetterCloud complies with the EU-U.S. Data Privacy Framework (EU-U.S. DPF), the UK Extension to the EU-U.S. DPF, and the Swiss-U.S. Data Privacy Framework (Swiss-U.S. DPF) as set forth by the U.S. Department of Commerce. BetterCloud has certified to the U.S. Department of Commerce that it adheres to the EU-U.S. Data Privacy Framework Principles (EU-U.S. DPF Principles) with regard to the processing of personal data received from the European Union in reliance on the EU-U.S. DPF and from the United Kingdom (and Gibraltar) under the UK Extension to the EU-U.S. DPF. BetterCloud has certified to the U.S. Department of Commerce that it adheres to the Swiss-U.S. Data Privacy Framework Principles (Swiss-U.S. DPF Principles) with regard to the processing of personal data received from Switzerland in reliance on the Swiss-U.S. DPF. If there is any conflict between the terms in this privacy policy and the EU-U.S. DPF Principles and/or the Swiss-U.S. DPF Principles, the Principles shall govern. BetterCloud is responsible for the processing of personal data it receives, under the EU-U.S. DPF, the UK Extension to the EU-U.S. DPF, and Swiss-U.S. DPF and subsequently transfers to a third party acting as an agent on its behalf.  BetterCloud complies with the EU-U.S. DPF Principles and the Swiss-U.S. DPF Principles for all onward transfers of personal data from the EU, UK, and Switzerland, including the onward transfer liability provisions.

The Federal Trade Commission has jurisdiction over BetterCloud’s compliance with the EU-U.S. DPF, the UK Extension to the EU-U.S. DPF, and the Swiss-U.S. DPF. In certain situations, BetterCloud may be required to disclose personal data in response to lawful requests by public authorities, including to meet national security or law enforcement requirements. 

In compliance with the EU-U.S. DPF, the UK Extension to the EU-U.S. DPF, and the Swiss-U.S. DPF, BetterCloud commits to refer unresolved complaints concerning our handling of personal data received in reliance on the EU-U.S. DPF, the UK Extension to the EU-U.S. DPF, and the Swiss-U.S. DPF to TRUSTe, an alternative dispute resolution provider based in the United States. If you do not receive timely acknowledgment of your DPF Principles-related complaint from us, or if we have not addressed your DPF Principles-related complaint to your satisfaction, please visit https://feedback-form.truste.com/watchdog/request for more information or to file a complaint. These dispute resolution services are provided at no cost to you.

No Selling or Sharing

We do not, and will not, sell or share – as defined under CCPA – your personal information for monetary consideration to third parties.

Under the CCPA, “Sensitive Personal Information” is unique personal data that falls under special protected categories such as, but not limited to, identifiers that are government-issued, genetic information, or race and ethnicity information. Personal Information for Minors

Exercising Your Rights

If you have a specific question or concern about your rights, questions about our Privacy Policy, or wish to exercise your rights as a Californian consumer, please contact us at [email protected] or use our online request form.

You may exercise these rights twice in a 12-month period. If an option is available to compensate you for the use of your information, you must be advised of this. We will make best efforts to address your requests within 45 days, but where that is not possible will advise you of the need for an extension of an additional 45 days.

Verifying Your Identity

After submitting your initial request, we may request additional information to verify your identity. We are restricted from using that additional information for any purpose other than verifying your request or for security or fraud prevention. Except as required under CCPA, we must delete any additional information collected for the purpose of verifying your identity as soon as practical after processing your request. We will confirm receipt of your request within ten (10) days from receiving it and will respond within the timelines established under CCPA.

On verification of your identity and legitimate standing to make the request, and if not an undue or unreasonable hardship for us, we must act on your request or inform you why we cannot. Legal requirements may prevent accommodation of some requests; if we deny your request, we will inform you why, where you may submit a complaint, and your options for challenge, redress or escalation.
