The FCA’s consultation on exercise of its powers under the new prospectus regime is closing on 18 October 2024.   The new framework replaces the UK Prospectus Regulation and provides the FCA with greater discretion to shape future rules.   🍃The key proposals of interest to issuers from a #sustainability perspective are: • New sustainability-related disclosure requirements for prospectuses • Specific disclosures for debt securities issuers • Introduction of a Protected Forward-Looking Statement regime for certain financial and operational information in prospectuses   This marks a significant push towards more quantitative sustainability disclosures and offers issuers new protections for forward-looking statements. FCA Temporarily Eases Rules for Sustainable Fund Naming The UK Financial Conduct Authority (FCA) has extended the deadline for sustainable fund marketing rules to April 2025, targeting "naming and marketing" requirements aimed at preventing greenwashing. Funds must still submit applications for Sustainability Disclosure Requirements (SDR) by October 1, 2024, but now have more time to adjust names and marketing. The FCA noted that some firms need extra time to meet new ESG labeling standards, stressing they must still work toward compliance by the full enforcement date of December 2, 2024. Introduced in November 2023, the SDR ensures accurate ESG claims. With ESG-focused funds expected to hit $34 trillion by 2026, these rules are key to keeping the UK competitive in sustainable investing. The UK government is advancing a regulatory framework for ESG (Environmental, Social, and Governance) ratings providers to enhance transparency and accountability in the sector. This initiative, announced by Chancellor Rachel Reeves, will place ESG ratings providers under the supervision of the Financial Conduct Authority (FCA). The move aims to address inconsistencies in ESG ratings, improve data transparency, and ensure the methodologies used are clearly disclosed. The legislation is part of a broader strategy to position the UK as a global leader in sustainable finance while fostering investor confidence. The FCA has already introduced a voluntary code of conduct for ESG ratings providers, and the upcoming legislation will build on this groundwork. The UK government should take four steps to reclaim its climate finance leadership position, argues Climate Bonds Initiative CEO Sean Kidney in an op-ed for Sustainable Views. CDP data shows a worrying lack of disclosure and action on nature, with too many big banks (Global Systemically Important Banks – or GSIBs) continuing to look at climate in a silo. Of 29 GSIBs, less than half have policies to address forest considerations. More often than not, these banks do not disclose any engagement on nature-related issues. Policy intervention is critical. At #COP16, national governments must be shown the evidence and encouraged to develop and enforce global standards for environmental risk management for G-SIBs, facilitate international cooperation for consistent application of these standards, and promote research and development to enhance environmental risk assessment and mitigation.
