Leveraging EOTs (Employee Ownership Trusts) purely as tax dodges flies in the face of their true purpose. When leaders consider transitioning to an EOT, it shouldn’t be viewed merely as a financial strategy. It should be a commitment to the people who’ve helped build the business from the ground up. EOTs demand more than just signatures on a contract. They require sellers who believe in their teams and teams who are ready to take the reins with vision and integrity. It’s a process that takes time, requires patience, and thrives on clear communication. The tax benefits? They’re just the cherry on top—not the reason you take the leap. This has been my experience with transitioning Eyeful Presentations to 100% employee ownership – and yes, that 100% matters! What *not* to do when collecting insights from your SMEs. ❌️ I’ve learned a lot from collaborating with SMEs and getting it wrong and doing a lot of trial and error. And these are the 5 things I wish we had known to avoid when we started regularly collecting insights from SMEs: ❌️ Don’t send questions without your SME’s consent. Dropping “quick questions” in their slack or email without any prior agreement isn’t respectful of their time. SMEs have day jobs. They’re not waiting to answer your questions. So ask if they’re available and willing to contribute first. ❌️ Don’t make it hard for them. Your job is to simplify the process for them. The SME’s job is to share insights, not wrestle with complicated tools, unclear questions, or extra steps. Remove any obstacles. ❌️ Don’t rely solely on live meetings. Not every SME interview needs to be a call. Async collaboration can be just as effective, saving everyone time while still allowing you collect the insights you need. ❌️ Don’t ask vague questions. If your questions are unclear or overly broad, you’ll get unclear or shallow answers. Be specific and detailed. Ask pointed questions that guide SMEs to give the kind of insights you need. ❌️ Don’t forget to explain why you’re collecting their insights. Make sure your SME knows why you're asking and how their input will be used. They’re more likely to be responsive and give thoughtful insights if they understand the "why" behind your ask. Explain how their input will be used and what value it brings. This small step shows you respect their time and makes sure they’re aligned with your goals. BUSINESS AS A FORCE FOR GOOD - PUTTING PURPOSE AND CONDUCT CENTRE-STAGE FOR DIRECTORS? Yesterday the Institute of Directors (IoD) launched their Code of Conduct for Directors. The launch event was packed, and we heard some fascinating insights from some of the developers and contributors to the Code. Drawing upon the established Nolan Principles the Code is designed to help directors make better decisions and build public trust in their business activities. It provides a behavioural framework based on six key principles: Leading by Example – demonstrating exemplary standards of behaviour in personal conduct and decision-making. Integrity – acting with honesty, adhering to strong ethical values, and doing the right thing. Transparency – communicating, acting and making decisions openly, honestly and clearly. Accountability – taking personal responsibility for actions and their consequences. Fairness – treating people equitably, without discrimination or bias. Responsible Business – integrating ethical and sustainable practices into business decisions, taking into account societal and environmental impacts. The Code is voluntary and aims to support directors in becoming respected leaders without adding compliance burdens. It is principle rather than rule-based by design. There are several interesting implications from a sustainability perspective: 1. Firstly, is the implicit foundation of including ethical conduct in business behaviour. 2. Arguably it represents a further extension of the idea that businesses are part of society and not in any way separate, whether functionally or morally. 3. Principle 6 is an explicit requirement to conduct business responsibly and in consideration of external impacts. The code has attracted some criticism for not being mandatory – but directors are already bound by specific legal and regulatory responsibilities, including the general legal duties defined in the Companies Act 2006. I think the Code represents an important milestone on the role of companies (as much as directors) – what do you think?
