No buyer, no finance, no problem Selling a business via an Employee Ownership Trust does not: ❌ Need to attract an external buyer ❌ Who needs to raise finance ❌ And saddle the business with debt We set up an an EOT and The business is sold to the EOT for the benefit of the staff Of course, its not that simple Here’s a bit more detail: Step 1) Valuation ✔ Use market-standard methods of valuing businesses ✔ Apply scenarios to it ✔ Agree a sensible valuation with the seller Step 2) HMRC clearance ✔ Go to HMRC and get their approval that the conditions are met Step 3) Steps paper and tax advice ✔ Prepare a detailed steps paper for each part of the transaction ✔ Tax implications of each step ✔ Make sure the seller is comfortable Step 4) Legals ✔ Get all of the correct documents prepared ✔ Checked ✔ And checked again Step 5) Signing day ✔ One final check and everything is signed ✔ Trumpets blare and rose petals fall from the sky ✔ (the last part is an optional extra) Of course, its not that simple But there is such a thing as giving too much detail 🧠

Huge Changes to Inheritance Tax for Family Businesses and Farmers 📆 Starting 6 April 2026, the rules around Inheritance Tax (IHT) reliefs—specifically Business Property Relief (BPR) and Agricultural Property Relief (APR)—will see significant changes. Currently, qualifying assets can receive up to 100% relief for IHT. But under the new rules, relief above £1 million will drop to 50%.
